HomeMy WebLinkAboutAGMT - Rossmoor/Los Alamitos Area Sewer District (Wastewater Services) .. pealed. auti f • • AGREEMENT BETWEEN THE ROSSMOOR/LOS ALAMITOS AREA SEWER DISTRICT AND THE CITY OF SEAL BEACH FOR INTER - JURISDICTIONAL WASTEWATER SERVICES THIS AGREEMENT is entered into in the State of California to be effective as of March 8, 2001, by and between the CITY OF SEAL BEACH, a Municipal Corporation ( "City ") and the ROSSMOOR/LOS ALAMITOS AREA SEWER DISTRICT, a Califomia County Water District ( "District "). RECITALS WHEREAS, District has jurisdiction to provide sewer services within District's boundaries, which include property within the City's corporate limits; and WHEREAS, City has approved development of property generally described as the Bixby Old Ranch Town Center development in the City of Seal Beach, California, as more particularly described in Exhibit "A" attached hereto and incorporated herein ( "the Property "); and WHEREAS, portions of the Property are located both within and without District's service area boundary; and WHEREAS, District and City intend to have City maintain control over wastewater collection and transmission from the Property to the Orange County Sanitation District; and WHEREAS, District desires that (a) City indemnify District for any third party claims arising out of the regulation, installation, operation, and maintenance, of any wastewater 1 of 5 March 12, 2001 9201 - ach Waste ' 1 Y • • system installed to service the Property; and (b) District retain all property tax share allocations for the portions of the property within District's service area boundaries; and WHEREAS, the owners of the Property have consented to City's jurisdiction and services for wastewater collection and transmission services for the Property. NOW, THEREFORE, based on the mutual covenants and promises herein, the Parties hereby agree as follows: AGREEMENT 1. City To Assume Jurisdiction Over Wastewater Services. . Pursuant to Government Code § 56133, and conditioned upon City's performance of all promises and covenants herein, District consents to, and City hereby assumes jurisdiction, responsibility and all liability associated therewith, for the wastewater collection and transmission services for the Property commencing on January 1, 2001. 2. No Change in Property Tax Share Allocations. Consistent with California Revenue and Taxation Code Section 99 and the Master Property Tax Transfer Resolution adopted by the Orange County Board of Supervisors in connection therewith, the parties agree that there shall be no reallocation of District's share of property taxes. 3. Reorganization The parties acknowledge that pursuant to Government Code Section 56133 this Agreement between two public agencies does not require application to or approval by the Local Agency Formation Commission ( "LAFCO ") for reorganization of District's service area. The parties further represent that the owners of the Properties within District's service area have not made an application, or made inquiries, to LAFCO to meet the objectives of this Agreement. 4. Indemnification. 2 of 5 March 12, 2001 9201 ach Waste 1 • 1 . i e • City shall defend, indemnify, and hold District, its officers, employees, and agents harmless from and against any and all liability, claims, suits, actions, damages, and causes of action arising out of any personal injury, bodily injury, loss of life, or damage to property, or any violation of any federal, state or municipal law or ordinance, or other cause in connection with the acts or omissions of City, its employees, subcontractors, or agents, or on account of the regulation, installation, operation or maintenance of wastewater services to the Property, except for any such claim arising out of the sole negligence or willful misconduct of the District, its officers, employees, or agents. It is understood that the duty of City to indemnify and hold harmless includes the duty to defend as set forth in Section 2778 of the Califomia Civil Code. 5. Notification. City agrees to notify District of all future development or redevelopment of the portions of the Properties within District's service area. Notifications shall be made to: Rossmoor /Los Alamitos Area Sewer District Attention: General Manager 3243 Katella Avenue Los Alamitos, CA 90720 6. Liquidated Damages. District may impose damages in the amount of $100.00 per day for each day that a violation by City of Sections 2, 4 and 5 of this agreement occurs, it being expressly agreed that the aforesaid amount shall be imposed as liquidated damages, and not as a forfeiture or penalty. It is further specifically agreed that the aforesaid amount is presumed to be the amount of damages sustained by reason of any such violation, because from the circumstances and nature of the violation it would be impracticable and extremely difficult 3 of 5 March 12, 2001 9201 ach Waste 1 .l r • • to fix actual damages. In addition, District may exercise or pursue any other right or remedy it may have under this Agreement or applicable law. 7. Waiver of Breach /Specific Performance. No assent or waiver, whether expressed or implied, of any breach of any one or more of the covenants, conditions or provisions set forth in this Agreement shall be deemed to be a waiver of any subsequent breach of the same covenant, condition or provision. All rights, remedies, undertakings, obligations, options, covenants and conditions contained in this Agreement or provided by law shall be cumulative and no one of them shall be exclusive of any other. Either party may pursue any one or more of its rights, options or remedies hereunder or may seek damages or specific performance in the event of the breach of the other party hereunder, or may pursue any other remedy by law or equity whether or not stated in this Agreement. 8. Modification of Agreement. The terms of this Agreement are subject to modification by mutual agreement between City and District and changes shall be incorporated by written amendments to this Agreement. The parties agree that the requirements set forth in this paragraph may not be waived, and any attempted waiver shall be void. 9. Attorneys' Fees. In any court proceeding brought by one party hereto against the other to enforce or interpret the terms of this Agreement, or to resolve any dispute arising thereby, the party prevailing in such proceeding shall be entitled, in addition to such other relief as a Court may grant, to an award of its costs, including the reasonable fees and disbursements of its attorneys. 4 of 5 March 12, 2001 9201 ach Waste . ' T • • 10. Entire Agreement. This Agreement is the complete, final, entire, and exclusive expression of the agreement between the parties hereto and supersedes any and all other agreements, either oral or in writing, between the parties with respect tot he subject matter herein. Each party to this Agreement acknowledges that no representations by any party which are not embodied herein and that no other agreement, statement, or promise not contained in this Agreement shall be valid and binding.
