• • PROFESSIONAL SERVICES AGREEMENT FOR SAN GABRIEL RIVER BIKEWAY & RIVER'S END STAGING AREA IMPROVEMENTS between City of Seal Beach 211 - 8th Street Seal Beach, CA 90740 & RBF Consulting 14725 Alton Parkway Irvine, CA 92618 -2027 (949) 472 -3415 (949) 837 -4122 FAX This Professional Service Agreement ( "the Agreement ") is made as of October 13, 2008 (the "Effective Date "), by and between RBF Consulting ("Consultant"), a California Corporation, and the City of Seal Beach ( "City "), a California charter city, (collectively, "the Parties "). • • RECITALS A. City desires certain professional services. B. Consultant represents that it is qualified and able to provide City with such services. NOW THEREFORE, in consideration of the Parties' performance of the promises, covenants, and conditions stated herein, the Parties hereto agree as follows. AGREEMENT 1.0 Scope of Services 1.1. Consultant must provide those services ( "Services ") set forth in the attached Exhibit A, which is hereby incorporated by this reference. To the extent that there is any conflict between Exhibit A and this Agreement, this Agreement must control. 1.2. Consultant must perform all Services under this Agreement in accordance with the standard of care generally exercised by like professionals under similar circumstances and in a manner reasonably satisfactory to Authority. 1.3. In performing this Agreement, Consultant must comply with all applicable provisions of federal, state, and local law. 1.4. Consultant will not be compensated for any work performed not specified in the Scope of Services unless the City authorizes such work in advance and in writing. The City Manager may authorize payment for such work up to a cumulative maximum of $10,000. Payment for additional work in excess of $10,000 requires prior City Council authorization. 2.0 Term This term of this Agreement shall commence as of the Effective Date and shall continue for a term of-60-days unle s previously terminated as provided by this Agreement. 3.0 Consultant's Co "ensation City will pay Consultant in accordance with the fee schedule set forth in Exhibit _for Services but in no event will the City pay more than $240,032.00. Any additional work authorized by the City pursuant to Section 1.4 will be compensated in accordance with the rate schedule set forth in Exhibit A, Appendix A. 4.0 Method of Payment 4.1. Consultant must submit to City monthly invoices for all services rendered pursuant to his Agreement. Such invoices must be submitted within 15 days of the end of the month during which the services were rendered and must describe in detail the services rendered during the period, the days worked, number of hours worked, the hourly rates charged, and the services performed for each day in the period. City will pay Consultant within 30 days of 1 of 6 57296 -0001 \ 1090211v 1.doc • • receiving Consultant's invoice. City will not withhold any applicable federal or state payroll and other required taxes, or other authorized deductions from payments made to Consultant. 4.2. Upon 24 hours notice from City, Consultant must allow City or City's agents or representatives to inspect at Consultant's offices during reasonable business hours all records, invoices, time cards, cost control sheets and other records maintained by Consultant in connection with this Agreement. City's rights under this Section 4.2 shall survive for two years following the termination of this Agreement. 5.0 Termination 5.1. This Agreement may be terminated by City, without cause, or by Consultant based on reasonable cause, upon giving the other party written notice thereof not less than thirty 30 days prior to the date of termination. 5.2. This Agreement may be terminated by City upon 10 days' notice to Consultant if Consultant fails to provide satisfactory evidence of renewal or replacement of comprehensive general liability insurance as required by this Agreement at least 20 days before the expiration date of the previous policy. 6.0 Party Representatives 6.1. The City Manager is the City's representative for purposes of this Agreement. 6.2. Jeremy of is the Consultant's sole representative for purposes of this Agreement. Pffiei,gov/ 7.0 Notices 7.1. Actual notice shall be deemed adequate notice on the date actual notice occurred, regardless of the method of service. 2 of 6 57296- 0001 \1090211v1.doc • • 8.0 Independent contractor 8.1. Consultant is an independent contractor and not an employee of the City. All services provided pursuant to this Agreement shall be performed by Consultant or under its supervision. Consultant will determine the means, methods, and details of performing the services. Any additional personnel performing services under this Agreement on behalf of Consultant shall also not be employees of City and shall at all times be under Consultant's exclusive direction and control. Consultant shall pay all wages, salaries, and other amounts due such personnel in connection with their performance of services under this Agreement and as required by law. Consultant shall be responsible for all reports and obligations respecting such additional personnel, including, but not limited to: social security taxes, income tax withholding, unemployment insurance, disability insurance, and workers' compensation insurance. 8.2. Consultant shall indemnify and hold harmless City and its elected officials, officers and employees, servants, designated volunteers, and agents serving as independent contractors in the role of city or agency officials, from any and all liability, damages, claims, costs and expenses of any nature to the extent arising from Consultant's alleged violations of personnel practices. City shall have the right to offset against the amount of any fees due to Consultant under this Agreement any amount due to City from Consultant as a result of Consultant's failure to promptly pay to City any reimbursement or indemnification arising under this Section 5. 9.0 Subcontractors No portion of this Agreement shall be subcontracted without the prior written approval of the City. Consultant is fully responsible to City for the performance of any and all subcontractors. 10.0 Assignment Consultant must not assign or transfer any interest in this Agreement whether by assignment or novation, without the prior written consent of City. Any purported assignment without such consent shall be void and without effect. 11.0 Insurance 11.1. Consultant must not commence work under this Agreement until it has provided evidence satisfactory to the City that Consultant has secured all insurance required under this Section. Consultant must furnish City with original certificates of insurance and endorsements effecting coverage required by this Agreement on forms satisfactory to the City. The certificates and endorsements for each insurance policy must be signed by a person authorized by that insurer to bind coverage on its behalf, and must be on forms provided by the City if requested. All certificates and endorsements must be received and approved by the City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, at any time. 11.2. Consultant must, at its expense, procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damages to property that may 3 of 6 S7296 -0001 \1090211v1 .doc • • arise from or in connection with the performance of this Agreement. Insurance is to be placed with insurers with a current A.M. Best's rating no less than A:VIII, licensed to do business in California, and satisfactory to the City. Coverage must be at least as broad as the latest version of the following: (1) General Liability: Insurance Services Office Commercial General Liability coverage (occurrence form CG 0001); and (2) Automobile Liability: Insurance Services Office Business Auto Coverage form number CA 0001, code 1 (any auto). Consultant must maintain limits no less than: (1) General Liability: $2,000,000 per occurrence for bodily injury, personal injury and property damage and if Commercial General Liability Insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to this Agreement/location or the general aggregate limit shall be twice the required occurrence limit; and (2) Automobile Liability: $1,000,000 per accident for bodily injury and property damage. 11.3. The insurance policies must contain the following provisions, or Consultant must provide endorsements on forms supplied or approved by the City to state: (1) coverage shall not be suspended, voided, reduced or canceled except after 30 days prior written notice by certified mail, return receipt requested, has been given to the City; (2) any failure to comply with reporting or other provisions of the policies, including breaches of warranties, shall not affect coverage provided to the City, its directors, officials, officers, (3) coverage must be primary insurance as respects the City, its directors, officials, officers, employees, agents and volunteers, or if excess, must stand in an unbroken chain of coverage excess of the Consultant's scheduled underlying coverage and that any insurance or self - insurance maintained by the City, its directors, officials, officers, employees, agents and volunteers shall be excess of the Consultant's insurance and must not be called upon to contribute with it; (4) for general liability insurance, that the City, its directors, officials, officers, employees, agents and volunteers shall be covered as additional insureds with respect to the services or operations performed by or on behalf of the Consultant, including materials, parts or equipment furnished in connection with such work; and (5) for automobile liability, that the City, its directors, officials, officers, employees, agents and volunteers shall be covered as additional insureds with respect to the ownership, operation, maintenance, use, loading or unloading of any auto owned, leased, hired or borrowed by the Consultant or for which the Consultant is responsible. 11.4. All insurance required by this Section must contain standard separation of insureds provisions and must not contain any special limitations on the scope of protection afforded to the City, its directors, officials, officers, employees, agents, and volunteers. 11.5. Any deductibles or self - insured retentions must be declared to and approved by the City. Consultant guarantees that the insurer shall reduce or eliminate such deductibles or self - insured retentions as respects the City, its directors, officials, officers, employees, agents, and volunteers. 12.0 Indemnification, Hold Harmless, and Duty to Defend 12.1. Indemnity for Professional Services. In connection with its professional services, Consultant shall defend, hold harmless and indemnify City, and its elected officials, officers, employees, servants, designated volunteers, and those City agents serving as independent contractors in the role of city or agency officials (collectively, "Indemnitees "), with respect to any and all claims, demands, damages, liabilities, losses, costs or expenses (collectively, 4 of 6 57296 -0001 \1090211v1 .doc • • "Claims" hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, to the extent to which they arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of Consultant or any of its officers, employees, subcontractors, or agents in the performance of its professional services under this Agreement, but not to the extent the result of the negligence or willful misconduct of the City or of other third parties not under the control or the supervision of Consultantd tlrcbitGet s obligation to defend pursuant to this Section 11.1 shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of Indemnitees. Afehi ee shall defend Indemnitees in any action or actions filed in connection with any of said claims with counsel of City's choice, and shall pay all costs and expenses, including all attorneys' fees actually incurred in connection with such defense. 12.2. Other Indemnities. In connection with all Claims not covered by Section 11.1, Consultant shall defend, hold harmless and indemnify the Indemnitees with respect to any and all Claims including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of Consultant or any of its officers, employees, subcontractors, or agents in the performance of this Agreement. Consultant shall defend Indemnitees in any action or actions filed in connection with any such Claims with counsel of City's choice, and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. Awe all defend Indemnitees in any action or actions filed in connection with any of said claims, damages, penalties, obligations, or liabilities with counsel of City's choice and shall pay all costs and expenses, including attorneys' fees actually incurred in connection with such defense. 13.0 Equal Opportunity Consultant affirmatively represents that it is an equal opportunity employer. Consultant must not discriminate against any subcontractor, employee, or applicant for employment because of race, religion, color, national origin, handicap, ancestry, sex, sexual orientation, or age. Such non - discrimination includes, but is not be limited to, all activities related to initial employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, or termination. 14.0 Labor Certification By its signature hereunder, Consultant certifies that it is aware of the provisions of Section 3700 of the California Labor Code that require every employer to be insured against liability for Worker's Compensation or to undertake self - insurance in accordance with the provisions of that Code, and agrees to comply with such provisions before commencing the performance of the Services. 15.0 Entire Agreement This Agreement contains the entire Agreement of the parties with respect to the subject matter hereof, and supersedes all prior negotiations, understandings, or agreements. This Agreement may only be modified by a writing signed by both parties. S7296 -0001 \1090211 v 1.doc 5 of 6 • • 16.0 Severability The invalidity in whole or in part of any provisions of this Agreement shall not void or affect the validity of the other provisions of this Agreement. 17.0 Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of California. 18.0 No Third Party Rights No third party shall be deemed to have any rights hereunder against either Party as a result of this Agreement. 19.0 Waiver No waiver of any default shall constitute a waiver of any other default or breach, whether of the same or other covenant or condition. No waiver, benefit, privilege, or service voluntarily given or performed by a Party shall give the other Party any contractual rights by custom, estoppel, or otherwise. 20.0 Prohibited Interests Consultant maintains and warrants that it has not employed nor retained any company or person, other than a bona fide employee working solely for Consultant, to solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor has it agreed to pay any company or person, other than a bona fide employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, City has the right to rescind this Agreement without liability. For the term of this Agreement, no member, officer or employee of City, during the term of his or her service with City, shall have any direct interest in this Agreement, or obtain any present or anticipated material benefit arising therefrom. 21.0 Attorneys' Fees If either Party commences an action against the other Party, either legal, administrative or otherwise, arising out of or in connection with this Agreement, the prevailing Party in such litigation shall be entitled to have and recover from the losing Party all of its attorney's fees and other costs incurred in connection with such action. 22.0 Exhibits All exhibits referenced in this Agreement are hereby incorporated into the Agreement as if set forth in full herein. Frost Its: Executive VP & CFO -i • • RBF Consulting EXHIBIT "A" SCOPE OF SERVICES SAN GABRIEL RIVER BIKEWAY AND RIVER'S END STAGING AREA IMPROVEMENTS Description of Work The work included in this scope is for professional design services for the San Gabriel River Bikeway improvements and the completion of the River's End Staging Area improvements. The improvements for the San Gabriel River Bikeway will include a new 2 -inch asphalt concrete pavement overlay along a 3.5 -mile portion of bikeway from the Staging Area to the southbound side of the 1-405 freeway, removal and replacement of existing bikeway in damaged areas, new striping for the entire length of bikeway, bikeway signage, and new landscaping and irrigation from the Staging Area to the south side of Pacific Coast Highway. The improvements for the River's End Staging Area will be based on the previously submitted construction documents dated January 30, 2006 and will include new design elements as directed by the City, such as signage graphics, restroom improvements, trash enclosure design, and construction administration. California Costal Commission Coastal Development Permit Processing and CEQA compliance are included in the scope of work for both the bikeway and Staging Area improvements. RBF will perform. the following Scope of Services for the City of Seal Beach. Task 1— Surveying RBF Consulting will provide the following survey services for topographic mapping using aerial photogrammetry for a 20 foot strip of land the center of which is the centerline of the San Gabriel River Trail. Task 1.1 - Survey Control and Target Placement RBF will provide an aerial topographic map of the bike trail between the River's End Staging Area and the 1 -405 freeway. RBF will provide survey ground control and aerial target placement. A sufficient number of control points will be established to accurately control for relief displacement during rectification. Task 1.2 - Aerial Photography and Compilation Services will include all .coordination and payment necessary for the aerial flight, stereo photography and compilation and will be performed under the direction of a Professional Land Surveyor, licensed by the State of Califomia. This work task provides for compilation of a stereo model for the site at a scale of 1 "= 80'.with 2.0' contour interval. All mapping will meet NMAS and ASPRS Class 1 accuracies. Deliverables will include one set of 9 "x9° color contact prints, an AutoCAD 2006 digital file, and a digital terrain model of the site. Topographic mapping will be prepared and delivered in 9 working days after cbmpletiori of aerial photography. SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 1 • • RBF Consulting • Task 1.3 - Aerial Profile Check Surveys RBF will perform quality control .surveys for the purpose of assuring that topographic mapping is consistent with National map standards of accuracy. The basis of horizontal control is the State Plane co- ordinates on the North American Horizontal Datum of 1983 (NAD 83). Elevations will be based on North Amercian Vertical Datum of 1988 (NAVD88). Task 1.4— Record Boundary Base Maps RBF will prepare a Record Boundary Base Map for the bikeway between the River's End Staging Area and the 1-405 freeway. RBF will calculate and plot the existing property boundaries and public rights of way using recorded maps and use field verification of controlling street centerline monuments in the project area. Task 1.5 - Utility Research Verification RBFwiil review -the previously obtained existing • utility' maps and conduct new recofd research to update the location of all utilities serving the site. RBF will research available City and County records to determine the location of existing sewer, water and storm drain improvements in the public streets and on site. RBF will also send written notifications to the various public utility companies requesting copies of their underground facility maps to verify if there have been ownership changes and /or newly installed utilities. Task 2 — Community Meetings Task 2.1— Revised Presentation Graphics - Prior to the first Community Workshop, RBF will prepare updated color graphics of the River's.End Staging Area and overall bike trail area for presentation purposes and use at the workshop. The graphics will be large enough to mount onto presentation boards to be used at the workshops. The Staging Area site plan will show the horizontal layout of the relevant site features and proposed improvements for the parking lot and staging area. Consideration will be given to parking stall layout, pedestrian access, wind surfer staging area, grading, drainage, a native species plant palette, recreational amenities, signage kiosks, and construction costs. The Bike Trail Improvement plan will be a large scale site plan .showing the location of the existing - bike trail to indicate the overall trail improvement area. The Staging Area site plan and Bike Trail Improvement'.plan will be presented to.the City for review and comments prior to presenting at the Community Workshops. After the first. Community SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 2 • • RBF Consulting Workshop, the graphics will be revised based on input from the City and Community to be used in the second Community Workshop. Task 2.2 - Workshop One: Presentation of Preliminary Rivers End Staging Area and Bike Trail Plan During this interactive workshop, RBF will first present the project background (history, key goals, participation process, schedule, etc.). This will be followed by a review of the River's End Staging Area site plan and trail improvement plan, as well as any amenities and details associated with the plans. RBF will answer key questions related to the plans and then ask the participants to break into small groups to review and discuss the plans in more detail. A worksheet will be provided for the groups to record their comments and each group will make a brief presentation to the rest of the group. To close the workshop, RBF will provide a quick summary of the input received and outline next steps in the process. RBF will provide up to 3 staff members to facilitate the workshop and will provide a written summary of the comments received to the City. It is assumed that the City will be responsible for the public notification for the workshop. Task 2.3 - Workshop Two: Presentation of Final Rivers End Staging Area and-Bike-Trail Plan The second workshop will present the final Staging Area site plan and Bike Trail Improvement plan to the community. It is recommended that the second workshop be organized in an open house format that includes a self - running powerpoint presentation outlining the project history and public involvement processrinput, as well as several exhibits which detail the improvements slated for the staging area and trail and that provides information on the schedule. City staff and RBF staff members will be on hand to answer questions from the community. Comment cards will be provided for those who wish to provide additional input. RBF will provide up to 3 staff members to facilitate the workshop and will provide a written summary of the comments received to the City. It is assumed that the City will be responsible for the public notification for the workshop. Task 2.4 — Restroom Programming Phase RBF and its subconsultant, Miralles Associates, will attend one meeting with the City to discuss Standard Requirements. One job site visit will be performed for planning and assessment purposes, including as -built survey of the existing building, site conditions, utilities, and verification of archive plans. A Field Report will be prepared that includes assessments and recommendations, as well as design layout drawings, ADA accessibility analysis, and a preliminary construction cost estimate. Task 3 - Final Construction Documents RBF will review, update, and revise the previously submitted construction documents dated January 30, 2006, incorporate City comments and new design features per the City's direction, and SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 3 • • RBF Consulting include improvements for the existing 3.5 miles of bikeway from the River's End Staging Area to 1- 405 to prepare one set of final construction plans, specifications and estimates in sufficient form and detail to bid and construct the final improvements. The construction documents will be submitted to the City for review at 90%,.100%, and final design completion. The plans will be prepared at 1 " =20' scale in AutoCAD format using the City's title block. Following each submittal, comments provided by the City will be incorporated into the next construction document submittal. The format of the submittals will be: • The 90% and 100% plans will be submitted full -size on D -size (24 "x36 ") paper (five sets). • The final, approved, signed construction plans will be submitted on mylar at full -size (one set), on bond at full -size (ten sets) for bidding purposes, and electronically on. a CD in AutoCAD or PDF format. Task 3.1 - Title Sheet RBF will prepare a Title Sheet showing the project name and location, pertinent.standards for the Contractor to follow, the basis of survey information, RBF's company and contact information, sheet index, and any other pertinent information as requested by the City. Task 3.2 - Demolition Plans RBF will prepare a Demolition Plans showing the removal or protection of existing structures, bikeway paving, utilities, drainage facilities, trees, and vegetation along with clearing and grubbing limits of work. Task 3.3 - SWPPP I NOI 1 Erosion Control RBF will prepare a Storm Water Pollution Prevention Plan (SWPPP) for the on -site improvements and file the Notice of Intent following the requirements of the State Water Resources Control Board's General Construction Activity Storm Water Permit. The SWPPP will be developed for the site construction and is intended to provide a framework of criteria to guide the implementation of storm water control during construction. The document is intended to be flexible to add additional detail as construction progresses and conditions change in the field. The SWPPP document has specific sections, which address the following issues: • Source Identification • NOI (Notice of Intent) • Soil Stabilization Practices • Erosion Control Practices • Post Construction Control Measures • Preventive Maintenance Plan and Inspection • Procedures to Educate Staff SWPPP • Construction Site Monitoring • Certification SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 4 • • RBF Consulting Additionally, RBF will prepare an Erosion Control Plan for the project. The plan will show how to mitigate erosion during construction using the State of California standard requirements. RBF will prepare and process the Erosion Control Plan as part of the Precise Grading, Paving and Drainage Plan submittal. Task 3.4 - Precise Grading, Paving, and Drainage Plans RBF will prepare two sheets at 1"=20' scale of Precise Grading and Drainage Plans. The plans will include precise grading for the parking lot, access road, landscaped areas, drainage facilities, and various activity areas throughout the staging area based on the current site plan. Construction notes and drainage improvements will also be included Task 3.5 — Grading and Drainage Details and Sections RBF will prepare details and typical sections referenced on the precise grading, paving and drainage plan. Task 3.6 - Earthwork Analysis and Calculations RBF will prepare an estimate of the earthwork required to grade within the proposed limits .of work . shown on the precise grading plans. The work performed does not.include construction bidding . services such as bid forms and coordinating this information with contractors. . Task 3.7 — Hydrology Letter RBF will provide a letter summarizing the existing and proposed conditions and drainage areas for the Rivers End Staging Area. Task 3.8 - Horizontal Control Plans RBF.will prepare Horizontal Control Plans to establish the site control dimensions .for positioning major site improvements for the Staging Area only in relation to the site property lines and right -of- way. The horizontal control plan will list the bearing and lengths of all curbs and gutters, sidewalks, buildinglocations, and concrete pads within the project site along with various offset dimensions to property line. Task 3.9 — Bikeway Layout Plans RBF will prepare plans to provide limits of a 2 -inch asphalt concrete pavement overlay along a 3.5- mile portion of bikeway from the Staging Area to the southbound side of the 1-405 freeway. These plans will be prepared as plan view only (no profiles) and will be based on collected survey data. Field verification of the existing bikeway will be completed to show locations of areas of pavement that require removal and replacement. It is assumed that for the bikeway, the removed and replaced portions will match the existing grades. SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 5 • • RBF Consulting Task 3.10 — Signing and Striping Plans RBF will prepare signing and striping plans for both the Staging Area and the bikeway. The plans will include construction notes, signing and striping for the parking area, and access to the parking area. Signage for the Staging Area will include the replacement of the existing metal signs and new signs for ADA requirements. Signage for the bikeway will include street overcrossings notification and bike trail signs. Task 3.11— Bikeway Details and Sections RBF will prepare pavement replacement and signing and striping details including typical sections referenced on the Bike Lane Layout Plans and Signing and Striping Plans. Task 3.12 - Hardscape Layout and Materials Plans RBF will prepare plans indicating the locations and materials to be used for the Staging Area amenities and bikeway, including paving materials, parking facilities, kiosks, walkways, benches, trash receptacles, and signage. Locations of hardscape areas, planting areas, and parking.will also be identified. Task 3;13 - Constriuction Details.- • :. RBF will prepare construction details of the amenities described in Task 3.12. Task 3.14 - Structural Drawings and Calculations RBF will prepare structural drawings and calculations for the kiosks and trash enclosure. The structural calculations will be in 8'/2 x 11 format suitable for plan check review. Task 3.15 - Planting Plans and Details • • RBF will prepare planting plans indicating: the• species, quantity, and size of plant material to. be used in the Staging Area and along the bikeway from the Staging Area to Pacific Coast Highway. A planting legend •and planting details will be included as part of this task. • Task 3.16 - Irrigation Plans and Details RBF will prepare irrigation plans indicating type of irrigation equipment to be used in the Staging Area and along the bikeway from the Staging Area to Pacific Coast Highway, such as irrigation controllers, pipe, valves, quick - couplers, and spray heads. Irrigation design will utilize low water use and efficient water application techniques. • An irrigation legend, irrigation pressure loss calculations, and irrigation details will be included as part of this task. SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 6 ( f • • RBF Consulting Task 3.17 — Electrical Plans and Details RBF's subconsultant, Wright Engineering, will prepare Electrical Plans in the Staging Area only indicating the locations of electrical services, lighting fixtures, routing of conduit and wiring, a detail /elevation of the lighting panel, lighting control details, panel schedules and load calculations, voltage drop calculations, conduit and wire sizing, photometric analysis to meet footcandle requirements provided by the City. Task 3.18 — Signage and Graphics RBF will prepare graphics design for the following signs to be located in the Staging Area: • Three (3) 36" x 48" interpretive signs to be used on the kiosks. It is assumed that one sign will be a large -scale bike trail map and that two signs will illustrate a unique environmental feature of the area (e.g. the sand dunes or watershed area). . • One (1) 36" x 48" sign (text only) for the River's End Cafe to be used on the entry kiosk. RBF will conduct research to obtain the information and images needed for each of the interpretive signs. Additionally, RBF will specify a material substrate for the sign graphics and will provide • electronic images of the graphics to the sign contractor for fabrication. - Task 3.19 — Restroom Design Phase RBF's subconsultant, Miralles Associates, will conduct one job site visit for verification and final site survey purposes. The following will be prepared as part of the restroom construction document submittal: utility plans, including plumbing and electrical lighting /power drawings; limited structural • engineering drawings and calculations (as required to accommodate modifications and obtain plan check approval); ADA and Title 24 disabled access analysis, plans and details, as well.as site plan path -of- travel evaluation; technical specifications, and an Opinion of Probable Construction Costs. Task 3.20-- Technical Specifications RBF will prepare the Specification Special Provisions portions of the construction specifications suitable for bidding and awarding of the Contract for the improvements designed by RBF. The specifications will be prepared in the "Greenbook" Standard Specifications for Public Works Construction format and cover Parts 2 and 3 of the "Greenbook ". It is assumed that the City will provide and prepare Part 1 (General Provisions) of the specifications and be responsible for the overall assembly of the specifications. The specifications will be submitted electronically in Microsoft Word format on a CD, on 8 -1./2" x 11" paper. Task 3.21 - Opinion of Probable Construction Costs RBF will provide an Opinion of Probable Construction Costs based on the construction documents for the 90 %, 100 %, and final submittals. Unit costs will be based on the most current cost information from recent, similar projects compiled by RBF. SCOPE OF WORK September 22, 2008 San Gabriel Bikeway & River's End Staging Area Improvements Page 7 • • RBF Consulting Task 4 - California Coastal Commission Coastal Development Permit Application RBF will' prepare a Coastal Development Permit (CDP) application package in accordance with requirements of the Califomia Coastal Commission (CCC). The submittal package will include: a) Standard Application with attachments, b) vicinity maps, c) CEQA Document, and, d) site plans. RBF will provide regulatory services for the processing of the permit application through the CCC. The processing will include required correspondence or telephone calls between the reviewing staff related to the permit or points of clarification and coordination with the biological consultant, if necessary. This item includes up to two (2) meetings with the reviewing staff during the application review process. This task includes coordination associated with the Coastal Commission Hearing and includes fees for the public mailing. The Coastal Process is typically six (6) months for similar projects. Approximately 120 hours have been budgeted for this task. Should processing time be extended due to more than one (1) round of comments from the CCC, additionally processing hours can be added upon contract augmentation approved by the City. Task 5 - CEQA Clearance Based upon City comments.to the administrative draft Initial Study /Mitigated Negative Declaration . prepared under the previous scope of work, RBF will finalize the study for 30- day.public review. At- the conclusion of'the public review,-responseto comments will be prepared, constituting the Final Mitigated Negative Declaration. The documentation will be presented to city decision makers for review and adoption. Task 6 - Water Quality Management Plan (WQMP) RBF will . review, update, and revise the previously prepared Water Quality Management Plan (WQIVIP), which identifies the incorporation of structural and non - structural Best Management: Practices that will be used on the, project after completion of construction as a procedure to control predicable pollutant runoff in accordance with the requirements and criteria of the County of Orange Drainage Area Master Plan (DAMP). This is a post construction facility management document, which, as such, will require the cooperation of, and input from, the Facility Operations Group. • Task 7 - Project Management and Meetings This task will include basic project management and coordination, including meetings with City Staff and /or Rivers and Mountains Conservancy staff to review progress, discuss draft improvement concepts, and review construction documentation. RBF has budgeted up to a maximum of 120 hours on this task. Additional meetings and services can be provided; upon request by the City, on an hourly basis for an additional fee. Task 8 - Meeting and Project Coordination with Caltrans RBF will coordinate all improvements within Caltrans right -of -way with the appropriate Caltrans office, as required. It is assumed that the City will use it's own Construction Superintendent to oversee the project construction and RBF's duties and responsibilities at the Project site will be in a support role to the City in dealings with the Contractor. Task 9.1— Bid Assistance RBF will be available during the bidding phase of the project to answer questions and provide guidance to the bidders. The City will schedule a meeting for this purpose with all of the prospective bidders and will give RBF advance notice of the meeting. RBF will provide the following: 1. Attend a pre -bid meeting, interpret the documents as may be requested, and maintain a written record �f questions and interpretations given. 2. Provide clarification to the Construction Documents during the bidding period. RBF. will spend up to a maximum twenty (20) hours on .this task. Any additional work will be performed, if required,-on an hdurly•basis for an additional-fee. Task 92 — Shop Drawing Review RBF will review submittals and RFI's, including receipt, review, and appropriate action on shop drawings, product data, samples, and other submittals for conformance with the intent of the Contract Documents. RBF will spend up .to .a maximum of twenty (30). hours on this task. Any additional work will. be performed, if required, on an hourly basis for an additio.nal fee. • Task 9.3 - Construction Meetings & Observation RBF will attend field meetings with City to observe the progress of the work and report on the construction's substantial compliance to the plans and specifications prepared by RBF. It is assumed that the field meetings will occur bi- weekly during a 120 working day construction-period, totaling twelve (12) meetings. RBF will spend up to a maximum of seventy -two (72) hours on this task during the construction. time frame. Since the extent of field changes is unknown at this time, we will spend up to a maximum of twenty (20) hours on this task.
