1 SECOND AMENDMENT TO AGREEMENT NO. 29026

3 THIS SECOND AMENDMENT TO AGREEMENT NO. 29026 is made and
4 entered, in duplicate, as of May 12, 2008 for reference purposes only, pursuant to a
5 minute order of the City Council of the City of Long Beach at its meeting held on
6 November 23, 2004, and a minute order of the City Council of the City of Seal Beach at
7 its meeting held on September 21, 2004, by and between the CITY OF LONG BEACH
8 ( "Long Beach "), and the CITY OF SEAL BEACH ( "Seal Beach ").
9 WHEREAS, the parties entered Agreement No. 29026 whereby Long
10 Beach agreed to provide animal control services to Seal Beach; and
11 WHEREAS, the Agreement contains a provision allowing the parties, by

o a � � 12 mutual agreement, to extend the term of the agreement and the parties desire to do so;
a A P 13 NOW, THEREFORE, in consideration of the mutual terms and conditions in
o a 14 the Agreement and in this Second Amendment, the parties agree as follows:

x co 15 1. Section 1 of the Agreement is hereby amended in its entirety to read

o 0 17 "SECTION 1. TERM. The original term of this Agreement shall commence
18 at 12:01 a.m. on December 1, 2004, and shall terminate at midnight on June 30, 2006,
19 and the first extended term shall commence at 12:01 a.m. on July 1, 2006 and terminate
20 at midnight on June 30, 2008, and the second extended term shall commence at 12:01
21 a.m. on July 1, 2008 and terminate at midnight on June 30, 2010, unless sooner
22 terminated as provided below."
23 2. Section 4.C. is hereby amended in its entirety to read as follows:
24 "C. In the event and to the extent that the total amount of any and all
25 license fees retained by Long Beach does not equal or exceed Seventy -eight Thousand
26 Five Hundred Forty-nine Dollars ($78,549.00) for the period ending on June 30, 2005 and
27 One Hundred Sixteen Thousand Three Hundred Fifty -seven Dollars ($116,357.00) for the
28 period ending on June 30, 2006 with respect to the original term, then Seal Beach shall

1 pay to Long Beach the difference between said total fees and $78,549.00 for the period
2 ending on June 30, 2005 and the difference between said total fees and $116,357.00 for
3 the period ending on June 30, 2006. Payment of the difference shall be made on or
1 4 before July 31, 2005 and July 31, 2006, respectively. In the event and to the extent that
5 the total amount of all license fees retained by Long Beach exceeds $78,549.00 for the
6 year ending on June 30, 2005 and $116,357.00 for the year ending on June 30, 2006,
- 7 then said excess shall be divided equally between Long Beach and Seal Beach.
8 In the event and to the extent that the total amount of any and all fees
9 retained by Long Beach does not equal or exceed One Hundred Twenty -one Thousand
10 One Hundred Twenty -eight Dollars ($121,128.00) on June 30, 2007 with respect to the
11 first extended term, then Seal Beach shall pay Long Beach the difference between the

19 first extended term, then Seal Beach shall pay Long Beach the difference between the
20 total fees and $121,128.00. Payment of the difference shall be made on or before July
21 31, 2008. In the event and to the extent that the total amount of all license fees retained
22 by Long Beach exceeds $121,128.00 on June 30, 2008, then the excess shall be divided
23 equally between Long Beach and Seal Beach.
24 In the event and to the extent that the total amount of any and all fees
25 retained by Long Beach does not equal or exceed One Hundred Twenty -four Thousand
26 Five Hundred Twenty Dollars ($124,520.00) on June 30, 2009 with respect to the second
27 extended term, then Seal Beach shall pay Long Beach the difference between the total
28 fees and $124,520.00. Payment of the difference shall be made on or before July 31,

1 2009. In the event and to the extent that the total amount of all license fees retained by
2 Long Beach exceeds $124,520.00 on June 30, 2009, then the excess shall be divided
3 equally between Long Beach and Seal Beach.
4 In the event and to the extent that the total amount of any and all fees
5 retained by Long Beach does not equal or exceed One Hundred Twenty -eight Thousand
6 Two Hundred Fifty -five Dollars ($128,255.00) on June 30, 2010 with respect to the
7 second extended term, then Seal Beach shall pay Long Beach the difference between
8 the total fees and $128,255.00. Payment of the difference shall be made on or before
9 July 31, 2010. In the event and to the extent that the total amount of all license fees
10 retained by Long Beach exceeds $128,255.00 on June 30, 2010, then the excess shall
11 be divided equally between Long Beach and Seal Beach."

21 total fees to the effective date of termination and the dollar figure obtained by multiplying
22 $11,221.00 times the number of months the Agreement was in effect between December
23 1, 2004 and June 30, 2005, and $9,696.00 times the number of months the Agreement
24 was in effect between July 1, 2005 and June 30, 2006. A partial month shall be deemed
25 a full month. Seal Beach shall pay the difference within thirty (30) days after the effective
26 date of termination. Long Beach shall pay any excess of said fees to Seal Beach.
27 In the event of termination of this Agreement pursuant to Section 7 or
28 Section 9, Long Beach shall retain fees as compensation for services provided by Long

1 Beach through the effective date of the termination. In the event and to the extent that
2 the total amount of any and all fees retained by Long Beach to the effective date of
3 termination but prior to June 30, 2008 does not equal or exceed Ten Thousand Ninety -
4 four Dollars ($10,094.00) for each month that the Agreement has been in effect until June
5 30, 2008, then Seal Beach shall pay to Long Beach the difference between the total fees
6 to the effective date of termination and the dollar figure obtained by multiplying
7 $10,094.00 times the number of months the Agreement was in effect between July 1,
8 2006 and June 30, 2008. A partial month shall be deemed a full month. Seal Beach
9 shall pay the difference within thirty (30) days after the effective date of termination. Long
10 Beach shall pay any excess of these fees to Seal Beach.
11 In the event of termination of this Agreement pursuant to Section 7 or

21 2008 and June 30, 2009, and $10,688.00 times the number of months the Agreement
22 was in effect between July 1, 2009 and June 30, 2010. A partial month shall be deemed

24 date of termination. Long Beach shall pay any excess of said fees to Seal Beach."
25 4. Except as expressly amended in this Second Amendment, the terms
26 and conditions in Agreement No. 29026 are ratified and confirmed and shall remain in full
27 force and effect.

1 FIRST AMENDMENT TO AGREEMENT NO. 29026

3 THIS FIRST AMENDMENT TO AGREEMENT NO. 29026 is made and
4 entered, in duplicate, as of January 23, 2007 for reference purposes only, pursuant to a
5 minute order of the City Council of the City of Long Beach at its meeting held on November
6 23, 2004, and a minute order of the City Council of the City of Seal Beach at its meeting
7 held on September 21, 2004, by and between the CITY OF LONG BEACH ( "Long Beach "),
8 and the CITY OF SEAL BEACH ( "Seal Beach ").
9 WHEREAS, Seal Beach is a charter city authorized to provide animal control
10 services to its residents; and
11 WHEREAS, Seal Beach has historically provided said services and has
12 contracted with Long Beach for emergency back -up services but Seal Beach now desires

° 15 WHEREAS, Long Beach is able and willing to provide said services for Seal

17 Beach is authorized by Section 111 of its Charter to provide these services to Seal Beach;

19 WHEREAS, Seal Beach desires to contract with Long Beach for performance
20 of animal control services within the boundaries of Seal Beach; and
21 WHEREAS, the parties desire to extend the term of the Agreement;
22 NOW, THEREFORE, in consideration of the mutual terms and conditions in
23 the Agreement and in this First Amendment, the parties agree as follows:
24 1. Section 1 of the Agreement is hereby amended in its entirety to read as
25 follows:
26 "SECTION 1. TERM. This Agreement shall commence at 12:01 a.m. on
27 December 1, 2004, and shall terminate at midnight on June 30, 2008, unless sooner
28 terminated as stated below. "

1 2. Section 2.B.(ix) is hereby amended to read as follows:
2 "(ix) To use its best efforts to comprehensively canvass all known
3 households in Seal Beach during the term of this Agreement to insure that all animals
4 required to be licensed are, in fact, licensed.
5 Long Beach will provide the services listed above for an amount of time that
6 averages approximately three (3) hours per day, or twenty -one (21) hours per week."
7 3. Section 4.C. is hereby amended to read as follows:

5 within thirty (30) days after the effective date of termination. Long Beach shall pay any
6 excess of these fees to Seal Beach."
7 5. Exhibit "A" to the Agreement is hereby replaced with Exhibit "A -1" effective
8 October 1, 2006.
9 6. Except as expressly amended in this First Amendment, the terms and
10 conditions in Agreement No. 29026 are ratified and confirmed and shall remain in full force
11 and effect.

5 THIS AGREEMENT, made and entered, in duplicate, as of September
6 21 , 2004 for reference purposes only, pursuant to a minute order of the City Council of the
7 City of Long Beach at its meeting held November 23, 2004, and a minute order of the City
8 Council of the City of Seal Beach at its meeting held on September 21, 2004, by and
9 between the CITY OF LONG BEACH ( "Long Beach "), and the CITY OF SEAL BEACH
10 ( "Seal Beach ").

17 WHEREAS, Long Beach is able and willing to provide said services for Seal
18 Beach on the terms and conditions stated in this Agreement and, as a Charter City, Long
19 Beach is authorized by Section 111 of its Charter to provide these services to Seal Beach;
20 and
21 WHEREAS, Seal Beach desires to contract with Long Beach for performance
22 of animal control services within the boundaries of Seal Beach; and
23 NOW, THEREFORE, in consideration of the mutual terms and conditions in
24 this Agreement, the parties agree as follows:
25 SECTION 1. TERM. This Agreement shall commence at 12:01 a.m. on
26 December 1, 2004, and shall terminate at midnight on June 30, 2006, unless sooner
27 terminated or extended as provided herein. This Agreement may be extended for two (2)
28 additional consecutive periods of two (2) years each, by Seal Beach giving at least thirty

1 (30) days prior notice to Long Beach and the parties mutually agreeing to the provisions
2 of the extension. The parties shall then execute an amendment to this Agreement. Each
3 extension period shall begin on July 1 and end on the following June 30.
4 SECTION 2. SERVICES. A. Long Beach shall perform animal control
5 services for Seal Beach and perform the functions of a Department of Animal Control. In
6 performing said services and functions, Long Beach shall have all of the powers of Seal
7 Beach as if Seal Beach were performing the services and functions. Long Beach agrees
8 to provide such services to Seal Beach at the same level that it provides to the residents
9 of Long Beach.
10 B. In performing the functions of a Department of Animal Control, the Animal
11 Control Services Officer of Long Beach shall serve as the managing officer of animal

° 13 (I) To enforce all Seal Beach ordinances and state laws within Seal

u - . 16 possible, to enforce the provisions of the Seal Beach Municipal Code relating to animal

17 control. Emergency service will be available 24 hours a day, 7 days a week;
18 (iii) To investigate complaints of cruelty to animals brought to the
19 attention of the Animal Control Services Officer;
20 (iv) To pick up and impound, on request from an authorized
21 representative of Seal Beach or any resident of Seal Beach, any stray dogs within the Seal
22 Beach city limits and deliver them as described in sub - section 2(D) below, except that Long
23 Beach shall have no obligation to accept stray animals or pets delivered to the Long Beach
24 animal shelter by residents of Seal Beach;
25 (v) To promptly pick -up injured animals and to pick -up dead animals;
26 (vi) To issue license tags and license receipts;
27 (vii) To perform such duties with respect to the regulation and
28 protection of animals within Seal Beach as directed from time to time by the City Manager

1 of Seal Beach;
2 (viii) To maintain a telephone with a listed number which will be
3 answered twenty -four hours every day; and •
4 (ix) To canvass all known households in Seal Beach during the term
5 of this Agreement to insure that all animals required to be licensed are, in fact, licensed.
6 Long Beach will provide the services listed above for an amount of time that
7 averages approximately three (3) hours per day, or twenty -one (21) hours per week.
8 D. Long Beach shall deliver to the Seal Beach Animal Care Center, 1700
9 Adolfo Lopez Drive, Seal Beach, CA 90740 all animals that Long Beach impounds in Seal
10 Beach and all animals delivered to the Long Beach animal shelter which were found or
11 kept within the City limits of Seal Beach. Pursuant to the contract identified in Section 6,
12 the Seal Beach Animal Care Center shall hold the animals in accordance with Seal Beach

val6 13 ordinances and State laws relating to the keeping, harboring and disposition of animals,
i w 14 except that the following animals will not be delivered to the Seal Beach Animal Care
ma ° 15 Center but will be handled by Long Beach: (I) animals that require quarantine; (ii) animals
o 16 impounded as evidence in criminal cases; (iii) animals impounded in a case alleging that

17 the animal is vicious; (iv) animals that are prohibited by federal, state or local law to be
18 owned or kept by private citizens; and (v) animals in the class Ayes (birds) or the class
19 Mammalia (mammals) that are not normally domesticated in California or that are not
20 native to California.
21 Long Beach shall have no obligation under this Agreement to accept animals
22 impounded in the city limits of Seal Beach or animals brought to the Long Beach animal
23 shelter after being found or kept within the city limits of Seal Beach.
24 E. Long Beach shall furnish and supply all labor, supervision, equipment and
25 supplies necessary to furnish the level of service to be rendered hereunder. In the event
26 that supplies, stationery, forms, decals, notices, citations, or any other material must be
27 used that carries the name of Seal Beach, same shall be supplied by Seal Beach at its own
28 cost and expense.

1 SECTION 3. INDEMNIFICATION. Pursuant to Government Code
2 Section 895.4, Long Beach shall indemnify, defend, and hold Seal Beach harmless from
3 any liability imposed for injury (as defined by Government Code Section 810.8) occurring
4 by reason of any acts or omissions on the part of Long Beach under or in connection with
5 any work, authority, or jurisdiction delegated to Long Beach underthis Agreement and Seal
6 Beach shall indemnify, defend, and hold Long Beach harmless from any liability imposed
7 for injury (as defined by Government Code Section 810.8) occurring by reason of any acts
8 or omissions on the part of Seal Beach under or in connection with any work, authority, or
9 jurisdiction delegated to Seal Beach under this Agreement.
10 SECTION 4. FEES.
11 A. For and in consideration of the rendition of services pursuant to this
=v 12 Agreement, Long Beach shall be entitled to and shall retain any and all license fees and

17 reference.
18 B. Seal Beach shall retain all fines established by the Seal Beach Municipal
19 Code for violations of animal control ordinances as set forth in Seal Beach's
20 Comprehensive Fee Resolution.
21 C. In the event and to the extent that the total amount of any and all license
22 fees retained by Long Beach does not equal or exceed Seventy -eight Thousand Five
23 Hundred Forty -nine Dollars ($78,549.00) for the period ending on June 30, 2005 and One
24 Hundred Sixteen Thousand Three Hundred Fifty -seven Dollars ($116,357.00) for the
25 period ending on June 30, 2006, then Seal Beach shall pay to Long Beach the difference
26 between said total fees and $78,549.00 for the period ending on June 30, 2005 and the
27 difference between said total fees and $116,357.00 for the period ending on June 30,
28 2006. Payment of the difference shall be made on or before July 31, 2005 and July 31,

1 2006, respectively. In the event and to the extent that the total amount of all license fees
2 retained by Long Beach exceeds $78,549.00 for the year ending on June 30, 2005 and
3 $116,357.00 for the year ending on June 30, 2006, then said excess shall be divided
4 equally between Long Beach and Seal Beach.
5 D. In the event of termination of this Agreement pursuant to Section 7 or
6 Section 9, Long Beach shall retain fees as compensation for services provided by Long
7 Beach through the effective date of the termination. In the event and to the extent that the
8 total amount of any and all fees retained by Long Beach to the effective date of termination
9 does not equal or exceed Eleven Thousand Two Hundred Twenty -one Dollars
10 ($11,221.00) for each month that the Agreement has been in effect until June 30, 2005 and
11 Nine Thousand Six Hundred Ninety -six Dollars ($9,696.00) for each subsequent month,

12 then Seal Beach shall pay to Long Beach the difference between the total fees to the

17 Beach shall pay the difference within thirty (30) days after the effective date of termination.
18 Long Beach shall pay any excess of said fees to Seal Beach.
19 E. If this Agreement is extended pursuant to Section 1, the total amount of
20 compensation payable to Long Beach shall be increased: 1) in the first extended period,
21 over a base amount of $116,357.00, by the percent equal to the increase in the Consumer
22 Price Index (All Urban Consumers) for the Los Angeles- Riverside - Orange County
23 Metropolitan Area published by the Bureau of Labor Statistics of the U.S. Department of
24 Labor ( "CPI ") from the base Index number for July, 2005, and 2) in the second extended
25 period, over the compensation for the previous year, by the percent equal to the increase
26 in the CPI from the base Index number for July, 2007. In no event shall the total
27 compensation to Long Beach be less than $116,357.00 for a twelve -month period.
28 SECTION 5. ENFORCEMENT. Seal Beach shall cooperate with Long

1 Beach to the fullest extent possible to enforce all Seal Beach ordinances relating to animal
2 control and to enable Long Beach to collect the fees due to Long Beach pursuant to this
3 Agreement.
4 SECTION 6. SEAL BEACH ANIMAL CARE CENTER. During the term of
5 this Agreement, Seal Beach will enter and keep in effect a contract with The Friends of the
6 Seal Beach Animal Care Center that requires the Seal Beach Animal Care Center to
7 accept animals from employees working in the Animal Control Bureau of the City of Long
8 Beach, requires the Seal Beach Animal Care Centerto hold the animals in accordance with
9 Seal Beach ordinances and State laws relating to the keeping, harboring and disposition
10 of animals, except as described in Section 2(D) above, and requires the Seal Beach
11 Animal Care Center to provide kennels, animal shelters, and related services to enable

17 Failure of Seal Beach to enforce its contract with the Seal Beach Animal Care
18 Center within three (3) days after notice from Long Beach that the Seal Beach Animal Care
19 Center has refused to accept animals from Long Beach as described above shall be a
20 material breach of this Agreement between Seal Beach and Long Beach which entitles
21 Long Beach to terminate this Agreement.
22 SECTION 7. ORDINANCES.
23 A. The Long Beach Municipal Code regulating animals will have no force or
24 effect or application to the services provided by Long Beach under this Agreement.
25 B. If the animal control ordinances of Seal Beach are amended during the
26 term of this Agreement, then Seal Beach shall, within ten (10) days after the effective date
27 of the amendment(s), give notice to Long Beach of such changes. Long Beach shall notify
28 Seal Beach of any objections to the amendments. If Seal Beach and Long Beach cannot

1 come to a mutually acceptable agreement concerning the amendments within thirty (30)
2 days after the original notice from Seal Beach, then Long Beach shall have the right to
3 terminate this Agreement by giving thirty (30) days notice to Seal Beach. In the event of
4 termination, neither party shall have any further obligation under this Agreement except as
5 provided in Section 4.
6 SECTION 8. REPORTS.
7 A. Long Beach shall keep and maintain during the term of this Agreement
8 books and records pertaining to the licensing of animals, collection of fees, impounding of
9 animals, citations issued, warnings issued, and the destruction of animals as these items
10 relate to animals within the city limits of Seal Beach. Said books and records shall be
11 available for audit and examination by Seal Beach during normal business hours of Long

12 Beach and on reasonable notice.

C ;go 13 B. Each month during the term of this Agreement Long Beach will provide
W 14 to the City Manager of Seal Beach a written record of the total dollar amount of license

urnaf 16 C. Long Beach shall maintain a record of all complaints received and furnish
17 to the City Manager of Seal Beach a written record of the complaints and the way in which
18 complaints were handled. Long Beach will furnish this information, along with a written
19 report on the operation of the Long Beach Animal Control Program as it pertains to Seal
20 Beach, monthly to Seal Beach.
21 SECTION 9. TERMINATION. Either party may terminate this Agreement by
22 giving the other party thirty (30) days prior notice, as described in Section 10 below.
23 SECTION 10. NOTICE. Any notice hereunder by either party shall be in
24 writing and personally delivered or deposited in the U.S. Postal Service, first class, postage
25 prepaid, addressed to Long Beach at 333 West Ocean Boulevard, Long Beach, California
26 90802 Attn: City Manager and to Seal Beach at 211 8 Street, Seal Beach, California
27 90740 Attn: City Manager. Notice shall be deemed given on the date deposited in the mail
28 or on the date personal delivery is made, whichever first occurs.

1 SECTION 11. AMENDMENT. This Agreement shall not be amended, nor
2 any provision or breach waived, except in writing signed by the parties which expressly
3 refers to this Agreement.
4 SECTION 12. PROHIBITION AGAINST SUBCONTRACTORS OR
5 ASSIGNMENT. Long Beach shall not contract with any entity to perform in whole or in part
6 the work or services required hereunder without the written approval of Seal Beach.
7 Neither this Agreement nor any interest in this Agreement may be assigned or transferred,
8 voluntarily or by operation of law, without the prior written approval of Seal Beach. Any
9 such prohibited assignment or transfer shall be void.
10 SECTION 13. NON - LIABILITY OF CITY OFFICERS AND EMPLOYEES.
11 No officer or employee of Seal Beach shall be personally liable to Long Beach, or any
12 successor in interest, in the event of any default or breach by Seal Beach or for any

18 SECTION 14. ENTIRE AGREEMENT. This Agreement constitutes the entire
19 understanding between the parties and supersedes all other agreements, whether oral or
20 written, with respect to the subject matter herein.
21 SECTION 15. INDEPENDENT CONTRACTOR. In performing services
22 hereunder, Long Beach is an independent contractor and its employees are not employees
23 or agents of Seal Beach. In that regard, Seal Beach will not withhold taxes of any kind
24 from fees payable to Long Beach, will not obtain workers' compensation for or on behalf
25 of employees of Long Beach, and will not provide any of the usual and customary benefits
26 or privileges for employees of Long Beach, including but not limited to compensation.
