SUBJECT: JANITORIAL MAINTENANCE SERVICES AGREEMENT
SUMMARY OF REQUEST:
That the City Council adopt Resolution No. 6929 approving a professional
services agreement with Able Building Maintenance for Janitorial Maintenance
Services in the amount of $130,000 per year.
BACKGROUND AND ANALYSIS:
On August 24, 2012, staff solicited proposals for janitorial maintenance services
from over 15 firms. The request for proposals requested that the janitorial firm
provide all labor, equipment, and material required to perform the janitorial
maintenance at the specified locations. The intent was to procure high quality
maintenance that would result in attractive building and restroom appearances at
all times.
Currently, the Public Works Department maintains 13 facilities under the current
contract:
• Marina Community Center
• North Seal Beach Community Center
• Mary Wilson Library Senior Center
• Fire Station No. 48 Community Center
• City Hall
• Public Works Corporation Yard
• Police Station
• Police Substation
• Lifeguard Building
• Pier Restrooms
• McGaugh Pool Restrooms
• Zoeter Field Restrooms
• 15t Street Restrooms (locking only)
Agenda Item
On September 25, 2012, staff received six (6) proposals from Able Building
Maintenance, ABM Building Value, Coastal Building Services, Come land
Maintenance Company, Great Cleaning Service, and Progreen Maintenance.
A panel of city staff reviewed the proposals and after careful consideration of the
proposals, staff selected Able Building Maintenance as the most qualified firm.
Able Building Maintenance has numerous municipal contracts, providing janitorial
services for other jurisdictions with great success. They have a proven track
record of professional, quality work. In addition, Able Building Maintenance is a
member of the United States Green Building Council and has embraced the
"green cleaning" concept by adopting a Green Cleaning Program designed to
improve the Indoor Air Quality (IAQ), health and environmental profile of the City
of Seal Beach, and this makes it safer by reducing the exposure of occupants,
employees and maintenance personnel to potentially hazardous chemical,
biological and particulate contaminants.
The annual fee for Able Building Maintenance to perform yearly janitorial services
to the 13 locations listed above is $103,368 per year. The amount authorized by
City Council will also include approximately $20,000 for additional cleanings
(such as special events that are intended to be paid for by permit fees) and to
include a 5% contingency for unexpected cleanings requested by the City that
are not paid for by permit fees.
ENVIRONMENTAL IMPACT:
There is no Environmental Impact related to this item.
LEGAL ANALYSIS:
The City Attorney has reviewed and approved as to form the proposed
Professional Services Agreement with Able Building Maintenance.
FINANCIAL IMPACT:
Sufficient funding is available within the FY 2012-2013 budget under the
Building/Facility Maintenance Fund (052) within the Contract Professional
Services Account (44000). The previous janitorial contract has averaged
approximately $150,000 per year depending upon requests from the City (special
events).
RECOMMENDATION:
It is recommended that the City Council to adopt Resolution No. 6929 approving
a professional services agreement with Able Building Maintenance for Janitorial
Maintenance Services in the amount of $130,000 per year.

THE SEAL BEACH CITY COUNCIL DOES HEREBY RESOLVE:
Section 1. The City Council hereby approves the professional services
agreement ("Agreement") between the City of Seal Beach and Able Building
Maintenance for Janitorial Maintenance Services in the amount of $130.000.
Section 2. The Council hereby directs the City Manager to execute the
agreement.

This Professional Service Agreement ("the Agreement") is made as of November
13, 2012 (the "Effective Date"), by and between Able Building Maintenance
("Consultant"), a California Corporation and the City of Seal Beach ("City"), a
California charter city, (collectively, "the Parties").
RECITALS
A. City desires Janitorial Maintenance Services.
B. Consultant represents that it is qualified and able to provide City
with such services.
NOW THEREFORE, in consideration of the Parties' performance of the
promises, covenants, and conditions stated herein, the Parties hereto agree as
follows.
AGREEMENT
1.0 Scope of Services
1.1. Consultant shall provide those services ("Services") set forth in the
attached Exhibit A and B, which is hereby incorporated by this reference. To the
extent that there is any conflict between Exhibit A and this Agreement, this
Agreement shall control.
1.2. Consultant shall perform all Services under this Agreement in
accordance with the standard of care generally exercised by like professionals
under similar circumstances and in a manner reasonably satisfactory to City.
1.3. In performing this Agreement, Consultant shall comply with all
applicable provisions of federal, state, and local law.
1.4. Consultant will not be compensated for any work performed not
specified in the Scope of Services unless the City authorizes such work in
advance and in writing. The City Manager may authorize payment for such work
up to a cumulative maximum of $10,000. Payment for additional work in excess
of $10,000 requires prior City Council authorization.
2.0 Term
This term of this Agreement shall commence as of January 1, 2013 and
shall continue for a term of 3 years unless previously terminated as provided by
this Agreement. The City, at its option, may choose to renew the contract for two
(2) two-year extensions.
3.0 Consultant's Compensation
City will pay Consultant in accordance with the rates shown on the fee
schedule set forth in Exhibit C for Services but in no event will the City pay more
than $130,000. Any additional work authorized by the City pursuant to Section
1.4 will be compensated in accordance with the fee schedule set forth in Exhibit
C. The City Manger may authorize extra work to fund unforeseen conditions up

to the amount approved at the time of award by the City Council. Payment for
additional work in excess of this amount requires prior City Council authorization.
4.0 Method of Payment
4.1. Consultant shall submit to City monthly invoices for all services
rendered pursuant to this Agreement. Such invoices shall be submitted within 15
days of the end of the month during which the services were rendered and shall
describe in detail the services rendered during the period, the days worked,
number of hours worked, the hourly rates charged, and the services performed
for each day in the period. City will pay Consultant within 30 days of receiving
Consultant's invoice. City will not withhold any applicable federal or state payroll
and other required taxes, or other authorized deductions from payments made to
Consultant.
4.2. Upon 24-hour notice from City, Consultant shall allow City or City's
agents or representatives to inspect at Consultant's offices during reasonable
business hours all records, invoices, time cards, cost control sheets and other
records maintained by Consultant in connection with this Agreement. City's
rights under this Section 4.2 shall survive for two years following the termination
of this Agreement.
5.0 Termination
5.1. This Agreement may be terminated by City, without cause, or by
Consultant based on reasonable cause, upon giving the other party written notice
thereof not less than 30 days prior to the date of termination.
5.2. This Agreement may be terminated by City upon 10 days' notice to
Consultant if Consultant fails to provide satisfactory evidence of renewal or
replacement of comprehensive general liability insurance as required by this
Agreement at least 20 days before the expiration date of the previous policy.
6.0 Party Representatives
6.1. The City Manager is the City's representative for purposes of this
Agreement.
6.2. Scott Sutherland, Regional Manager, is the Consultant's primary
representative for purposes of this Agreement.
7.0 Notices
7.1. All notices permitted or required under this Agreement shall be
deemed made when personally delivered or when mailed 48 hours after deposit
in the United States Mail, first class postage prepaid and addressed to the party

7.2. Actual notice shall be deemed adequate notice on the date actual
notice occurred, regardless of the method of service.
8.0 Independent Contractor
8.1. Consultant is an independent contractor and not an employee of
the City. All services provided pursuant to this Agreement shall be performed by
Consultant or under its supervision. Consultant will determine the means,
methods, and details of performing the services. Any additional personnel
performing services under this Agreement on behalf of Consultant shall also not
be employees of City and shall at all times be under Consultant's exclusive
direction and control. Consultant shall pay all wages, salaries, and other
amounts due such personnel in connection with their performance of services
under this Agreement and as required by law. Consultant shall be responsible
for all reports and obligations respecting such additional personnel, including, but
not limited to: social security taxes, income tax withholding, unemployment
insurance, disability insurance, and workers' compensation insurance.
8.2. Consultant shall indemnify and hold harmless City and its elected
officials, officers, employees, servants, designated volunteers, and agents
serving as independent contractors in the role of City officials, from any and all
liability, damages, claims, costs and expenses of any nature to the extent arising
from Consultant's personnel practices. City shall have the right to offset against
the amount of any fees due to Consultant under this Agreement any amount due
to City from Consultant as a result of Consultant's failure to promptly pay to City
any reimbursement or indemnification arising under this Section.
9.0 Subcontractors
No portion of this Agreement shall be subcontracted without the prior
written approval of the City. Consultant is fully responsible to City for the
performance of any and all subcontractors.

10.0 Assignment
Consultant shall not assign or transfer any interest in this Agreement
whether by assignment or novation, without the prior written consent of City. Any
purported assignment without such consent shall be void and without effect.
11.0 Insurance
11.1. Consultant shall not commence work under this Agreement until it
has provided evidence satisfactory to the City that Consultant has secured all
insurance required under this Section. Consultant shall furnish City with original
certificates of insurance and endorsements effecting coverage required by this
Agreement on forms satisfactory to the City. The certificates and endorsements
for each insurance policy shall be signed by a person authorized by that insurer
to bind coverage on its behalf, and shall be on forms provided by the City if
requested. All certificates and endorsements shall be received and approved by
the City before work commences. The City reserves the right to require
complete, certified copies of all required insurance policies, at any time.
11.2. Consultant shall, at its expense, procure and maintain for the
duration of the Agreement, insurance against claims for injuries to persons or
damages to property that may arise from or in connection with the performance
of this Agreement. Insurance is to be placed with insurers with a current A.M.
Best's rating no less than A:VW, licensed to do business in California, and
satisfactory to the City. Coverage shall be at least as broad as the latest version
of the following: (1) General Liability: Insurance Services Office Commercial
General Liability coverage (occurrence form CG 0001); (2) Automobile Liability:
Insurance Services Office Business Auto Coverage form number CA 0001, code
1 (any auto); and, if required by the City, (3) Professional Liability. Consultant
shall maintain limits no less than: (1) General Liability: $2,000,000 per
occurrence for bodily injury, personal injury and property damage and if
Commercial General Liability Insurance or other form with a general aggregate
limit is used, either the general aggregate limit shall apply separately to this
Agreement/location or the general aggregate limit shall be twice the required
occurrence limit; (2) Automobile Liability: $1,000,000 per accident for bodily injury
and property damage; and (3) Professional Liability: $1,000,000 per
claim/aggregate.
11.3. The insurance policies shall contain the following provisions, or
Consultant shall provide endorsements on forms supplied or approved by the
City to state: (1) coverage shall not be suspended, voided, reduced or canceled
except after 30 days prior written notice by certified mail, return receipt
requested, has been given to the City; (2) any failure to comply with reporting or
other provisions of the policies, including breaches of warranties, shall not affect
coverage provided to the City, its directors, officials, officers, (3) coverage shall
be primary insurance as respects the City, its directors, officials, officers,
employees, agents and volunteers, or if excess, shall stand in an unbroken chain

of coverage excess of the Consultant's scheduled underlying coverage and that
any insurance or self-insurance maintained by the City, its directors, officials,
officers, employees, agents and volunteers shall be excess of the Consultant's
insurance and shall not be called upon to contribute with it; (4) for general liability
insurance, that the City, its directors, officials, officers, employees, agents and
volunteers shall be covered as additional insureds with respect to the services or
operations performed by or on behalf of the Consultant, including materials, parts
or equipment furnished in connection with such work; and (5) for automobile
liability, that the City, its directors, officials, officers, employees, agents and
volunteers shall be covered as additional insureds with respect to the ownership,
operation, maintenance, use, loading or unloading of any auto owned, leased,
hired or borrowed by the Consultant or for which the Consultant is responsible.
11.4. All insurance required by this Section shall contain standard
separation of insureds provisions and shall not contain any special limitations on
the scope of protection afforded to the City, its directors, officials, officers,
employees, agents, and volunteers.
11.5. Any deductibles or self-insured retentions shall be declared to and
approved by the City. Consultant guarantees that, at the option of the City,
either: (1) the insurer shall reduce or eliminate such deductibles or self-insured
retentions as respects the City, its directors, officials, officers, employees,
agents, and volunteers; or (2) the Consultant shall procure a bond guaranteeing
payment of losses and related investigation costs, claims and administrative and
defense expenses.
12.0 Indemnification, Hold Harmless, and Duty to Defend
Consultant shall defend, indemnify, and hold the City, its officials, officers,
employees, volunteers and agents serving as independent contractors in the role
of city officials (collectively 'Indemnitees") free and harmless from any and all
claims, demands, causes of action, costs, expenses, liability, loss, damage or
injury, in law or equity, to property or persons, including wrongful death, in any
manner arising out of or incident to any acts or omissions of Consultant, its
employees, or its agents in connection with the performance of this Agreement,
including without limitation the payment of all consequential damages and
attorneys' fees and other related costs and expenses, except for such loss or
damage arising from the sole negligence or willful misconduct of the City. With
respect to any and all such aforesaid suits, actions, or other legal proceedings of
every kind that may be brought or instituted against Indemnitees, Consultant
shall defend Indemnitees, at Consultant's own cost, expense, and risk, and shall
pay and satisfy any judgment, award, or decree that may be rendered against
Indemnitees. Consultant shall reimburse City and its directors, officials, officers,
employees, agents and/or volunteers, for any and all legal expenses and costs
incurred by each of them in connection therewith or in enforcing the indemnity
herein provided. Consultant's obligation to indemnify shall not be restricted to
insurance proceeds, if any, received by Consultant, the City, its directors,

officials, officers, employees, agents or volunteers. All duties of Consultant
under this Section shall survive termination of this Agreement.
13.0 Equal Opportunity
Consultant affirmatively represents that it is an equal opportunity
employer. Consultant shall not discriminate against any subcontractor,
employee, or applicant for employment because of race, religion, color, national
origin, handicap, ancestry, sex, sexual orientation, or age. Such non-
discrimination includes, but is not limited to, all activities related to initial
employment, upgrading, demotion, transfer, recruitment or recruitment
advertising, layoff, or termination.
14.0 Labor Certification
By its signature hereunder, Consultant certifies that it is aware of the
provisions of Section 3700 of the California Labor Code that require every
employer to be insured against liability for Workers' Compensation or to
undertake self-insurance in accordance with the provisions of that Code, and
agrees to comply with such provisions before commencing the performance of
the Services.
15.0 Entire Agreement
This Agreement contains the entire agreement of the parties with respect
to the subject matter hereof, and supersedes all prior negotiations,
understandings, or agreements. This Agreement may only be modified by a
writing signed by both parties.
16.0 Severability
The invalidity in whole or in part of any provisions of this Agreement shall
not void or affect the validity of the other provisions of this Agreement.
17.0 Governing Law
This Agreement shall be governed by and construed in accordance with
the laws of the State of California.
18.0 No Third Party Rights
No third party shall be deemed to have any rights hereunder against either
party as a result of this Agreement.
19.0 Waiver
No waiver of any default shall constitute a waiver of any other default or
breach, whether of the same or other covenant or condition. No waiver, benefit,

privilege, or service voluntarily given or performed by a party shall give the other
party any contractual rights by custom, estoppel, or otherwise.
20.0 Prohibited Interests; Conflict of Interest
20.1. Consultant covenants that it presently has no interest and shall not
acquire any interest, direct or indirect, which may be affected by the Services, or
which would conflict in any manner with the performance of the Services.
Consultant further covenants that, in performance of this Agreement, no person
having any such interest shall be employed by it. Furthermore, Consultant shall
avoid the appearance of having any interest, which would conflict in any manner
with the performance of the Services. Consultant shall not accept any
ernployment or representation during the term of this Agreement which is or may
likely make Consultant "financially interested" (as provided in California
Government Code §§1090 and 87100) in any decision made by City on any
matter in connection with which Consultant has been retained.
20.2. Consultant further warrants and maintains that it has not employed
or retained any person or entity, other than a bona fide employee working
exclusively for Consultant, to solicit or obtain this Agreement. Nor has
Consultant paid or agreed to pay any person or entity, other than a bona fide
employee working exclusively for Consultant, any fee, commission, gift,
percentage, or any other consideration contingent upon the execution of this
Agreement. Upon any breach or violation of this warranty, City shall have the
right, at its sole and absolute discretion, to terminate this Agreement without
further liability, or to deduct from any sums payable to Consultant hereunder the
full amount or value of any such fee, commission, percentage or gift.
20.3. Consultant warrants and maintains that it has no knowledge that
any officer or employee of City has any interest, whether contractual, non-
contractual, financial, proprietary, or otherwise, in this transaction or in the
business of Consultant, and that if any such interest comes to the knowledge of
Consultant at any time during the term of this Agreement, Consultant shall
immediately make a complete, written disclosure of such interest to City, even if
such interest would not be deemed a prohibited "conflict of interest" under
applicable laws as described in this subsection.
21.0 Attorneys' Fees
If either party commences an action against the other party, either legal,
administrative or otherwise, arising out of or in connection with this Agreement,
the prevailing party in such litigation shall be entitled to have and recover from
the losing party all of its attorneys' fees and other costs incurred in connection
therewith.

22.0 Exhibits
All exhibits referenced in this Agreement are hereby incorporated into the
Agreement as if set forth in full herein. In the event of any material discrepancy
between the terms of any exhibit so incorporated and the terms of this
Agreement, the terms of this Agreement shall control.
23.0 Corporate Authority
The person executing this Agreement on behalf of Consultant warrants
that he or she is duly authorized to execute this Agreement on behalf of said
Party and that by his or her execution, the Consultant is formally bound to the
provisions of this Agreement.
IN WITNESS WHEREOF, the Parties hereto, through their respective

GENERAL INFORMATION
The City of Seal Beach is requesting proposals to provide qualified Professional
Janitorial Services. Proposals must conform to the requirements of this Request for
Proposal (RFP), and must be submitted in a sealed envelope, to the Department of
Public Works no later than 10:00 a.m., on Tuesday September 25, 2012. The City
reserves the right to waive any irregularity in any proposal, or to reject any proposal that
does not comply with this RFP. The City will select the qualified firm and/or consultant.
During the time leading up to the delivery of proposals to the City, a prospective firm
may preview any location for a better understanding of the requirements of that location.
Locations that are open to the public may be viewed at any time during normal
operation hours. Locations that are not open to the public must be prearranged with the
City's Public Works Department at 562-431-2527 ext 1331. The Police Department will
have a scheduled walk-through set for Thursday, September 13, 2012 at 9:00 AM.
Firms wishing to view this location shall meet at 911 Adolfo Lopez Drive, Seal Beach
California, 90740 at 9:00 AM in the lobby.
The successful consultant will be required to enter into an agreement with the City,
which will include the requirements of this RFP as well as other requirements to be
specified at a later date. By submitting a proposal, the consultant agrees to all of the
terms of this RFP and Agreement.
Any modifications made to this RFP by the City will be made in the form of a written
addendum. No verbal modifications will be made. Modifications will be sent to all
proposers.
The desired contract period will be from January 1, 2013 and continue to December 31,
2015. The term of the contract shall be for three (3) years and the City, at its option,
may choose to renew the contract for two (2) two-year extensions. The City shall
provide written notification to the Contractor thirty (30) days in advance of the contract
expiration indicating whether the City intends to extend the contract. The City has the
right to terminate the contract at any time by providing thirty (30) days written notice to
the Contractor.
11. PROJECT BACKGROUND
The City of Seal Beach currently owns, operates and maintains eleven (11) facilities
within the City limits. These facilities require janitorial services to keep them in a clean
state of affairs, for both the employees at these locations and the public which may use
these locations. The locations are:

The Primary objectives of the JANITORIAL MAINTENANCE SERVICES are to:
• Establish and adhere to a regular schedule of cleaning and maintenance.
• Maintain a visually pleasing and tidy appearance at all times for the City facilities
included as part of this contract.
• Maintain a high state of cleanliness and sanitation acceptable to the City and its
residents for the City facilities included as part of this contract.
• Meet all Federal, State and City laws and ordinances.
o Handle, Use and Dispose of all materials and chemicals used in cleaning in a
manner consistent with the current NPDES permit and the City of Seal Beach
Municipal Code. In addition, the contractor shall have a training program in place
to cover techniques, methods, equipment and materials uses in cleaning. The
training shall additionally cover the safe use, handling and disposal of all
chemicals and materials.
III. PROPOSAL SUBMISSION REQUIREMENTS
The Department has established requirements for proposal format. Proposals shall be
submitted in a reusable three ring binder or in a sealed envelope. All pages shall be
duplex copied.
Four copies of the proposal must be submitted containing the following
elements:
1. Cover Letter.
2. Firm Structure and History, including the firm's experience managing projects
similar in magnitude and scope, key personnel and structure (org chart),
credentials, background, and ownership of the firm. Include the firm's previous
experience with management of storm drain improvement projects.
3. Key personnel: List qualifications of personnel with resumes and a breakdown of
responsibilities. The project manager of the firm, who will be responsible for
planning, coordinating, and conducting a majority of the work, must be identified
and committed to the project. The City must approve changes to key personnel
committed to work on the project after the contract is awarded.

4. A client reference list from previous projects of similar scope and magnitude. The
list should include key personnel contacts and their positions within the agency.
This list shall show:
• Satisfactory evidence that the Contractor has been in existence as a going
concern for in- excess -of three (3) years. It is preferred but not required
that the Contractor also have not less than three (3) years actual operating
experience as a going concern in the field of janitorial maintenance
services in the State of California.
m Satisfactory evidence that the Contractor's experience as an ongoing
concern in municipal janitorial maintenance services in the State of
California, derives from operations of comparable size to that
contemplated by this proposal. Details shall include length of other
contracts, name and size of municipality and /or client, nature of service
provided, and the name, phone and facsimile numbers of the contact
person.
5. A disclosure of all personal, professional or financial relationships with any officer
or employee of the City.
6. Company Fee Schedule included with the submittal but in a separate, sealed
envelope. The proposal shall include the following:

® Supply costs for additional product (i.e. toilet seat covers, multi -fold kitchen
towels, etc.)
7. Acceptance statement that all prospective employees directed to work on this
project will comply with the following before working under this contract:
"Access to the non - public areas of the police facilities is restricted. Vendor will
ensure that all employees and sub- contractors performing work at police facilities
will undergo Live Scan fingerprinting. The results of the fingerprint checks shall
be forwarded from the Department of Justice to the Seal Beach Police
Department Custodian of Records. Vendor will not utilize personnel to service
police facilities without prior clearance through the Department of Justice via Live
Scan."

V. PAYMENT
For all of the services which the Contractor is obligated to perform under the terms of
this contract, the City shall pay to the Contractor once each month a sum equal to the
amount specified in Contractor's Proposal, or as amended by any subsequent

adjustments thereto and provided hereinafter. The Contractor shall submit a detailed
invoice. City, upon receipt and approval of an accepted invoice, will make payment
within 30 days of receipt of invoice.
A summary of the daily log sheets giving a brief description of all routine and
extraordinary maintenance activities shall be provided monthly in addition to copies of
daily and quarterly service logs prior to invoice approval.
Occasional additional specified janitorial work may be required by the City, particularly
during the summer seasons and holidays, to include add-on scheduled and non-
scheduled janitorial maintenance for events, spills, and unusual conditions or any other
janitorial service requested by the City not included in routine/scheduled janitorial
maintenance service.
The Contractor shall contact the Director of Public Works or his representative
regarding any extraordinary maintenance work and seek his prior approval before the
work is scheduled. The Contractor shall notify the Director of Public Works or his
representative by telephone at least four (4) hours in advance before any work is
commenced, except in emergencies where injury or property damage may result
without prompt response.
The Contractor shall present to the City an itemized list of all additional specified
janitorial work on a separate monthly invoice for additional specified janitorial work
performed during the previous month. The City shall compensate Contractor within
thirty (30) days of receipt of an itemized monthly invoice.
Billing for additional specified janitorial work is based on an hourly rate with travel time
included as per the bid included in this contract and no additional compensation will be
allowed.
Contractor shall submit an invoice monthly for service performed. Scheduled janitorial
maintenance services and additional specified janitorial work shall be submitted on
separate invoices.

Original contract prices shall remain in effect through October 31, 2015. Should the City
notify the Contractor that the City will continue the work for an additional two (2) year
period as provided in the contract documents, the Contractor may petition the City to
increase their pricing by a percentage equal to the percentage increase in the U.S.
Consumer Price Index/All Urban Consumers (CPI-U). The Director of Public Works
shall determine if a CPI increase is warranted.
The Contractor may also petition the City for rate adjustments on the basis of unusual
changes in his cost of doing business, such as revised laws or regulations, or changes
in disposal fees over which the Contractor has no control.
In order to justify such a rate increase, the Contractor shall submit financial and
accounting data to the City which clearly substantiates the requested rate increase.
After consideration of such financial and accounting data as submitted by the Contractor
and any other relevant information, the City Council shall disapprove, approve, or
approve with modification the requested rate increase. The decision of the City Council
shall be final and conclusive. The Contractor agrees to abide by the City Council's
decision.
VI. SELECTION CRITERIA
The proposals will be evaluated on the following factors, but may not be limited to just
these factors:
Staffing Capabilities / Technical Competence
Extensive knowledge and background with Municipal Janitorial Services.
Past Performance Record
Experience in work of similar complexity and scale. Efficiency and timeliness in
completion of program requirements.
Approach to Work
Methodology to be implemented to address and coordinate the various elements within
the program. Schedules and checklists and availability to handle requests/complaints.
Cost Control
Demonstrated ability to provide innovative and reliable services within an acceptable
cost.
VII. SELECTION PROCESS
DEPARTMENT OF PUBLIC WORKS City of Seal Beach
Selection of the consultant will be made in accordance with the provision of Chapter 10
of the California Government Code, Sections 4526 and 4529.5. Stating that selection of
professional services is made on the basis of competence and qualifications without
regard to fee. The fee will be opened and evaluated after selection of the consultant is
complete.
Each RFP will be reviewed to determine if it meets the submittal requirements contained
within this RFP. Failure to meet the requirements of the RFP will be cause for rejection
of the proposal. The City may reject any proposal if it is conditional, incomplete or
contains irregularities. The City may waive an immaterial deviation in a proposal, but
this shall in no way modify the proposal document or excuse the consultant from
compliance with the contract requirements if the consultant is awarded a contract.
Proposals that meet the criteria of this RFP will be reviewed by a panel. The
Department may conduct oral interviews. The selected firm(s) will be notified, in
advance, of the time and place for the oral interviews. Consultants will also be advised
of additional information, if any, to be submitted at the oral interviews. Failure to appear
at the interview will be considered non-responsive and the firm will be eliminated from
any further consideration. Upon completion of the oral interviews, the City of Seal
Beach will select the top ranked consultant deemed to be the most qualified.
The successful consultant to whom work is awarded shall, within ten (10) days after
being notified, enter into a contract with the City for the work in accordance with the
specifications, and shall furnish all required documents necessary to enter into said
contract. Failure of the successful bidder to execute the contract within said ten (10)
days shall be just cause for the City to contract with the next responsible consultant.

All property rights, including publication rights of all reports produced by the selected
firm in connection with services performed under this agreement shall be vested in the

X. INSURANCE
Before the City executes a professional services agreement, the selected firm shall
furnish the City a certificate evidencing Workmen's Compensation Insurance with limits
no less than $1,000,000 per accident and Comprehensive Professional Liability
Insurance or General Liability Insurance with limits no less than $1,000,000 per

This Professional Service Agreement ( "the Agreement ") is made as of
2012 (the "Effective Date'), by and between
( "Consultant "), a California Corporation and the City of Seal Beach ( "City "), a
California charter city, (collectively, "the Parties ").

RECITALS
A. City desires certain professional services.
13. Consultant represents that it is qualified and able to provide City
with such services.
NOW THEREFORE, in consideration of the Parties' performance of the
promises, covenants, and conditions stated herein, the Parties hereto agree as
follows,
AGREEMENT
1.0 Scope of Services
1.1. Consultant shall provide those services ("Services") set forth in the
attached Exhibit A,B and C, which is hereby incorporated by this reference. To
the extent that there is any conflict between Exhibit A and this Agreement, this
Agreement shall control.
1.2. Consultant shall perform all Services under this Agreement in
accordance with the standard of care generally exercised by like professionals
under similar circumstances and in a manner reasonably satisfactory to City.
1.3. In performing this Agreement, Consultant shall comply with all
applicable provisions of federal, state, and local law.
1.4. Consultant will not be compensated for any work performed not
specified in the Scope of Services unless the City authorizes such work in
advance and in writing. The City Manager may authorize payment for such work
up to a cumulative maximum of $10,000. Payment for additional work in excess
of $10,000 requires prior City Council authorization.
2.0 Term
This term of this Agreement shall commence as of the Effective Date and
shall continue for a term of 3 years unless previously terminated as provided by
this Agreement.
3.0 Consultant's Compensation
City will pay Consultant in accordance with the hourly rates shown on the
fee schedule set forth in Exhibit D for Services but in no event will the City pay
more than $ . Any additional work authorized by the City
pursuant to Section 1.4 will be compensated in accordance with the fee schedule
set forth in Exhibit . The City Manger may authorize extra work to fund
unforeseen conditions up to the amount approved at the time of award by the

City Council. Payment for additional work in excess of this amount requires prior
City Council authorization.
4.0 Method of Payment
4.1. Consultant shall submit to City monthly invoices for all services
rendered pursuant to this Agreement. Such invoices shall be submitted within 15
days of the end of the month during which the services were rendered and shall
describe in detail the services rendered during the period, the days worked,
number of hours worked, the hourly rates charged, and the services performed
for each day in the period. City will pay Consultant within 30 days of receiving
Consultant's invoice. City will not withhold any applicable federal or state payroll
and other required taxes, or other authorized deductions from payments made to
Consultant.
4.2. Upon 24-hour notice from City, Consultant shall allow City or City's
agents or representatives to inspect at Consultant's offices during reasonable
business hours all records, invoices, time cards, cost control sheets and other
records maintained by Consultant in connection with this Agreement. City's
rights under this Section 4.2 shall survive for two years following the termination
of this Agreement.
5.0 Termination
5.1. This Agreement may be terminated by City, without cause, or by
Consultant based on reasonable cause, upon giving the other party written notice
thereof not less than 30 days prior to the date of termination.
5.2. This Agreement may be terminated by City upon 10 days' notice to
Consultant if Consultant fails to provide satisfactory evidence of renewal or
replacement of comprehensive general liability insurance as required by this
Agreement at least 20 days before the expiration date of the previous policy.
6.0 Party Representatives
6.1. The City Manager is the City's representative for purposes of his
Agreement.
6.2. Ken Taylor, Director of Engineering, is the Consultant's primary
representative for purposes of this Agreement.
7.0 Notices
7.1. All notices permitted or required under this Agreement shall be
deemed made when personally delivered or when mailed 48 hours after deposit
in the United States Mail, first class postage prepaid and addressed to the party
at the following addresses:

7.2. Actual notice shall be deemed adequate notice on the date actual
notice occurred, regardless of the method of service.
8.0 independent Contractor
8.1. Consultant is an independent contractor and not an employee of
the City. All services provided pursuant to this Agreement shall be performed by
Consultant or under its supervision. Consultant will determine the means,
methods, and details of performing the services. Any additional personnel
performing services under this Agreement on behalf of Consultant shall also not
be employees of City and shall at all times be under Consultant's exclusive
direction and control. Consultant shall pay all wages, salaries, and other
amounts due such personnel in connection with their performance of services
under this Agreement and as required by law. Consultant shall be responsible
for all reports and obligations respecting such additional personnel, including, but
not limited to: social security taxes, income tax withholding, unemployment
insurance, disability insurance, and workers' compensation insurance.
8.2. Consultant shall indemnify and hold harmless City and its elected
officials, officers, employees, servants, designated volunteers, and agents
serving as independent contractors in the role of City officials, from any and all
liability, damages, claims, costs and expenses of any nature to the extent arising
from Consultant's personnel practices. City shall have the right to offset against
the amount of any fees due to Consultant under this Agreement any amount due
to City from Consultant as a result of Consultant's failure to promptly pay to City
any reimbursement or indemnification arising under this Section.
9.0 Subcontractors
No portion of this Agreement shall be subcontracted without the prior
written approval of the City. Consultant is fully responsible to City for the
performance of any and all subcontractors.

10.0 Assignment
Consultant shall not assign or transfer any interest in this Agreement
whether by assignment or novation, without the prior written consent of City. Any
purported assignment without such consent shall be void and without effect.
11.0 Insurance
11.1. Consultant shall not commence work under this Agreement until it
has provided evidence satisfactory to the City that Consultant has secured all
insurance required under this Section. Consultant shall furnish City with original
certificates of insurance and endorsements effecting coverage required by this
Agreement on forms satisfactory to the City. The certificates and endorsements
for each insurance policy shall be signed by a person authorized by that insurer
to bind coverage on its behalf, and shall be on forms provided by the City if
requested. All certificates and endorsements shall be received and approved by
the City before work commences. The City reserves the right to require
complete, certified copies of all required insurance policies, at any time.
11.2. Consultant shall, at its expense, procure and maintain for the
duration of the Agreement, insurance against claims for injuries to persons or
damages to property that may arise from or in connection with the performance
of this Agreement. Insurance is to be placed with insurers with a current A.M.
Best's rating no less than A:VIII, licensed to do business in California, and
satisfactory to the City. Coverage shall be at least as broad as the latest version
of the following: (1) General Liability: Insurance Services Office Commercial
General Liability coverage (occurrence form CG 0001); (2) Automobile Liability:
Insurance Services Office Business Auto Coverage form number CA 0001, code
1 (any auto); and, if required by the City, (3) Professional Liability. Consultant
shall maintain limits no less than: (1) General Liability: $2,000,000 per
occurrence for bodily injury, personal injury and property damage and if
Commercial General Liability Insurance or other form with a general aggregate
limit is used, either the general aggregate limit shall apply separately to this
Agreement/location or the general aggregate limit shall be twice the required
occurrence limit; (2) Automobile Liability: $1,000,000 per accident for bodily injury
and property damage; and (3) Professional Liability: $1,000,000 per
claim/aggregate.
11.3. The insurance policies shall contain the following provisions, or
Consultant shall provide endorsements on forms supplied or approved by the
City to state: (1) coverage shall not be suspended, voided, reduced or canceled
except after 30 days prior written notice by certified mail, return receipt
requested, has been given to the City; (2) any failure to comply with reporting or
other provisions of the policies, including breaches of warranties, shall not affect
coverage provided to the City, its directors, officials, officers, (3) coverage shall
be primary insurance as respects the City, its directors, officials, officers,
employees, agents and volunteers, or if excess, shall stand in an unbroken chain

of coverage excess of the Consultant's scheduled underlying coverage and that
any insurance or self-insurance maintained by the City, its directors, officials,
officers, employees, agents and volunteers shall be excess of the Consultant's
insurance and shall not be called upon to contribute with it; (4) for general liability
insurance, that the City, its directors, officials, officers, employees, agents and
volunteers shall be covered as additional insureds with respect to the services or
operations performed by or on behalf of the Consultant, including materials, parts
or equipment furnished in connection with such work; and (5) for automobile
liability, that the City, its directors, officials, officers, employees, agents and
volunteers shall be covered as additional insureds with respect to the ownership,
operation, maintenance, use, loading or unloading of any auto owned, leased,
hired or borrowed by the Consultant or for which the Consultant is responsible.
11.4. All insurance required by this Section shall contain standard
separation of insureds provisions and shall not contain any special limitations on
the scope of protection afforded to the City, its directors, officials, officers,
employees, agents, and volunteers.
11.5. Any deductibles or self-insured retentions shall be declared to and
approved by the City. Consultant guarantees that, at the option of the City,
either: (1) the insurer shall reduce or eliminate such deductibles or self-insured
retentions as respects the City, its directors, officials, officers, employees,
agents, and volunteers; or (2) the Consultant shall procure a bond guaranteeing
payment of losses and related investigation costs, claims and administrative and
defense expenses.
12.0 Indemnification, Hold Harmless, and Duty to Defend
Consultant shall defend, indemnify, and hold the City, its officials, officers,
employees, volunteers and agents serving as independent contractors in the role
of city officials (collectively "Indemnitees") free and harmless from any and all
claims, demands, causes of action, costs, expenses, liability, loss, damage or
injury, in law or equity, to property or persons, including wrongful death, in any
manner arising out of or incident to any acts or omissions of Consultant, its
employees, or its agents in connection with the performance of this Agreement,
including without limitation the payment of all consequential damages and
attorneys' fees and other related costs and expenses, except for such loss or
damage arising from the sole negligence or willful misconduct of the City. With
respect to any and all such aforesaid suits, actions, or other legal proceedings of
every kind that may be brought or instituted against lndemnitees, Consultant
shall defend lndemnitees, at Consultant's own cost, expense, and risk, and shall
pay and satisfy any judgment, award, or decree that may be rendered against
Indemnitees. Consultant shall reimburse City and its directors, officials, officers,
employees, agents and/or volunteers, for any and all legal expenses and costs
incurred by each of them in connection therewith or in enforcing the indemnity
herein provided. Consultant's obligation to indemnify shall not be restricted to
insurance proceeds, if any, received by Consultant, the City, its directors,

officials, officers, employees, agents or volunteers. All duties of Consultant
under this Section shall survive termination of this Agreement.
13.0 Equal Opportunity
Consultant affirmatively represents that it is an equal opportunity
employer. Consultant shall not discriminate against any subcontractor,
employee, or applicant for employment because of race, religion, color, national
origin, handicap, ancestry, sex, sexual orientation, or age. Such non-
discrimination includes, but is not limited to, all activities related to initial
employment, upgrading, demotion, transfer, recruitment or recruitment
advertising, layoff, or termination.
14.0 Labor Certification
By its signature hereunder, Consultant certifies that it is aware of the
provisions of Section 3700 of the California Labor Code that require every
employer to be insured against liability for Workers' Compensation or to
undertake self-insurance in accordance with the provisions of that Code, and
agrees to comply with such provisions before commencing the performance of
the Services.
15.0 Entire Agreement
This Agreement contains the entire agreement of the parties with respect
to the subject matter hereof, and supersedes all prior negotiations,
understandings, or agreements. This Agreement may only be modified by a
writing signed by both parties.
16.0 Severability
The invalidity in whole or in part of any provisions of this Agreement shall
not void or affect the validity of the other provisions of this Agreement.
17.0 Governing Law
This Agreement shall be governed by and construed in accordance with
the laws of the State of California.
18.0 No Third Party Rights
No third party shall be deemed to have any rights hereunder against either
party as a result of this Agreement.
19.0 Waiver
No waiver of any default shall constitute a waiver of any other default or
breach, whether of the same or other covenant or condition. No waiver, benefit,

privilege, or service voluntarily given or performed by a party shall give the other
party any contractual rights by custom, estoppel, or otherwise.
20.0 Prohibited Interests; Conflict of Interest
20.1. Consultant covenants that it presently has no interest and shall not
acquire any interest, direct or indirect, which may be affected by the Services, or
which would conflict in any manner with the performance of the ServiCes.
Consultant further covenants that, in performance of this Agreement, no person
having any such interest shall be employed by it. Furthermore, Consultant shall
avoid the appearance of having any interest, which would conflict in any manner
with the performance of the Services. Consultant shall not accept any
employment or representation during the term of this Agreement which is or may
likely make Consultant "financially interested" (as provided in California
Government Code §§1090 and 87100) in any decision made by City on any
matter in connection with which Consultant has been retained.
20.2. Consultant further warrants and maintains that it has not employed
or retained any person or entity, other than a bona fide employee working
exclusively for Consultant, to solicit or obtain this Agreement. Nor has
Consultant paid or agreed to pay any person or entity, other than a bona fide
employee working exclusively for Consultant, any fee, commission, gift,
percentage, or any other consideration contingent upon the execution of this
Agreement. Upon any breach or violation of this warranty, City shall have the
right, at its sole and absolute discretion, to terminate this Agreement without
further liability, or to deduct from any sums payable to Consultant hereunder the
full amount or value of any such fee, commission, percentage or gift.
20.3. Consultant warrants and maintains that it has no knowledge that
any officer or employee of City has any interest, whether contractual, non-
contractual, financial, proprietary, or otherwise, in this transaction or in the
business of Consultant, and that if any such interest comes to the knowledge of
Consultant at any time during the term of this Agreement, Consultant shall
immediately make a complete, written disclosure of such interest to City, even if
such interest would not be deemed a prohibited "conflict of interest" under
applicable laws as described in this subsection.
21.0 Attorneys' Fees
If either party commences an action against the other party, either legal,
administrative or otherwise, arising out of or in connection with this Agreement,
the prevailing party in such litigation shall be entitled to have and recover from
the losing party all of its attorneys' fees and other costs incurred in connection
therewith.

22.0 Exhibits
All exhibits referenced in this Agreement are hereby incorporated into the
Agreement as if set forth in full herein. In the event of any material discrepancy
between the terms of any exhibit so incorporated and the terms of this
Agreement, the terms of this Agreement shall control.
23.0 Corporate Authority
The person executing this Agreement on behalf of Consultant warrants
that he or she is duly authorized to execute this Agreement on behalf of said
Party and that by his or her execution, the Consultant is formally bound to the
provisions of this Agreement.
IN WITNESS WHEREOF, the Parties hereto, through their respective
authorized representatives have executed this Agreement as of the date and

the embodiment of the American dream. Angelo worked a sales job by day before a nighttime janitorial job in
San Francisco's North Beach District and changed the local landscape forever. Angelo saw the potential for a
broad-based janitorial business' saved enough money to buy a company consisting of three emp|oyeoo, and

AbIe Window Cleaning was founded in 1926 and then became Able Building Maintenance in 1951 when the
Boschetto family purchased it. Today the company that Angelo purchased has expanded nationwide. Under the
leadership of Able Services' Paul Boschetto, our staff remains dedicated to the principles of its founder.

At do Building Maintenance has had a long and beneficial relationship with the Union. Currently in Southern
California we employ approximately 1500 Union employees.

A. General Information
Schedule af Work
1. All contracted cleaning services will be performed Sunday through Saturday depending on location.
2. Immediate transmittal o[ all accidents, damage, or plumbing problems to building management.
3. Able Building Maintenance' corporate office hours are from 8:00 am to 5:30 p.m., Monday through Friday.
Equipment
Able Building Maintenance will provide all equipment necessary tor the cleaning o the Project. All cleaning
equipment shall be of the latest type consistent with good cleaning practices. Ali equipment shall be kept in first
class working order at all times. All equipment shall be maintained imoclean and operational oondition, as well as
meet OSHA standards.
All supplies, material and equipment to perform service will be stored in a secure, enclosed storage area
designated by the Agent. ABLE shall have the responsibilily for care and custedy of alt supplies, materials and
equipment. ABLE storage spaces are to be maintained in a neat, clean and odor free fashion at all times.
ABLE will prov eoUclemnin0chemicols, supplies and equipment neceoory to perform the services listed in these
cleaning specifications. Client tp provide frash liners, paper goods, toilel seat covers, hand soap, air freshener and
sanitary products.
Back-Up Staff Requirements
ABIE will maintain and show evidence of an adequate back-up labor force and supervisory staff to be able to
assist the Project immediately in case of flood, fire, natural or man-made disasters, or any other emergency.
ABLE must submit a list of at least three emergency telephone numbers of management level
personnel other than the local branch office number or answering service, who are authorized to dispatch
back-up working crews in fhe event of 0 request by Agent andfor the Owner for such services. ABLE will update
these emergency telephone numbers as required throughout the term of the Agreement.
Supervision—On Site Staff-Duties
ABLE will provide an adequate supervisory staff as required to maintain the optimum level of cleanliness.
The lead person will not leave the premises until all work is completed each shift. In addition to the supervision of
alt cleaning services, the lead person will be responsible lor the following:
1. lnstrucling personnel in securing of lighting as soon as possible each night. Illuminate only the immediate work
area as required.
2. Secure all suite entrances and building interchanges in conjunction vviththeProect`s security policies.
3. Immediate transmittal of alt accidenf an/or damage reports fo Agent.
4. The supervisor will become familiar with the emergency, fire and disaster plan developed by Agent.
5. The supervisor will comply with and assist Ihe Projecfs security sfaff in enforcing the security plan developed
by Agent for the Project as this plan relates to the activities of the janitorial crew.
6. The supervisor will be available on request by Agent and/or fhe Owner during the normal hours of the P 'eo1
to visif with any fenant to answer complaints of any nature relating to the janitorial staff.
7. Report to the City representative before 8:00 a.m. on the next working day: pest infestations, vandalism,
damaged fixtures and furnishings, clogged drains (that could not be cleared) and inoperable lighting fixtures.
8. Immediately report to the City representative running water which cannof be shut off.

Uniforms
ABLE employees will be provided with neat, clean uniforms. All of ABLE's personnel will be property uniformed and
display ABLE photo identification badges ot times.
• Employees will be required to wear uniform shirts with company logo, black pants, closed toe shoes and belt.

with company logo, and black/tan Docker pants.

General Procedures
1. Report all damage, breakage, and/or apparent plumbing or electrical problems to Manager immediately.
2. Become familiar wrfh the properties emergency telephone list.
3. Report any evidence nf security breaches toMonogarimmediota|y.

5. Maintain all janitor closets, slop sinks and storerooms in a safe and clean condition at all times. All equipment
will be neatly stored ino central location.
6. Lock all entrance doors during the enfire cleaning operation.
7. Only the cleaner assigned to each area and the supervisory staff is to be admitted to the respective are

10. Vending machines, refrigerators, microwaves, coffee or break area equipment is not to be used.

12. Tenant and/or personal telephones may not be used by cleaning crew for incoming or outgoing calls.
13. No radios, copy machines or other personal property may be used by cleaning crew.
14. The crew will not engage in horseplay or Ioud boisterous behavior and gambing.
15. No employee at anytime will be under ihe influence of drugs or alcohol and smoking on site is prohibited.
16. The cleaning crew will not remove or disturb any articles from desks or open any desks or file cabinets,

Performing Service at an Acceptable Level
Every Supervisor, Project Manager and Executive knows that one of the most important roles we play is in keeping
our customers facilities clean. We are kept informed regarding cleanliness levels by doing internal inspections/
audits. Our people conduct both regular and surprise inspections/audits to guarantee that we are meeting the
customer requirements as set forth in their scope.
All Supervisors, Project Managers and Executives have been trained on our process regarding inspections and
knows what to look for. Even in the interview process for this level of management, we begin the training process
by having the individual inspect the office/building where the interview is taking place to gel a sense if we think
this individual is quality driven.
Once these internal inspections/audits are completed, we then benchmark against collected data of similar
type facilities. This provides important feedback to our managers and most know right a way if an area is at a
substandard level. These inspections/audits can take place daily, weekly, or monthly.
Proactively we try and turn these below level areas around quickly so they never affect our customers. This may
require better communication, some individual one on one training or the delivery of a new cleaning tool but
most importantly the cleaner and supervisor must understand that the level currently is unacceptable and that a
quick resolution must take place.

2) For cleaners the process is quite different. Two of the following: The Project Manager, Supervisor, District
Manager or Vice Fresident interview the candidate. We try and interview them in their chosen language to
improve the communication process. The interview deals with questions regarding work history and
experience. We also spend some time detailing who our company is, what we are about and the
expectations we have regarding the position. We want to make clear to them that at Able we hold people
to a higher level of standards then they have probably had with previous contractors. We make sure we
spend time explaining the importance our client relationship and that once fhey become part ot the team
they become parf of our customers teaml While this process is lees formal it is just as important because we try
and instill lo thern that when and if we hire them they will be representing our name, and the spirif of Able.
Once approved by the committee they go through the process of filling out an application and HR runs a
thorough background check. A new hire packet is available upon request.
Background Investigation
We have the ability to conduct a variety of different type background checks. We use a third party firm
specializing in this service to conduct these investigations. At a minimum Able will perform a work history and
reference check on all new hires. Able will implement the cusfomers policy when applicable.
Drug and Alcohol Testing
Able Building Maintenance has an obligation to maintain a safe, healthy and productive work environment for its
employees. An employee under the influence of drugs or alcohol while on the job can be a serious safety risk to
himself/herself, to other employees, and, in certain instances, to the general public. Abuse of drugs or alcohol also
has a negative impact on the productivity and health of employees. In order to maintain a safe and healthy work
environment, the Company has established the following drug and alcohol testing policy.
The Company may require testing of an employee for whom there is a reasonable suspicion fhat the employee
has used drugs or alcohol or is under the influence of drugs or alcohol while at work on the employer's or the
client's property. The Employer may require testing of any employee involved in a fight while on duty at the
employer's property or at the client's property.
Under The Influence: Any mental, emotional, sensory or physical impairment due to the use of drugs or alcohol.
Illegal Substance: Any drug that is not legally obtainable; that is legally obtainable but has not been legally
obtained; or, that is being used in a manner or for a purpose other than prescribed.
Reasonable Suspicion: A belief that an employee may be under the influence of drugs or alcohol. Such belief
must be based on sorne objective indicia, which may include, but is not limited to, the foliowing matters: erratic or
unusual behavior by an employee; disorientation, which would lead a person of ordinary sensibilities to conclude
that the employee is under the influence of drugs and/or alcohol; observation of possible ingestion of alcohol or
use of drugs; and, involvement in an occident, fight or other circumstances which could lead a reasonable
person to believe that the uso of drugs or alcohol may have been involved.

H. Corrective Action Procedures
1) If an incident or action not acceptable is repeated, we serve the cleaner with a documented verbal
warning. This is done in a formalized sit down meeting. This meeting is conducted by the Project Manager
and the District Manager for the area. Ninety percent of the time a documented verbal warning resolves
the issue.
2) If this issue continues to occur the District Manager, along with the Vice President of Operations, issues a
written warning to the cleaner. This warning explains the problem and what he/she needs to do to
correct the problem in a timely fashion. Rarely, do we get to this point as documented verbal warnings
seem to be the end of most problems. This written document is copied and placed in the employees file.
3) Upon execution of the first two steps, a Suspension is then issued to the This suspension will last for
three days. This suspension is without pay.
4) In the most severe of circumstances, after the first three Oationsl'haVe.taken .pldce„We..,, will terminate an
individual. This is done by the Vice President of OperationS•and he notifieSs6uiPresicieht of the termination
so that everyone is aware of the situation.

The City of Seal Beach has adopted this Green Cleaning Policy for the purpose of improving lhe Indoor Air
Quality (IAQ), health and environmental profile of The City of Seal Beach, making it safer by reducing
the exposure of occupants, employees and maintenance personnel to potentially hazardous chemical,
biological and particulate contaminants,
2. Scope
The cleaning performed onsite must be pefforrned in rnanner that is effective whie minimizing the -negative/
health concerns of building occupants, employees and maintenance personnel as well as negative impacts
on the environment. For the purpose of this policy, ' nitodol operations will include the green cleaning
procedures, chemicals including hand soap, equipment and janitorial paper/plastic supplies used throughout
the sUe in areas controlled by The City of Seal Beach.
2.1 Able Building Maintenance has developed guidelines ho address the sate handllng and storage of cleaning
chemicals used in the building' including a plan for mana hazardous s '|b or mishandling incidents.
