The Seal Beach Redevelopment Agency (the "Former RDA") was a duly constituted redevelopment agency pursuant to provisions of the Community Redevelopment Law (the "Redevelopment Law") set forth in Section 33000 et seq. of the Health and Safety Code ("HSC") of the State of California (the "State"). B. The Former RDA undertook a program to redevelop a project area known as the Riverfront Redevelopment Project (the "Project Area"). C. Bay City Partners, LLC ("Bay City"), the Former RDA, the City of Seal Beach (the "City") and the City of Seal Beach Planning Commission, entered into a Settlement Agreement and Mutual Release, dated as of March 16, 2011 (the "Settlement Agreement"), after multiple years of litigation proceedings. D. The Settlement Agreement, among other matters, provided for Bay City's conveyance of an irrevocable easement on a certain property for sewer access, construction and maintenance purposes (the "Sewer Easement"). E. The acquisition of the Sewer Easement was necessary to provide services to residents and businesses within the Project Area and, therefore, of benefit to the Project Area. F. The City and the Former RDA agreed that the City would advance certain funds for the costs relating to the acquisition of the Sewer Easement (the "Loan"), with the understanding that the Former RDA would repay the City for such advances. G. The Former RDA's repayment obligation with respect to the Loan was memorialized by Resolution No. 11-10, adopted by the Former RDA on June 27, 2011, and Resolution No. 6151, adopted by the City Council of the City on June 27, 2011 (together, the "Sewer Easement Loan Agreement"). H. As of the date of this Resolution, $1,200,000 of the principal amount of the Loan, plus certain accrued interest, remain outstanding and unpaid. I. Pursuant to AB X1 26 (which became effective at the end of June 2011), and the California Supreme Court's decision in California Redevelopment Association, et al. v. Ana Matosantos, et al. (53 Ca1.4th 231(2011)), the Former t RDA was dissolved as of February 1, 2012, the Successor Agency was constituted as the successor entity to the Former RDA, and an oversight board of the Successor Agency (the "Oversight Board") was established. J. Pursuant to AB X1 26, except for those provisions of the Redevelopment Law that are repealed, restricted or revised pursuant to AB X1 26, all authority, rights, powers, duties and obligations previously vested with the Former RDA under the Redevelopment Law are vested in the Successor Agency. uoi;nlosa21 sly; a;en;oaja 01 algesinpe Jo tiessaoau wasp /yew AN; y3i4M s6uiy; Ile pue Aue op o; 'AileJanes pue Al;uiof 'pazuoy;ne AgaJay eJe Aoue6y Jossaoon9 ay; ;o sJaoi o ay; pue pieog sly; as ;o sJagwew a41 17 uoi;oag .uoi;eol;ipow ay;;o awl; ay; ;e saaue;swnona len;oe ' ay; pue (q)y •61bE uol;oeS OSH Jo s;uewannba ay; uo paseq awl; o; awl; wa; alnpayos ;uawAedai ay; Appow of pazuoy;ne Agaaay sl Aaua6y Joss000n9 ay; ;o Ja3140 aoueu j all '(q)17"16 417£ uog3aS OSH ul yuo; 185 SUO!lellw!I 841 pue pond ;snJ j x81 Apadad ;uewdolanapeJ ay; wa; spun;;o A1!I!gellene as 01 ;3afgns si ;uawAedai pompanos pea J04 Aaue6y Josseaong ay; Aq pedal eq o; ;unowe Jellop len;3e as as 6wziu600ej .(q)17y 66117£ uoi;3aS ;o s;uawainbei ay; ;pm eouepJ000e ul ueoi ay; J04 alnpayos ;uawAeda e dolanap o; pazuoy;ne AgaJay si Aoua6y JosseoonS all ;o Jeal}1O eoueul j 841 .E uogaag .pJeo8 146isJan0 841 o; uogniosaa sus;o Adoo a ;lwsueJ; 0; pa;Oaip pue pazuoy;ne Agaay Si Aoua6y JosseoonS ay1 ;o tie;aJoes 841 .(q)17'46447£ uol;3aS OSH 40 s;uawaJlnbeJ ay; y;1M eouepi000e ui pai;lpow eq Heys Japunaaay; swJa; ;uawAedeJ as lets uogiubooej ay; y;lM 'uoge611go algeaao;ue ue sl ;uewaaJ6y ueoi ;uawase3 JaMas ay; pue sasodind ;uewdoienapa a;ewip6ei iO4 seM ueoi 041 ley; 6ulpul; e aNew o; woe 44.16lsien0 ay; s;sanbej Aqe oq pieo8 841 3 uoi;3aS •uognlosa21 sus;o ued angue;sgns e eie pue ;OaJJOO pue ens ae sle;ioei anoge 841 .1 uog3aS :SM01IOd SV S213a2IO aNy 'S31\10S38 'SRNIW2i313a 'SONId A832i3H 'AON3OV 1N3Wd013A3a32:1 HO`d38 1V3S 3H1 01 AONRDV 2JOSSROOfS 3E11 dO al01032i10 dO aeIVO8 3H1 '3210d32I3H1 'MON .9Llb£ uol;3aS OSH o; ;uens.ind yak{ aawJod ay; o;JossaOOns 6ulsnoy ay; se A;laedeo siAlpoy;ny 6ulsnoH ay; ui 'Aluoy;ny 6ulsnoH A4uno3 e6ueJ0 ay; Aq play pue paysilge;se pun] ;asst' 6ulsnoH ewooul a;eaapopi pue Mo-; ay; o; paLa;suet; pue pa;3npap eq II!M ;uewAedei ueoi 14088 40 ;uoaiod 03 lets sapinad (3)(q)p.46117E uoi;3aS OSH 1814; pezlu600eJ Jagpn; s! sl 'O .Jean( aseq E 4-Z 403 ay; u!
