A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SEAL BEACH APPROVING A PURCHASE AND SALE
AGREEMENT BETWEEN THE REDEVELOPMENT AGENCY
OF THE CITY OF SEAL BEACH, AS SELLER, AND THE
FRIENDS OF SEAL BEACH ANIMAL CARE CENTER, INC.,
AS BUYER
THE CITY COUNCIL OF THE CITY OF SEAL BEACH DOES HEREBY RESOLVE,
FIND AND DETERMINE:
Section 1. The Agency proposes to sell the real property where the Seal
Beach Animal Shelter is located ("Property") to long-term tenant Friends of Seal Beach
Animal Care Center, Inc. ("Friends") a California Public Benefit Corporation. The Agency
purchased the Property in 1976, as surpfus land adjacent to where the Seal Beach Police
Department was planned. The Police Department was constructed soon thereafter, and the
surplus land was undeveloped until the Shelter began operating inthe mid-eighties.
Section 2. In the spring of 2004, the City commissioned Organizational
Effectiveness Consulting to perform an efficiency study concerning the Police Department.
Based, in part, upon the drain to city resources, the report recommended that the property
be sold. There were a number of reasons for this recommendation. As shown in the staff
report, there are a ,number of positive benefits for the Agency, the City, the Animal Care
Center and the residents of Seal Beach. '

Section 3. The Agency will not incur any costs in connection with the
proposed sale, other than transactlonal costs. Other than any incremental cost that the
surplus property may have added to the purchase price when the land was bundled with the
land purchased to construct the police station in 1976, there were no acquisition costs to the
Agency. There are no additional land acquisition costs, clearance costs, relocation costs,
improvement costs or financing/interest costs. As shown in the staff report for a related
item, the Friends,haye incurred expenditures in excess of $170,000 improving the property,

at no cost to:the City0r~~.g~ncy. The sale ofthe land ~d the agreement transferring animal
control servIces from'tIie.~ity represents an annual savmgs of about $71,856. The Agency
will no longer hav.e\to~3hcur upkeep, repair and maintenance costs associated with

\~~~);;:~Jif~~~~Y7. The sale will assist in the elimination of blight in direct and
indirecf~~1,g -~,~~ig.;~)stent with the implementation plan for the Project Area adopted
pursuant t%~~<rsafety Code Section 33490. Perhaps the most immediate benefit is
that the Friends' activities to shelter stray animals and to keep strays and dangerous animals
from roaming the Project Area eliminates blight and increases property values. Equally
significant, the Friends' ownership of the shelter and the transfer of animal control services
from the City create significant annual savings. Agency and city resources can be better
spent on eliminating blight and making improvements in the Project Area. Due to the cost
savings outlined in the staff report, such funds may be redirected to public improvements
and projects that will assist in the elimination of blight and improve public services. The
Project Area is characterized by the e~istence, of inadequate open spaces, public
improvements and public facilities. The availability of funds for future improvements,
including in and to the Project Area, will. benefit the health" safety and welfare of the
residents and taxpayers of the Project Area and the immediate neighborhood. The sale will
assist in the elimination of conditions of blight within the Project Area caused by
inadequate public improvements. This in turn will assist in eliminating a factor that
negatively impacts the value of property within the Project Area.

Section 5. A summary report of this proposed sale has been made
available for public inspection (and copying at a cost not exceeding the cost of duplication).

Section 6. Notice of a joint public meeting to be held by the City
Council and the Agency regarding the approval for the sale has been duly given in the
manner required by law. '
Section 7. Based upon the foregoing and the evidence presented at the
hearing, including the staff report, the consideration for the sale is not less than the fair I
reuse value of the Property at the use and with the covenants and conditions authorized by
the sale.
Section 8. The City hereby approves the Purchase and Sale Agreement for
the sale (and all documents described therein) in the form attached as Attachment A to the
staff report.
