A RESOLUTION OF THE REDEVELOPMENT AGENCY OF
THE CITY OF SEAL BEACH AUTHORIZING A PURCHASE
AND SALE AGREEMENT BETWEEN THE
REDEVELOPMENT AGENCY OF THE CITY OF SEAL
BEACH, AS SELLER, AND THE FRIENDS OF SEAL BEACH
ANIMAL CARE CENTER, INC" AS BUYER
THE REDEVELOPMENT AGENCY OF THE CITY OF SEAL BEACH DOES HEREBY
RESOLVE, FIND AND DETERMINE:
Section I. The Redevelopment Agency ("Agency") proposes to sell the
real property where tile Seal Beach Animal Shelter is located ("Property") to long-term
tenant. Friends of Seal Beach Animal Care Center, Inc. ("Friends") a Califomia Public
Benefit Corporation. The Agency purchased tile Property in 1976, as surplus land adjacent
to where tile Seal Beach 'Police Department was planned. The Police Department was
constructed soon thereafter, and the surplus land was undeveloped until the Shelter began
operating in tile mid-eighties.
Section 2. In tile spring of 2004, the City of Seal Beaeh commissioned
Organizational Effectiveness Consulting to perform an efficiency study concerning tile
Police Department. Based, in part, upon tile drain to city resources, tile report
recommended that tile property be sold. There were a number of reasons for tIIis
recommendation. As shown in tile staff report, tIIere are a number of positive benefits for
the Agency, tile City, tile Animal Care Center and the residents of Seal Beach.
Section 3. The Agency will not incur any costs in connection witll tile
proposed sale, otller tIIan transactional costs. Other tIIan any incremental cost that tile
surplus property may have added to tile purchase price when tile land was bundled witll tile
land purchased to construct the police station in 1976, there were no acquisition costs to the
Agency. There are no additional land acquisition costs, clearance costs, relocation costs,
improvement costs or financing/interest costs. As shown in tile staff report for a related
item, the Friends have incurred expenditures in excess of $170,000 improving tile property,
at no cost to tile City or Agency. The sale of the land and the agreement transferring animal
control services from tile City represents an annual savings of about $71 ,856. The Agency
will no longer have to incur upkeep, repair and maintenance costs associated witll
ownership. The silvings associated witll reduced liability exposure cannot be quantified.
Section 4. The sale will assist in the elimination of blight in direct and
indirect ways and is consistent witll tile implementation plan for tile Project Area adopted
pursuant to Healtll and Safety Code Section 33490. Perhaps tile most immediate benefit is
that the Friends' activities to shelter stray animals and to keep strays and dangerous animals
from roaming tile Project Area eliminates blight and increases property values. Equally
significant, the Friends' ownership ofthe shelter and tile transfer of animal control services
from the City create significant annual savings. Agency and city resources can be better
spent on eliminating blight and making improvements in tile Project Area. Due to tile cost
savings outlined in the staff report, such funds may be redirected to public improvements
and projects tIIat will assist in tile elimination of blight and improve public services. The
Project Area is characterized by tile existence of inadequate open spaces, public
improvements and public facilities. The availability of funds for future improvements,
including in and to tile Project Area, will benefit tile healtll, safety and welfare of tile
residents and taxpayers of tile Project Area and tile immediate neighborhood. The sale will
assist in tile elimination of conditions of blight witllin tile Project Area caused by
inadequate public improvements. This in turn will assist in eliminating a factor that
negatively impacts tile value of property within the Project Area.
Section 5. A summary report of tIIis proposed sale has been made
available for public inspection (and copying at a cost not exceeding tile cost of duplication).

Section 6. , Notice of a joint public meeting to be held by the City
Council and the Agency regarding the approval for the sale has been duly given in the
manner required by law.
Section 1. Based upon the foregoing and the evidenee presented at the
hearing, including the staff report, the consideration for the sale is not less than the fair
reuse value of the Property at the use and with the covenants and conditions authorized by
the sale.
Section 8. The Agency hereby approves the Purchase and Sale
Agreement for the sale (and all documents described therein) in the form attached as
Attachment A to the staff report, and authorizes and directs the Chairman and the Executive
Director to execute all necessary documents to facilitate the sale of the property.
Section 9. The Agency Secretary shall certify to the passage and
adoption of this resolution.
