A RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF SEAL BEACH, CALIFORNIA, APPROVING A
SUBORDINATION AGREEMENT AND AN AGREEMENT FOR
LOAN FOR THE SEAL BEACH TRAILER PARK

WHEREAS, a Participation and Disposition Agreement was entered
into between the Agency and Seal Beach Associates dated
July 25, 1977 for development of the Seal Beach Trailer I
Park, as amended by a First Amendment dated as of January
30, 1978, by a Second Amendment dated as of April 24,
1978, and as amended by an Amended Participation and
Disposition Agreement dated July l4, 1981 between the
Agency and Riverbeach Associates; and
wHEREAS, Riverbeach Associates proposes to sell the land and
improvements of the Seal Beach Trailer Park to Seal Beach
Parnters, Ltd. and refinance the current loan with Coast
Savings & Loan Association ("Coast"); and
WHEREAS, Coast in consideration of such refinance is requlrlng a
Subordination Agreement which will subordinate a previous
approved Amended Declaration of Establishment of
Covenants; and
WHEREAS, Seal Beach Associates will agree to reduce or payoff the
Coast loan on any sale or transfer of the Trailer Park
pursuant to the terms set forth in the attachment
agreement.
NOW, THEREFORE, the Redevelopment Agency of the City of Seal Beach
(Agency) hereby resolves as follows:
SECTION 1:
The Agency hereby approves the Subordination
Agreement attached hereto as Exhibit A.

SECTION 2:
The Agency hereby approves the Agreement regarding
Loan between the Agency and Seal Beach Associates in
the form attached hereto as Exhibit B.
SECTION 3:
The Acting Executive Director is hereby authorized
to execute the Subordination Agreement and the
Agreement regarding Loan on behalf of the Agency.
SECTION 4:
The Acting Executive Director is hereby authorized
to take all action necessary to carry out such
Agreements and is further authorized to make such
technical changes to the Agreements as may be
reasonably required by Coast Savings & Loan or
another institutional lender.

This Subordination Agree~ent (RSubordination AgreementR) is
made and entered into by and between the REDEVELOPMENT AGENCY OP
THE CITY OP SEAL BEACH ("Agency.), a public body corporate and
politic, formed and organized and existing under the provisions
of the California Com~unity Redevelopment Law, RIVERBEACH
ASSOCIATES, a Limited Partnership (RRiverbeachR) and SEAL BEACH
PARTNERS, LTD., a California Limited Partnership (Rpartners.).
This Subordination Agreement is being entered into with
reference to the following facts and circumstances:
A. Concurrently with the execution of this Subordination
recorded in the Official Records of the County of Orange that
certain document entitled .Amended and Restated Declaration of

Agreement, Agency &dd Riverbeach have executed and caused to be
Establishment of Covenants. (.A~ended Declaration.) regarding
certain parcels of land which constitute a mobilehome and trailer
park, commonly known as the .Sea1 Beach Trailer Park,. legally
described on Exhibit A, attached hereto and made a part hereof
(RTrailer ParkR).
B. Various provisions of the Amended Declaration contain
restrictions on allocations of monthly debt service amounts among
the trailer park lots. These provisions consist of sections
2.01, 2.02 and 2.03 of the Amended Declaration (the RRestrictive
Sections.).
C. Partners is purchasing the Trailer Park, both the fee

title and the improvements thereto, from Riverbeach pursuant to a
separate agree~ent.
D. The Trailer Park is currently encumbered by a deed of
trust in favor of Coast Savings and Loan Association, formerly
Coast Pederal Savings and Loan Association (RCoastR) whereby the

deed of trust was recorded on January 30, 1980, as Document No.
35497 in the Official Records in the County of Orange (-The
Loan-) .
E. Coast as beneficiary and payee to The Loan is willing
to consent to the Amended Declaration on the condition the
Restrictive Sections of the Amended Declaration be subordinated
to The Loan. Purthermore, Coast has expressed its interests to
refinance The Loan and provide additional financing for the
above-described purchase from Riverbeach by Partners in the sum
of One Million Seven Hundred Thousand Dollars ($1,700,000) (-The
New Loan-) subject to certain terms and conditions including
without limitation that the Restrictive Sections of the Amended
Declaration be subordinated to The New Loan.
P. The parties hereto are concerned the Restrictive
Sections of the Amended Declaration may deter and otherwise
impair the ability to secure financing upon the Trailer Park and
the parties are desirious of subordinating the Restrictive
Sections of the Amended Declaration to The Loan and also to the
lien of any other first deed of trust loan against the Trailer
Park including without limitation The New Loan whether originated
by Coast or any other institutional lender.
NOW, THEREPORE, the parties do hereby agree as follows:
1. The Restrictive Sections of the Amended Declaration
shall be and are hereby subordinated and rendered unenforceable
as to each and every term, condition and provision of The Loan.
Additionally, the Restrictive Sections of the Amended Declaration
are subordinated and rendered unenforceable as to each and every
term, condition and provision of The New Loan or any other first
deed of trust loan against the Trailer Park regardless of the
terms, conditions and provisions thereof.
2. In the event the beneficiary of The Loan or The New
Loan or the beneficiary of any other first deed of trust loan
against the Trailer Park should acquire ownership of the Trailer
Park by foreclosure of the beneficiary's security interest
therein either by judicial foreclosure action, non-judicial fore-

closure proceeedings or by deed-in-1ieu of foreclosure, the
Restrictive Sections of the Amended Declaration shall be subordi-
nated and rendered unenforceable as to such beneficiary and as to
any person or entity acquiring title to the Trailer Park from
such beneficiary and shall be subordinated and rendered unen-
forceable as to any loan secured by first deed of trust aqainst
the Trailer Park as provided by such beneficiary as a result of
any such sale or disposition of the Trailer Park by such benefi-
ciary reqardless of the terms, conditions and provisions of such
loan.

3. This Subordination Agreement and the subordination
resultinq thereby shall be effective upon execution of this
agreement by the parties hereto and shall be unconditional and
absolute in its effectiveness and leqa1 effect.
4. The -date of execution- of this Subordination Aqreement
shall be deemed the date of last signature by the parties hereto
as appearinq hereinbelow. Purthermore, this Aqreement shall be
governed by the laws of the State of California and immediately
followinq execution shall be recorded in the official records of

the County of Orange.

This Agreement is made and entered into by and between the
REDEVELOPMENT AGENCY OF THE CITY OF SEAL BEACH (hereinafter
referred to as -Agency-), a public body corporate and politic,
formed and organized and existing under the provisions of the
California Community Redevelopment Law, and SEAL BEACH PARTNERS,
LTD., a California limited partnership (hereinafter referred to
as -Partners-).
This Agreement is being entered into with reference to the
following facts and circumstances:
(a) Concurrently with the execution hereof, Agency has
executed that certain document entitled -Amended and Restated
Declaration of Establishment of Covenants- (hereinafter referred
to as -Amended Declaration-) and that certain document entitled
-Subordination Agreement- (hereinafter referred to as -Subordi-
nation Agreement-) reqarding certain parcels of land which
constitute a mobilehome and trailer park, commonly known as the
-Seal Beach Trailer Park,- and more particularly described on
Exhibit A, attached hereto and made a part hereof (hereinafter
referred to as the -Trailer Park").
(b) Partners is purchasing both the fee title to the
Trailer Park and the improvements thereon from RIVERBEACH
ASSOCIATES, a limited partnership (hereinafter referred to as
-Riverbeach-) pursuant to a separate agreement.
(c) Coast Savings and Loan Association, formerly Coast
Federal Savings and Loan Association (hereinafter referred to as
"Coast" has agreed to provide additional financing for the above-
described purchase from Riverbeach by Partners in the sum of One
Resolution Number t?,-~
Million and Seven Hundred Thousand Dollars ($l,700,000) upon the
condition that Agency execute said Amended Declaration and said
Subordination Agreement.
(d) In consideration of Agency's execution of said Amended
Declaration and said Subordination Agreement, Partners hereby
expressly aqrees that in the event that Partners shall agree to
sell, convey, transfer, or otherwise dispose of the Trailer Park,
then Partners shall, as a condition of Agency's approval of, and

prior to or concurrently with, such sale, conveyance, transfer,
or other disposition, either:
(i) Pay in full the then-existing balance of the
promissory note secured by said New Deed of Trust: or
(ii) Pay to Coast a sum equal to sixteen percent (l6\)
of the then-existing balance of the promissory note secured by
said New Deed of Trust.
