ARTICLE 2 This corporation is a nonprofit public benefit ® corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes. Such purposes for which this corporation is organized are primarily fostering and promoting civic advancement through activities. related-to cable communications, community promotion, and other public services deemed appropriate by this corporation. Such activities related to cable communications may include but are not limited to (1) making the general public aware of the availability of local origination programming; (2) producing local origination programming; ( 3 ) awarding scholarships, grants and other incentives for students 411 interested in communications; and ( 4 ) providing funds for JB65-2A ,® training and instruction on the production of local origination programming and the operation of cable communications equipment and facilities; provided, however, that this corporation shall not exercise any editorial discretion or control over the content or scheduling of any local origination programming other than programming produced by this corporation. ARTICLE 3 The name of the corporation 's initial agent for service of process is Parlex Inc. ARTICLE 4 (a) The purposes for which this corporation is organized are exclusively charitable and educational within the meaning of Section 501 (c) (3) of the Internal Revenue Code: of 1954 and notwithstanding any other provision of these articles, the corporation shall not carry on any activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501( c) ( 3) of the Internal Revenue Code of 1954, or the corresponding _, provision of any future United States Internal Revenue Law, or (b) by a corporation contributions to which are deductible under Section 170( c) ( 2) of the Internal Revenue Code of 1954, or the corresponding provision of any future -2- JB6S-3A United States Internal Revenue Law. (b ) No substantial part of the activities of this corporation shall consist of carrying on propaganda or otherwise attempting to influence legislation, and this corporation shall not participate in or intervene in ( inclu- ding the publication or distribution of statements) any political campaign on behalf of any candidate for public office. (c) This corporation is not organized, nor shall it be operated, for pecuniary gain or profit, and it does not contemplate the distribution of gains, profits, or div- idends to the members thereof or to any private shareholder, • as defined for purposes of Sections 501( c) ( 3) of the Internal Revenue Code of 1954, or to any individual. (d ) The property, assets , profits and net income of this corporation are irrevocably dedicated to charitable and educational purposes, within the meaning of Section 501( c) ( 3) of the Internal Revenue Code of 1954, and no part of the profits or net income of this corporation shall ever inure to the benefit of any director, trustee, officer, shareholder, or member thereof or to the benefit of any private individual. (e) If this corporation shall at any time be' a private foundation within the meaning of Section 509 of the Internal Revenue Code of 1954, this corporation, so long as -3- JB65-4A it shall be such a private foundation, shall distribute its income for each taxable year at such time and in such manner as not to subject it to the tax on undistributed income imposed by Section 4942 of the Internal Revenue Code of 1954; and, so long as it shall be such a private foundation, the corporation shall not ( i ) engage in any act of self- dealing as defined in Section 4941(d) of the Internal Revenue Code of 1954; ( ii) retain any excess business holdings as defined in Section 4943( c) of the Internal Revenue Code of 1954; ( iii) make any investments in such manner as to subject it to tax under Section 4944 of the Internal Revenue Code of 1954 ; or ( iv) make any taxable • expenditures as defined in Section 4945(d ) of the Internal Revenue Code of 1954. ( f) Upon the winding up and dissolution of this corporation, after paying or adequately providing for the rjPhrs and obligations of the corporation, the remaining assets of this corporation shall be distributed to the City of Seal Beach, California, and if the City of Seal Beach, California is not in existence upon the winding up and dissolution of the corporation, the remaining assets of this corporation shall be distributed to a nonprofit organization organized exclusively for charitable or educational purposes and which has established its tax exempt status under Section 501( c) ( 3) of the Internal Revenue Code of 1954, or • -4- JB65-5A corresponding provision of any future United States Internal Revenue Law. ARTICLE 5 The Articles of Incorporation may be amended from time to time as provided in the California Nonprofit Public Benefit Corporation Law; provided, however, that any such amendment shall also require the approval of the City Council of the City of Seal Beach, California.
