SUBJECT: AWARD OF AN ENERGY SERVICES AGREEMENT
AND MAINTENANCE SERVICES AGREEMENT FOR
LIGHTING AND HVAC
SUMMARY OF REOUEST:
The proposed action will execute an Energy Services Agreement and a Maintenance
Service Agreement with CAL -AIR, Inc. to retrofit fighting systems and procure, install,
and maintain the City's heating, ventilation, and air condition systems (HVAC) at seven
different City building facilities and execute a lease agreement with Municipal Financial
to pay for the improvements.
Our current internal building facility infrastructure systems are in need of major repair
and/or replacement. This program reduces large unexpected capital costs by spreading the
payments through a finance agreement. With higher energy efficient fighting and HVAC,
the City will realize an overall saving that will offset the cost of the program. In addition,
there will be reduction of maintenance staff time.
The Energy Services Agreement will allow an outside provider, CAL -AIR, to retrofit our
lighting systems and procure and install new HVAC units at various City facilities. These
include City Hall, Police Station, Public Works Corporation Yard, Mary Wilson Library,
North Seal Beach Community Center, Marina Community Center, and the I° Street
Beach Complex (fighting only.) The Maintenance Services Agreement will provide for
CAL -AIR to maintain the newly installed equipment in good condition in accordance
with the manufacture's specifications including mechanical maintenance and air filter
services. There is also a performance guarantee section in the Energy Services agreement
that places the burden on CAL -AIR and removes the risk from the City if energy savings
are not met.
Staff has checked the firm's references. Currently, the Cal -Air has an excellent
performance history with the City of Buena Park and the City of Whittier. The City
Attorney's office has reviewed all the contract documents.

FISCAL IMPACT:
The overall cost for the Energy Services Agreement will be $897,000. Over a 12 -year
period the lease payments will total $1,270,650 which includes capital interest. The cost
for the Maintenance Services Agreement will be $9,500 per year. At the conclusion of the
lease, the City will have still saved X28 000 overall on the contract due to energy savings
while gaining all new equipment.
The Mary Wilson Library portion is being paid by the RDA and the remainder is funded
by the General Fund.
RECOMMENDATION:
Upon motion of the consent calendar, it is recommended that the City Council:
1. Authorize the City Manager to execute an Energy Services and Maintenance Services
Agreement with CAL -AIR and execute a lease agreement with Municipal Financial.

agreement and have the finance company prepare the lease agreement, so they
can be submitted for legal review. Preferably, legal council approval of the
documents and a favorable Council vote would happen concumently...or as
close as possible.
In the meantime, Steve, I agree that the project should be presented to the
Council during the 3 -26 -2001 Council meeting as an information item, so
Council is given a heads -up prior to the 4 -9 -2001 meeting. If so, I would
plan on attending in case there are questions that come up that I could help
answer.

Cal -Air is pleased to present this Letter of Agreement to develop and implement an Energy
Services Program at various City of Seal Beach facilities. We look forward to working with you
as this program further develops.
Based upon our discussions, it is our understanding that the City of Seal Beach expects the
Energy Services Program to accomplish the following goals:
Operational
• Develop the most cost-effective solution necessary to provide long term improved comfort
and system reliability while resolving short range heating and air conditioning system and
space conditioning concerns.
• Perform all project upgrades in a manner that will not negatively impact facility occupant
comfort (i.e. maintain or improve upon existing comfort levels).
• Replace and/or upgrade Heating, Ventilation and Air Conditioning.(,HV AC) equipment
and/or systems, as appropriate, keeping energy efficiency, occupant comfort and long tens
system reliability in mind.
• Upgrade the existing lighting systems with energy efficient components keeping system
reliability and maintaining and/or improving light levels in mind.
• Install a "user friendly" control system related to HVAC and Lighting systems at City
facilities where an appropriate application exists.
• Investigate any other appropriate retrofit applications based upon existing conditions, system
reliability and/or energy efficiency considerations.
• Schedule and expedite the retrofit work with minimal impact to facility occupants.
• Include a preventive maintenance agreement, which incorporates the new revisions.
• Present Final Agreement six (6) weeks from receipt of approved Letter of Agreement.
Financial
• Develop an approach that will reduce energy consumption along with operational and
deferred maintenance costs.
• Investigate utility company rebate incentives and/or any other funding sources available, on
the City's behalf, which will offset the net cost of the program.
• Provide a "budget neutral" self - funding energy services program, the savings of which are
generated by the reduction of existing budgeted expenses.
• Provide outright purchase and financing procurement method options. If financing is chosen,
secure the best financing package available on the City's behalf.

• Negotiate this project directly with Cal -Air, which is permissible and encouraged by the
State of California, through the California State and Government Code 4217.10 - 4217.18, for
energy conservation projects.
If Cal -Air is able to meet the above stated goals, the Customer agrees to proceed with the
proposed project within thirty (30) days.
If Cal -Air is able to meet the above stated goals, and the City does not proceed with the project
with Cal -Air within thirty (30) days, the City agrees to reimburse Cal -Air, Inc. for all reasonable
engineering and development costs incurred, not to exceed (NTE) Five Thousand Dollars
($5,000).
If Cal -Air cannot achieve the above stated goals, the City will not be required to compensate Cal -
Air, or to proceed with the implementation of the Energy Services Program.
