That City Council consider setting budget workshop sessions as well as Public Hearing dates for
adoption of the FY 2001/02 Budget and City's FY 2001/02 Comprehensive Fee resolution as
follows:

SUBJECT: BIXBY OLD RANCH TOWNE CENTER PROJECT,
OPERATING MEMORANDUM NUMBER TWO,
DATED MAY 29, 2001
SUMMARY OF REQUEST:
Provide comments to Staff regarding Operating Memorandum No. 2. This document has
been negotiated between the City and Bixby Ranch Company to resolve remaining
matters in a manner acceptable to both parties. This document has been reviewed by the
impacted departments of the City and resolves any outstanding issues, and by the City
Attorney and is acceptable as to form. Section 4.9 of the recorded Development
Agreement allows the City Manager to execute said operating memorandum.
BACKGROUND:
The land development approval process for the Bixby Old Ranch Towne Center project is
coming to a close. The City and Bixby Ranch Company have determined that several
remaining matters need to reach resolution through the execution of Operating
Memorandum No. 2. The document has been negotiated in good faith between the City
and Bixby Ranch Company, has been reviewed by the impacted departments of the City
and resolves any outstanding issues, and has been approved as to form by the City
Attorney. Pursuant to Section 4.9 of the recorded Development Agreement, the City
Manager intends to execute said operating memorandum. The parties previously have
agreed upon certain refinements and clarifications to the Development Agreement, which
matters were set forth in Operating Memorandum Number One, dated December 15,
1998.
The general provisions off Operating Memorandum No. 2 are summarized below:
❑ Bixby Ranch Company to advance to City $100,000 for the Old Ranch Tennis Club,
the remaining $900,000 to be provided upon acceptance of offer of dedication.

❑ Bixby Ranch Company to pay City $210,000 in lieu of dedicating and constructing a
community police facility. In addition, if future residential development is permitted
by City on said area, City to receive an additional $100,000.
o In lieu of Bixby Ranch Company specifically performing certain development
activities, City to receive funds totaling $106,000 for those actions set forth in
Sections 11.3,11.4, IL6 and 11.7 of the operating memorandum.
• Bixby to prepare documents within 45 days to dedicate required water well site to
City, and City to lease back to Bixby said site for $11year until City constructs said
well site. City to provide a 60 -day notice of intent to construct and Bixby to vacate
site within 30 days of said notice of intention to construct.
• Allows City Manager to extend dates for completion of certain golf course
improvements in Sections 3.2.5.7. and 3.2.5.9. of the Development Agreement and in
Section 11.8 of Operating Memorandum No. 1.
❑ Clarifies responsibilities between City and Bixby Ranch Company regarding future
public improvements along Seal Beach Boulevard and Lampson Avenue, including
center median island landscaping.
a Clarifies land dedications adjacent to the northerly portion of Old Ranch Towne
Center and the Centex Homes residential development.
Operating Memorandum No. 2 is provided as Attachment 1 to the Staff Report, with
Section 4.9 of the Development Agreement provided as Attachment 2.
FISCAL IMPACT:
Several positive fiscal benefits accrue to the City upon execution of Operating
Memorandum No. 2 by the City and Bixby Ranch Company. The City will receive
payments from Bixby Ranch Company for specified purposes, totaling $416,000. In
addition, the City will still receive an additional $900,000 upon acceptance of the Old
Ranch Tennis Club and an additional $100,000 if additional residences are constructed on
the Community Police facility site. In addition, the dedication documents of the future
water well site will be presented to the City within 45 days.
RECOMMENDATION:
Provide comments to Staff regarding Operating Memorandum No. 2. Receive and File
Staff Report.
