THE CITY COUNCIL OF THE CITY OF SEAL BEACH DOES HEREBY RESOLVE:
WHEREAS,
the City previously entered into a Cooperation
Aqreement with the County of Orange dated December
1987, in which both parties aqreed to cooperate in
undertakinq or assistance in the undertakinq of
Community Development and Housinq Assistance
Activities; and

WHEREAS, the City has submitted to the County an application for
fundinq of the projects described as 1.) Public
Facilities and Improvements, Electric Avenue Alley,
Contract No. C40827 (Orange County Project ) and,
2.) Sidewalk Reconstruction, Contract C40828 (Oranqe
County Project ); and
WHEREAS, the County of Orange has entered into a separate
agreement dated July 12, 1988, with the U.S. Department
of Housinq and Urban Development to fund said project
under the Housing and Community Development Act of
1974; and
WHEREAS, the contracts attached hereto as exhibits "A" and nB"
further define the responsibilities of the two parties.
NOW, THEREFORE BE IT RESOLVED that the city Council of the City
of Seal Beach does hereby approve the contracts attached hereto
as exhibits "A" and "B" and authorizes the Mayor to enter into
the contracts on behalf of the City.

WREREAS, COtlN'fi and CITY previously entere4 into a cooperation Agreement,
dated December 8, 1987 in which both parties agreed to cooperate in the undertaking,
or assist in the undertaking, of caamunity development and housing assistance
activities, and
WREREAS, the CI'.rY has submitted to the COUNTY an application for funding
of a project hereinafter described, and
WHEREAS, the COUNTY has entered into a separate agreement dated
AugllBt 15, 1989 with the U.s. Department of Rousing and Urban Development (hereinafter
referred to as HOD) to fund said project under the Housing an4 community Development Act
of 1974 (Public Law 93-383), as amended.
NOW, THEREFORE, rr IS AGREED by and between the parties that the following
provisions as well as all applicable Federal, State and County laws and regulations
inclu4ing the attached SPBCIAL PROVISIONS, i4entified as BXBIBIT .A-, is part of this
COntract.
1. Par the PURPOSES OF 'l'BIS OONTRAC'l' the following definitions shall
apply:
a. project Manager: 'the party responsible for, but whoae responsibility is
not limited to the following: COntracting, monitaring and implementing the project
through ccmpletion.

I b. Construction Bid Package: A package of bi4ding aoclllllentB which includes
proposal, bid4ing instructions, ClDntract doclllllentB, 4etailed estimated costs and pl.ans
and specifications for a ClDnstruction project, all prepared in accordance with
applicable pederal regulations.

c. Director: '!'he Director of the Orange County Environmental Management
Agency (hereinafter referred to aB BMA) or hiB deBignee.
4. Reimbursable IlIIBi.: '!'he CI'l'Y will provide the fundB for the project and
BubDit proof of payment to the mu..-l'1, whereby llpon approval, the OOIl..-n will forward
COIIIIIIunity Development Block Grant (hereinafter referred to as CDBGI funds to repay the I
crn.
2. It is underBtood that the CI'l'Y will act aB PROJECT MANAGER for the project
deBcribed aB: PIIblic FacilitieB and Improvements - Electric Avenue Alley (013.10).
CITY will utilize CDBG fundB to reconstruct or replace water and Bewer lineB, and repave
the alley on Blectric Avenue between 12th and 17th streetB. Improvements will benefit
the low- and moderate-income residentB of the target area (Bee attached map, EXHIBIT
-B-, which iB part of thiB Contract).
3. It iB agreed by all partieB that the project Bhall be completed and all
funds provided through thiB Contract shall be expended on eligible project activitieB
prior to December 31, 1990. InvoiceB for all approved project costB funded by the BlOCk
Grant under this Contract shall be BubDitted within 180 daYB after the above date.

CCllllDunity Developllent purposes u 4efined by applicable BOD provisiollB to ensure maximlllD
feasible benefit and utilization of the project ~ low- and moderate-income peraons.
g. 'l'O maintain accounting records, official files, an4 other evi4ence
pertaining to ClOSts incurred as require4 ~ all applicable BtJD regulations, and all of
these shall be accessible for the purposes of IIOnitoring, audits, reporting and
elC8lllinations ~ duly authorized representatives of COl1lft'Y or BtJD. '1'bese records shall
be kept available at CITY'S office during the project's contract period and thereafter
for three (3) Jean frail the 4ate of final CITY receipt of BOD maG funds through this
Contract.
h. '!hat DIRBC'l'OR shall periodically eval\l8te the CI'rY's progress in
cam~ying with the terms of this Contract. CITY shall cooperate fully during such
monitarings. DIRBC'l'OR shall report the findings of each IIOnitoring to the CI'rY and
Orange County BOar4 of supervisors. If it is determined by the BOar4 of Supervisors
that CI'rY performance or progress on performance is IIIIsatisfactory, the llOar4 of
Supervisors may withhold further funding on the project pending resolution of the
unsatisfactory condition(s), or may terminate this Contract. In a4dition, the BOard of
SUpervisors may require the CI'rY to reimburse COtlN'1'Y any fllll4s that it determines to be
improperly expended or not expended on the project. in a timely manner based on
applicable CDBG Progr.. Regulations.
i. '!'hat if it is determine4 by BtJD that funds were not expended in
CClII\pliance with the applicable Federal laws and regulations, CITY will reflll\d to COUN'1'Y
within ninety 90 days thereafter such S\DDS u were determined by BtJD to have been
improperly eapended.

j. When the project is ClOIDpleted, all unexpended funas remaining will be
returned to the (X)lJH'1'lC as BOOn as practicable, but in any event, within 180. days
thereafter. DIRBC'l'OR"y then reallocate returne4 funds to another Urban county
project (s) previously approved by the BOard of Supervisors. Returne4 funds as such, ..y
be allocate4 by the DIRECTOR up to the lesser lIIIIOunt of ten percent (lOt) of total
COntract funas provi4ed herein Section 5.a. or 'fen Thousand Dollars ($10,000.00).

projects, funding for this COntract, upon proof of anticipated COIIt overruns, ..y be
increased at the discretion and upon written autborization of the DIRECTOR up to the
lesser lIIIIOunt of ten percent (lOt) of total Contract funds provided herein Section 5.a.

working 4ays an4 sllbllit evidence of sucb disburs_ent(s) (i.e., warrant aopies, etc.) to
the OOUll'l'Y.
If the CITY is subsequently found, by DIRBC'l'OR, to be in noncompliance
with Section 5.4. (1) through Section 5.4. (3), CITY .hall be paid on a
reimbursable basis.
e. Reimbursable basis payments, as referred to in Section S.C. above,
and/or cash advances 4escribe4 in Section 5.d. above, shall be IIIIIde in acaordance with
BMA financial procedures. In the event of aonflict between BMA financial procedures and
any applicable statutes, rules or regulations of BtJD, including Office of Management and
Budget Circular 110. A-102, the latter shall prevail.

program incaDe only if that program incaDe is lISed exclusively for eligible activities,

progr8lll incaDe as uy be required by BMA staff since the OOUIITY has the responsibility
of monitoring and reporting program income to Btm.
b. In the event of crn close-out or change in statllS of the partiCipating
CITY in the Urban COllllty CDBG progr8lll, any program .illCOllle at that time or received
subsequent to the c1ose-out or change in statllS shall be paid by crn to the COUII'1'Y
within 90 days thereafter.
7. Any propose4 mOdification or change in use <Jf real property acquired or
improved in whole or in part by CDBG fllllds frOll that planned at the time of the
acquisition or improvement, including disposition, must be reported by CITY to the

Any program income generate4 frClll the disposition, transfer or sale of
such property prior to or subsequent to the crrr c1ose-out or change in status of the
CITY in the urban county CDBG Program may be either used by CITY for other speCific
eligible activities in the CITY or paid to the COONTY for other eligible Urban County
acd-vities, as determined in advance of the expenditure at the discretion of the COUNTY.
8. crn shall obtain an annual audit performed in acaordance with OMB Circular
A128 and forward a aopy to DIRECTOR. DIRECTOR shall have the right to ensure that
necessary corrective actions are ma4e by the CITY for any au4it findings pertinent to
CITY handling of funding attributable to the CDBG program per Pederal requirements.
9. Neither OOowrY nor any officer IIDr employee thereof shall be responsible
for I
any damage or liability occurring by reason of any action or emission of CITY or its
agents, associates, aontractors, suboontractors, materiallllen, laborers, or any other
persons, firms, or corporations furnishing or supplying work service, materials, or
supplies in aonnection with crn's performance of this COntract and frCl1l any and all
claims and losses accruing or resulting to any persons, firm or corporation for personal
injuries or property damage resulting frClll or as a aonsequence of, crn's performance of
this Contract under or in aoMection with any work, authority or jurisdiction 4elegated
to crn under this COntract. It is also understood and agreed that, pursuant to
Californis Government Code Section 895.4, CITY shall fully indemni':y, defend and hold
COONTY harmless from any liability imposed for injury (as defined by California
Government Code Section 810.8) occurring by reason of any action or CIIlission of CITY
:under or in connection with any wark, authority or juris4iction 4elegated to crn un4er

with COlJN'1'Y, or with a State or Pede~ally ebartere4 bank as escrow agent. If security
is deposited with an escrCllf agent, it shall be covered by an escrCllf agreement.
12. In the event of crn's failure to CClIIIply witb the provisions of this
Contract, COllN'l'Y may withhold or require CITY reimbursement of fun4s, an4/or terminate
tbis Contract, and/or allocate funds previously assigned to tbis Contract to Anotber
eligible project(s) witbin the Orban County.

provisions as well as all applicable Federal, State an4 County laws and regulations
including the attached SPECIAL PROI7ISIONS, 14entlfled as BXBIB1'1' -A., is part of this
Contract.

CI'l'Y will utilize CDBG funds for reconstruction of slde"alks uplifte4 by tree growth.
Si4ewalks ,,111 be repairedjreplace4 as re'llllre4 throughout the target Rea. aepalr to
consist of approximately 10,000 S'lllare feet of lmpro..ments. Facility repairs ser..
low- and moderate-lnCCllle residents of the target Rea (see attache4 map, BXBIBIT -B-,
which la part of this Contract).
3. It ls agree4 by all parties that the project shall be complete4 and all
fun4s pro.lded thrOllgh this COntract shall be expende4 on eligible project activities
prior to December 31, 1990. Invoices for all appro..4 project costs funded by the Block'
Grant un4er this Contract shall be sul:mltted withln 180 4ays after the allo.. 4ate. The
date for project completion an4 expen4iture of all fun4s may be enen4e4 at the
4lacretion of the DIRBC'l'OR, on a year-by-year basis up to a ..x1I1\1D1 peri04 of fi.. (5)
total years, through "ri tten notification to the CITY. In the e..nt of such an
extenslon, the 4ea4line for sul:mittal of invoices shall be 180 4ays after the new

4. CITY agrees:
a. Any proposed amendment to thla Contract shall be sullmitted to an4
approft4 by the (X)lJN'1'lC, prior to calIIIIencement by CI'l'Y of any acti vl ty covere4 by sald
amendment.
b. To sullmlt any and all thlrd-party contracts proposed for funding through
thla Contract to DIRECTOR for review an4 approval prior to award of such contracts by
CITY.
c. To be responsible for design and lnspection, including funding the costs
related to those activities, unless funding for design 8114 lnspectlon actl.1tles ls
provided for In Sectlon 5.a. of thla Contract.
4. To sullmit the Construction Bid package for this project to DIRECTOR for
n.lew prior to a4..rtislng for b14s on the construction contract or prior to award of
such a contract lf an alternative method of award ls used. CITY shall not advertise for

h. 'l'hat DIRECTOR shall periodlcally e.alWlte the CITY's progress in
complying wlth the terms of this Contract. cm shall CDOperate fully 4urlng such
monltorings. DIRECTOR shall report the flndings of each monitoring to the CITY and
Orange County BOard of superviSOrs. If it is 4etermlned by the BOard of supervisors
that CITY performance or progress on performllJlce is unsatisfactory, the BOard of
supervlsors may withhold further funding on the project pending resolutlon of the
unsatisfactory condition (s), or may terminate this Contuct. In addition, the BOard of
supervisOrs may requlre the cm to reimburse COlJN'1'lC any funds that it 4etermlnes to be
improperly expended or not expen4ed on the project in a timely manner based on
appllcable CDBG Program Regulations.
i. That if lt is "4etermined by BtJD that funds wen not expended in
compllance with the applicable pedeul laws and regulations, CIft will refund to COlJN'1'lC
wlthln nlnety 90 days thereafter such SIllllS as were determined by BtJD to have been
improperly expended.
j. When the project ls OOIDpleted, all unexpende4 fun4B remalning will be

6. CI'l'Y must lnform the DIRECTOR (through peri041c reports requested by BMA
staff) of any inCOllle generate4 by the expen4iture of CDBG fun4s recei..4 by the CI'l'Y,
an4 that per applicable Federal re'lllirements, certain program lnCClDe must be pa14 to the I
COONTY (e.g., lnterest earned on CDBG cash a4wnces!r and/or, the CITY may retain such
program lnCClDe only if that program lnCClDe is used ex~lusl..1Y for eligible activities,
at the discretion of the DIRBC'1'OR, and in acoordance with all CDBG requirements as may
then apply.
a. CITY shall keep and lIIaintain appropriate records on the use of any sllCh
program lnCClDe as may be re'llllred by lIMA staff since the COtJN'l'lC has the responsibility
of monitoring and reporting program income to HIlD.
b. In the event of CI'l'Y cloee-out or change in status of the participating
CI'l'Y In the Urban county CDBG progrlllll, any program income at that ti_ or receive4
subse'l\l8nt to the cl08e-out or change in status shall be paid by CI'l'Y to the COtJN'l'lC
