IDprovements, Zoeter Park Pacility, Contract 110. ctO&53 (orange
County Project N13.5), and
1IHIREAS, the County of orange has entered into a separate agr_nt dated
July 12, 1'88, with the O.S. Department of Housing and Orban
Develqnent to fund said project under the Housing and CoaIIIuni ty
Developaent Act of 1914, and
1IHIREAS, the contracts attached hereto as exhibits "A" and "Bn fl1rther
define the responsibilities of the two parties.
IIOW, THEREFORE BE IT RESOLVED that the City Council of the City of Seal
Beach does hereby approve the contracts attached hereto as exhibits "An
and "B" and authorizes the Mayor to enter into the contracts on behalf of
the City.

ROW, 'mBRBPORE, IT IS AGREED by and between the parties that the following
provisions as well as a.ll applicable Federal, State a04 County Ian a04 regUlations
inc1u4ing the attached SPBCIAL PROVI8IONS, i4entified as BXBIBI'l' -A-, and all other
attache4 Bxhibits, are part of this Contract.
1. !'or the PDRPOSES OF '!'BIS CXlR'l'RAC'l' the following defini ticms shall

b. Conatruction Bi4 package I A package of bid4ing 40clmentB which includes
proposal, bidding inatructioDB, contract 4oclments, detailed estimated costs 1ID4 plana
and specifications for a conatruction project, all prepared in accordance with
appliCable Pe4era1 regulations.

c. Director: '1'be Director of the Orange County Bnvir~nta1 Management
Agency (hereinafter referred to as IlIA) or bis designee.
d. Reillbursab1e ..siB: '1'be crn will provide the funds for the project and
sabait proof of payment to the OOu...n, wereby upon approval, the OOu...rr will forward
CCllImunity Development Block Grant (bereinafter referred to as CDIlG) funds to repay the

CIU.
2. It is underst004 that the CIU will act as PROJBC'1' MAHAGBR for the project
described as: Public pacilities and Improve.ents - Electric Avenue Alley 11113.3). CIU
will utilize CDIlG funds to reconstruct or replace water and sewer lines, and repave the
alley on Electric Avenue between 10th and 15th Streets. IIIpro_nts w111 benefit the

low- and moderate-income residents of the target area (see map, 'Exhibit -B-).
3. It iB agreed by all parties that the project shall be COIIIp1eted and all
funds provided through this COntract shall be expended on eligible project activities
prior to December 31, 1989. Invoices for all approved project costs funded by the Block
Grant under this Contract shall be submitted within 180 days after the above date. The
date for project COIIIp1etion and expenditure of all funds may be extended at the
discretion of the DIRBC'l'OR through written notification to the CIU. In the event of
such an elltension, the deadline for submittal of invoices shall be 180 days after the

new COIIIp1etion date.
4. CI'l'r agrees:
a. Any proposed amendment to this Contract shall be subnitted to and
approved by the COU...a, prior to QllIIIIII8ncement by crn of any activity covered by s
81d _n4ment.
b. '1'0 submit any and all third-party contracts proposed for funding through
this Contract to DIllBC'rOR for review and approval prior to award of such contracts by
crn.
c. '1'0 be responBib1e for design and inspection, including funding the costa
related to those activities, unless funding for design and inspection activities is
provided for in section 5.a. of this Contract.
d. '1'0 submit the Construction Bid Package for this project to DIREC'l'OR for I
review prior to advertising for bids on the construction contract or prior to a.ard of
such a contract if an alternative method of award is used. crn shall not advertise for
bids until DIRBC'l'OR has approved Construction Bid Package. 'crn shall construct project
in accordance with the Construction Bid package which DIRBC'I.'OR approved unless prior
written approval is received from DIRBC'l'OR for IDClcUfication therefrCD.

e. '.L'O comply with CDBG Program Regulations, as uy be periodically revised
by BOD, Office of llanag_nt an4 BUdget, or other PeeSera1 agencies, and inclUding l_s
and policies applicable to the CDBG program.
f. '!'hat the project shall be imp1_nted and appropriately ..intained for
eo.unity Deve10lBflnt purposes as defined by applicable BOD provisions to ensure Uxillum
feas~b1e benefit and utilization of the project by low- and moderate-income persons.
g. '.L'O maintain accounting records, official files, an4 other evidence
pertaining to costs incurred as required by all applicable BUD regulations, and all of
these shall be accessible for the purposes of lIonitoring, audits, reporting and
elllllllinations by duly authorized representatives of 000lI'1'Y or BUD. '!'hese records shall
be kept available at CITY's office during the project's contract period and thereafter
for three (3) years frOlll the date of final CITY receipt of BUD CDBG funds through this
Contract.
h. '!'hat DIIlBC'1'OR shall periodically evaluate the CI'l'lr' s progress in
ClllIIIplying with the terms of this Contract. CITY shall ClDOperate fully during such
aonitorings. DIRBC'l'OR shall report the findings of each aonitoring to the CI'l'lr and
Orange County Board of Supervisors. If it is deterained by the Board of 8upervisors
tbat CITY performance or progress on performance is unsatisfactory, the Board of
Supervisors may withhOld further funding on the project pending resolution of the
IUlsatisfactory conc!ition(s), or uy teminate this Contract. In addition, the Board of
supervisors may require the CITY to reimburse COONTY any funds that it detemines to be
improperly expenc!ed or IIDt expended on the project in a timely _Mer based on
appliCable CDBG program Regulations.
i. '!'hat if it is determined by BUD that funds were not expended in
compliance with the applicable Federal l_s and regUlations, CITY will refund to COlJN'.l'l!'
within ninety 90 days thereafter such sums as were determined by BUD to have been
i~oper1y expended.
j. When the project is completed, all unexpenc!ed funds remaining will be
returned to the COll...ty as BOOn as practicable, but in any event, within 180 days
thereafter. DIIlBC'1'OR may then reallocate returned funds to another Urban County
project (s) previously approved by the Board of Supervisors. Returned funds as such, may
be allocated by the DIRBC'l'OR up to a uximum of '!'en '1'housand Dollars and no/100
($10,000.00).

b. COUNTY shall not be responB1ble for any costs which exceed the approved
CDBG funding amount as referenced in Section 5.a. unless otherwise provided in advance
as referenced in section t.k.
c. Payment by the COUNTY to the CI'l'r shall be on a reillbursab1e basis
unless CIon has been authorized and ilsued cash advances by COUNTY under this Contract.
d. Cash advances requested by the cm under this Contract shall be made by
the COlJN'.l'Y to the cm if the following condiUons are met:
(1) The cm has demonstrated to DIRECTOR through certification in a
form prescribed by DIRBC'l'OR and subsequently through performance, its willingness and
capacity to establish CIon financial procedures that will minimize the time elapsing
bet_n the receipt of funds and proper disbursement of such funds.
(2) The CI'l'r cerUfies to DIRECTOR, that the CIon's financial

(3) ,'.ltle crn CllIIplies with the cash advance procedures required by
finllllCia1 procedures of IDIA. '.ltlese procedures require that upon written receipt of
funds from the COU...t!', the crn shall disburse payment (s) to vendor (s) within five (5),
working days and submit evidence of such disbursement(s) (i.e., warrant copies, etc.) to
the .COurrri.
If the crn is subsequently found, by DIR8:'1OR, to be in
_ompliance with section S.d. (1) through section S.d. (3), CI'1'!' Bhal1 be paid on a
reiabursab1e basis.
e. llIIillbursab1e basis payments, as referred to in section S.c. above,
and/or cash advances liescribed in Section S.d. above, shall be .ade in accordance with
IDIA finllllCia1 procedures.
In the event of conflict between IDIA financial procedures and

any applicable statutes, rules or regulations of BUD, including Office of Management and
Budget Circular Ho. A-102, the latter shall prevail.
6. CI'l'Y must inform the DIRBC'l'OR (through periodic reports requested by JlMA
staff) of any inClDllle generated by the expenditure of CDBG funds received by the CI'l'Y1
and that per appliCable Federal requirements, certain program inc:ome must be paid to the
COlJN'1'l!' (e.g., interest earned on CDBG cssh advances) 1 and/or, the CIn may retain such
program inc:ome only if that program income is used exclusively for eligible activities,
at the discretion of the DIRBC'l'OR, and in accordance with all CDBG requirements as may
then apply.
a. CI'l'Y shall keep and lIllintain appropriate records on the use of any such
program inClOlle as may be required by JlMA staff since the C<lUH'1'r bas the responsibility
of lDOI\itoring and reporting program inc:ome to BUD.
b. In the event of CIn c1ose~ut or change in status of the participating
CIn in the Urban County CDBG program, any program inc:ome at that time or received
subsequent to the c108e~ut or change in. status shall be paid by CIn to the COUN'l'Y
within 90 days thereafter.
7. Any proposed lIlDdification or change in use of raal property acquired or
improved in whole or in part by CDBG funds from that planned at the time of the
acquisition or impr~nt, including disposition, must be reported by CIn to the
COURt!' and receive C<lUH'1'r concurrence thereto in advance of implementing the
modification or change in use.

8. CIn shall obt:ain an annual audit performed in accordance with CIIB Circular
A128 and forward a ClOpy to DIRBC'l'OR. DIRBC'l'OR shall have the right to ensure that
necessary ClOrrective actions are made by the CIn for sny audit findings pertinent to
crn handling of funding at~ributab1e to the CIIBG Program per Pedera1 requirements.
9. Neither COlJN'.L'Y nor sny officer nor 8IIIp1oyee thereof shall be responsible for
any damage or liability occurring by reason of any action or OIIIission of CIn or i~s
agents, associates, ClOntractors, subcontractors, aaterialmen, laborers, or sny other
persons, firll8, or ClOrporations furnishing or supplying work service, uteria1s, or
supplies in connection with CIn's perforllsnce of this Contract and from any and all

claill8 and l08ses accruing or resulting to sny persons, firll or ClOrpora~ion for personal
injuries or proper~y ilamage resulting from or as a ClOnsequence of, crn's perfoIlllllnce of
this Contract under or in ClOnnection with any work, authority or jurisdiction delegated
to CIn under this COntract. It is also understood and agreed that, pursuant ~o
California Government Code Section 895.4, crn shall fully indemnify, defend and hold
COUR'l'f harm1eBB from any liability illlpOsed for injury (as defined by California
Government Code Section 810.8) occurring by reason of any action or OIIIission of CIn
under or in ClOnnection with sny work, authority or jurisdiction delegated to crn under
this Contract. CIn shall act in an independent capacity and not as officers, employees
or agents of COlJN'l'lC.

with CClOIl'rlr, or with a State or Pederally chartered bank as escrow agent. If security
is deposited with an escrow agent, it shall be covered by an escrow agre_nt.
12. In the event of CITY's failure to comply with the provisions of this
Contract, COlJ"l~ may withhold or require CITY reilllburselll8nt of funds, and/or terminate
this Q)ntract, and/or allocate fands previously aBBigned to this Q)ntract to allDther
eligible project(s) within the Orban County.

dated December 8, 1987 in which both parties agreed to cooperate in the un4ertaking,
or assist in the un4ertaking, of _unity developlent and housing assistance
activities, and
1IBBREAS, the CI'!'!' has submitted to the COtlN'l'Y an application for fun4ing
of a project hereinafter described, and

~S, the COUNTY has entered into a separate agreement dated
July 12, 1988 with the U.s. Department of BOIIsing an4 Urban Development (hereinafter
referre4 to as BOD) to fund said project un4er the Housing and COmmunity Developllent Act
of 1974 (Public Law 93-383), as amended.
HOW, 'mBRBPORB, IT IS AGRBED by and between the parties that the following
provisions as well as all applicable Pederal, state and County l..s and regulations
inclu4ing the attached SPECIAL PROVISIONS, identified as BXBIBI'1' -A-, and all other
attached Exhibits, are part of this COntract.
1. Por the PURPOSBS OF THIS COHTRACT the following 4efinitions shall
apply:

2. It is un4erst:004 that the crn will act as PIlOJBC'1' MANAGER for the project
described as: Public pacilities and ImprOYlllllents - ZOeter Park (HU.5). crn will
utilize CDBG funds.for renovation of the facilities, inCluding but not limited to:
repair/replacement of unsafe bleachers, lIOl!ifications for han4icapped accessibility and
replacement of perimeter security fencing. Pacility aerves low-, and moderate-income
residents of the target area (see I18P, BKhibit -B-).
3. It is agreed by all parties that the project shall be completed and all
fun4s provided through this Contract shall be expended on eligible project activities
prior to December 31, 1989. Invoices for all approve4 project costs fun4ed by the Block
Grant under this Contract shall be sullDitte4 within 180 days after tbe above date. !be

date for project completion and expenditure of all funds may be e&tended at the
4iscretion of the DIRBC'l'OR through written notification to the CIft. In tbe event of
such an extension, the deadline for submittal of invoices shall be 180 days after the
new completion date.
4. CIft agrees:
a. Any proposed _adment to this Contract shall be sllbDitted to and
approve4 by the COllwJ.'Y, prior to c:omIIIencement by CIft of any activity covered by said
_ndment.
b. '.l'O sllbDit any and all third-party contracts propose4 for funding through
this Contract to DIRBC'l'OR for review and approval prior to award of such ccntracts by
crn.
c. '.l'O be responsible for design and inspection, inclu4ing funding the costs
related to those activities, unless funding for 4esign and inspection activities is

provided for in section 5.a. of this Contract.
d. '.l'O submit the Construction Bid Package for this project to DIRBC'l'OR for
review prior to advertising for bids on the construction contract or prior to award of
such a contract if an alternative metb04 of award is use4. 'CIft shall not a4vertise for
bids until DIRBC'l'OR has approved Construction Bid package. CIft shall construct project
in accordance with the Construction Bid package which DIRBC'l'OR approve4 unless prior
written approval is received frOlD DIRBC'l'OR for mOllification tberefrom.

h. 'l!Iat DIRBC'l'OR shall periodically evaluate the CITY's progress in
COIIplying with the terms of this Contract. crn shall cooperate fully during such
_i~arings. DDlBC'l'OR shall report the findings of each Jll)nitoring to the CITY and
orange County BOar4 of Supervisors. If it is determine4 by the BOard of Supervisors
that crn performance ar progress on performance ~s UJIIIatisfactory, the aoar4 of

Supervisors may withhold further funding on the project pending resolution of the
unsatiSfactory condition(s), or may terminate this Contract. In a44ition, the BOard of
superviSOrs may require the CITY to reimburse COlJR'1'f any funds that it determines to be
improperly expended or not expended on the project in a timely manner based on
applicable CDBG Program Regulations.
i. 'l'bat if it is determined by BUD tbat funds were not expended in
compliance with the applicable Pederal In. and regulation., crn will reflllld to COlJR'1'f
within ninety 90 days thereafter such SUIIIS as were determined by BUD to have been
improperly upended.
j. 1Ihen the project is completed, all unexpended funds remaining will be
returne4 to the COOH'1'r as soon a. practicable, but in any event, within 180 4ay.
thereafter. DIRBC'l'OR may then reallocate returned fun4. to another Urban County I

4. Cash advances requeste4 by the CI'l'lf' under this Contract shall be ma4e by
the COllN'1'lr to the CI'l'lf' if the following conditions are met:
(1) 'l.'be CI'l'lf' has demonstrated to DIRECTOR through certification in a
form prescribed by DIRECTOR and Subsequently through performance, its willingness and
capacity to establish CI'l'lf' financial procedures that will minimize the time elapsing
between the receipt of funds an4 proper 4isbursement of such funds.

(2) The CI'l'lf' certifies to DIRECTOR, that the CI'l'lf"s financial
manage_nt system _ets the standards for fun4 control and accountability prescribed in
Office of Management and Budget Circular NO. A-102, as _nae4 frDIII time to time.

financial procedures of BMA. 'l.'bese procedures require that upon written receipt of
