Kirkpatrick, Chief of Police SUBJECT: Extension to the Detention Facility Qperations and Management Agreement e SUMMARY OF REQUEST: An additional six-month extension of the current contract between the City of Seal Beach and Correctional Services Inc., also known as C.S.!., is necessary. A completely revised contract has been drafted and negotiations with our vendor are nearly complete at this time. However, the most current contract extension expired December 31,2006, prior to the completion of negotiations. The new contract will provide improved operational and cost efficiency incentives. This requested extension will bridge the expiration date to the final approved, revised contract with C.S.!. BACKGROUND: The contract between the City of Seal Beach and Correctional Services Inc. to manage and staff the Seal Beach Jail Facility has been in effect since April 11, 1994. This contract was originally created for the purpose of reducing city liability by staffing the jail facility with correctional officers outsourced through Correctional Services Inc. Correctional Services Inc. merged with Cornell Corrections Inc. in early 2005. Cornell is the third largest private correctional provider in the United States. Because this merger occurred, the Police Department recommended a six- month extension of the most recent contract with C.S.I. This extension will continue the business relationship between the City and C.S.!., and will allow staff the time to conclude negotiating the appropriate contractual terms and allow custodial care to continue during this process. This contract extension is in the vendor's hands and we are awaiting their agreement to its terms and signature. Attached is the expired Contract Extension for Council review. It contains the same conditions as the proposed Contract Extension. Once received, the newly signed contract extension will be introduced by memo to Council. e FISCAL IMPACT: Th~re are no anticipated changes in terms of fiscal impact during the term of this contract extension. Kirkpatrick, Chief of Police e e e EXlENSION OF CITY DETENTION FACIIlTY OPERATIONS AND MANAGEMENT AGREEMENT This extension is made as of July 1, 2006, by and between the City of Seal Beach, California, a municipal corporation ("City") and Correctional Systems, Inc., a Delaware corporation ("Operator"). RECITALS A. City and Operator entered into a City Detention Facility Operations and Management Agreement dated April 11, 1994 (the "Agreement"), whereby Operator agreed to provide the operation, management and supervision of a detention facility located in City's existing jail and detention facilities accordance with the laws, rules, regulations, and procedures of the State of California. The Agreement has been extended four times. B. City and Operator desire to further extend the Agreement to provide for additional time to negotiate terms and provisions. NOW, TIffiREFORE, in consideration of performance by the parties of the covenants and conditions herein contained, the parties hereto agree as follows: 1. City and Operator hereby extend the terms of the Agreement until December 31, 2006. e 2. All of the terms and provisions of the Agreement as previously amended shall remain in full force and effect.
