TO CERTAIN BUYERS AND THE ACQUISITION OF GWC 83, INC., AS THE HOLDER OF A CABLE COMMUNICATIONS FRANCHISE, BY COMCAST CABLEVISION CORPORATION OF CALIFORNIA THE CITY COUNCIL OF THE CITY OF SEAL BEACH DOES ORDAIN AS FOLLOWS: 'I Section 1. Ordinance No. 1215 of the City of Seal Beach is hereby repealed in its entirety. Section 2. The City Council hereby acknowledges, con- sents to and approves the corporate reorganization of Group W Cable, Inc., a New York corporation, which resulted in the for- mation of GWC 83, Inc., a Delaware corporation, as a wholly- owned subsidiary of Group W Cable, Inc., and which, pursuant" to said corporate reorganization, became and is now the holder of that certain franchise (the "franchise") originally granted to Teleprompter of Southern California by Ordinance No. 1111 of the City of Seal Beach, and thereafter transferred to Group W Cable, Inc. by Ordinance No. 1133 of the City of Seal Beach. Section 3._ The City Council hereby acknowledges, consents to and approves the sale and transfer of all of the issued and outstanding shares of capital stock of Group W Cable, Inc., a New York corporation, (including all of the capital stock of its wholly-owned subsidiaries) by its parent corporation, Westinghouse Broadcasting and Cable, Inc., to Century Southwest Cable Television, Inc., a Delaware corpora- tion~ TCI Holdings, Inc., a Colorado corporation~ American Television and Communications Corporation ("ATC"), a Delaware corporation, and to the affiliates of, or subsidiaries or partnerships owned or controlled by, Houston Industries Incorporated, a Texas corporation, Comcast Corporation, a Pennsylvania corporation, Daniels & Associates, Inc., a Delaware corporation, and ATC, as are specifically identified in Exhibit A, attached hereto. The consent and approval granted by this Section 3 shall not modify, alter, or limit in any manner whatsoever the duties and obligations of GWC 83, Inc. under the franchise. I Section 4. The City Council hereby consents to and approves the acquisition of all outstanding shares of capital stock of GWC 83, Inc. by Comcast Cab1evision Corporation of California, a California corporation, from Group W Cable, Inc., and acknowledges that GWC 83, Inc., as a wholly-owned subsidi- ary of Comcast Cab1evision Corporation of California, will continue to be the holder of the franchise and the cable com- munications system authorized thereunder in accordance with and subject to the provisions of the Franchise Agreement dated February 8, 1982, as amended by Amendment Nos. 1, 2, 3 and 4, Chapter 23A of the Code of the City of Seal Beach, California, and all other applicable laws~ provided, however, that such consent and approval shall become effective only upon the date that Comcast Cab1evision Corporation of California, as the parent corporation of GWC 83, Inc., duly executes and delivers Or.di nance..
