A RESOLUTION OF THE SEAL BEACH CITY COUNCIL RATIFYING
THE EXECUTION OF PROFESSIONAL SERVICES AGREEMENTS
WITH COSTANGY, BROOKS, SMITH & PROPHETE AND
CYBEREASON; AND APPROVING BUDGET AMENDMENT BA #26-
07-02 TO ALLOCATE $85,000 FOR FORENSIC CYBERSECURITY
SERVICES
WHEREAS, the City of Seal Beach relies on technology and communication to carry out
City operations; and,
WHEREAS, the City Manager, together with the City's cybersecurity insurer, determined
that forensic and legal cybersecurity services (Services) were necessary to preserve City
operations; and,
WHEREAS, the Services are covered by the City's cybersecurity liability policy, with legal
support fully covered and forensic support subject to the City's deductible; and,
WHEREAS, the City's Charter Section 1010 authorizes the City to dispense with public
bidding as necessary for the preservation of property, and Seal Beach Municipal Code
Chapter 3.25 also exempts professional services and emergency projects from bidding
requirements; and,
WHEREAS, due to the immediate need to implement the Services before the next Council
meeting due to a potential cyber incident, the City Manager executed contracts with
Costangy, Brooks, Smith & Prophete (Costangy) and Cybereason on advice from the
City's insurer; and,
WHEREAS, Costangy's legal services are fully covered by the City's insurer, without any
deductible, and Cybereason's forensic services are also covered by the City's policy,
subject to a deductible of $100,000 and at an estimated cost to the City of $70,000; and,
WHEREAS, Costangy and Cyberreason are qualified to perform the Services; and,
WHEREAS, on January 6, 2026, the City Manager executed contracts with the two (2)
firms, and the City Council is now ratifying the execution.
NOW, THEREFORE, the Seal Beach City Council does resolve, declare, determine, and
order as follows:
Section 1. Based on the recitals set forth above, the City Council hereby finds that the
Professional Services Agreement with Costangy and Cybereason are
urgently necessary for the preservation of property of the City, and finding
that the Agreement to be exempt from public bidding requirements.
Section 2. The City Council ratifies the City Manager's execution of the Agreements
with Costangy and Cybereason on behalf of the City.
Section 3. The City Council hereby approves a Budget Amendment #26-07-02 allocating
$85,000 to 101-150-2020-51250, as follows:
