A RESOLtrrION OF THE CITY COUNCIL OF THE CITY OF
SEAL BEACH APPROVING AND RATIFYING "MEMORANDUM
OF UNDERSTANDING AMONG COUNSEL FOR PLAINTIFFS
IN WESTERN PIPE CASES -- RE DISTRIBtrrION OF
SETTLEMENT FUNDS AMONG PLAINTIFFS."
The City Council of the City of Seal Beach hereby resolves:
WHEREAS, The City of Seal Beach (called Public End User herein)
has by previous resolution authorized the Attorney General of the
State of California, acting in his official capacity, to act as the
legal representative of Public End User in connection with certain
manufacturers thereof; and
WHEREAS, on May 5, 1967, said Attorney General, in negotiating
a partial settlement of said actions, executed that certain document
providing for distribution of settlement proceeds, entitled
"Memorandum of Understanding Among Counsel for Plaintiffs in Western
Pipe Cases -- Re Distribution of Settlement Funds Among Plaintiffs,"
a copy of which has been delivered to Public End User;
NOW, THEREFORE, The City of Seal Beach does hereby approve and;
ratify said "Memorandum of Understanding Among Counsel for Plaintiffs
in Western pipe Cases -- Re Distribution of Settlement Funds Among
plaintiffs" and hereby authorizes said Attorney General to distribute
in-accordancertheiewith and pursuant to the authority hereby and here-
tofore conferred upon said Attorney General any monies received from
settling defendants.

The counsel for plaj.n tiffs in t~e Hestern Pipe
Cases, having met in San Francisco on May 5, 1967, do
hereby agree as follows:

Definitions
For the purposes of this unders~anding, the
following terms shall have the meanings as set forth:
"Plaintiffs" -- shall include teose entities
represented by those counsel who are sigP~tory to this

'..."Settling defendants" -- are U.. S. Steel Corp.,
Kaiser Steel Corp., U. S. Industries, Inc., United Concrete
Pipe Corp., Smith-Scott Company, Inc., and Martin-Marietta
CQrp.
"Settlement periods" -- shall mean:
(a) the period from September l, 1954, through
August 31, 1962, as to all trans~ctions w~erein the last
day for submission of bids or the bid opening date, which-

ever occurred within this time, or, in the case of a
non-bid job, the purchase order for the tra.nsaction 'in
question was placed within said period, except as noted

in the subparagraph next following;
(b) the period from January 1, 2956, and
terminating December 31, 1960, as to all steel small
diameter pipe transactions wherein the last day for sub-
mission of bids or the bid opening date, w~"lichever occurred
within this ti~e, or, in the case of a non-bid job, the
purchase order for the transaction in ques~ion was placed
within said period.

"Steel small q.iameter pipe" -- is defined as
that pipe which is 3/16th inch 01' less in ,'rall thick-
ness, as per bid or purchase order specifications, and
i
,.,hich do~s not exceed an internal diameter: of 36 inches,
provided, hOI.,e ve r, tha t all pipe haying an in te rnal
di~meter of 12-3/4 inches or less shall be deemed to be
small diameter regardless of wall thickness.
.
"Pipe" -- (with the exception of steel small
diameter pipe as above defined) shall include all products
defined in the State of California complaints, as amended,
and in addition shall be deemed to include the products
of penstock and tunnel liner.
"Transacti'on" -- shall mean each sale of pipe
and steel small diameter pipe manufactured by a settling
defendant or American Pipe and Construction Company.
Rules to Govern Verification and Distribution
1. All transactions within the respective settle-
ment periods in the amounts verified or to be verified by
defendants in their respective verification schedules, as
amended, shall be included for purposes of distribution.
In this connection,.it is understood that on all disputed
transactions defendants' 'will submit amendments to their
verification schedules by May 23, 1967.
2. Subject to the provisions of paragraph 5,
sUbdivision (b)(7), no plaintiff shall make a claim on
any transaction which has not been made the subject of
claim and discussion'with defendants prior to May 5, 1967.
3. On or befo~e May 15, 1967, all plaintiffs
Shall submit to the defendants concerned any information
not yet submitte~ bearing on the verification of their
_transactions which must have already been the subject of
xransaction interrogatory answers and which must have

already been placed in dispute with the defendant after
transaction interrogatory answers (except as elsewhere

provided, subject to the provisions of paragraph 5, sub-
division (b)(7)).
4. Any disputed transaction whose verification
is not resolved to the satisfaction of the plaintiff con-
cerned by the defendant's verification statement, as
amended, shall be submitted on o~ before June 1, 1967,
by the plaintiff concerned to Judge Martin Pence for final
resolution, with no appeal allowable from his decision.
,Such plaintiff may submit whatever documents or arguments
he desires, and any other plaintiff may, if he chooses,
submit opposing evidence and arguments. A committee of
plaintiffs' counsel shall be appointed in order to give a

recommended preliminary determination on any disputed
transactions and to suggest resolutions of such disputes
which, if not accepted by the plaintiff concerned, may be
taken to Judge Martin Pence, in which event the committee
will present opposing evidence and argument at that hearing.
Concurrently with the submission of a disputed transaction
to Judge Martin Pence, notification shall be given to all
plaintiffs' counsel, together with copies of the sub-
stantiating data which-is being submitted to Judge pence.;c
5. Transactions which are to be the basis of
distribution for the proceeds of this settlement shall be

(a) Those which, following the procedures of
this memorandum, have been verified by the defendants
or by the plaintiffs' reviewing committee, or by

(8) Any plaintiff who has heretofore claimed

for his transactions that is above accorded the
specific jobs just mentioned. Such claim shall
be made to the plaintiffs' reviewing committee
and thereafter to Judge Pence, if necessary,
in accordance with the procedures previously
set forth.
6. Order of Payrr:eDt. The proceeds of the settle-
ment of the plaintiffs with the settling defendants shall

be disbursed according to the follow~ng order of priorities:
(a) Fees of a bank, if any, serving as a
depository or agent for payment.
. (b) Fees of a certified public accmmtant,
if any, and any other ~inding-up costs.
(c) Refund of the contribut.con of all plain-
tiffs to the Association of Pipe Antitrust Plaintiffs
(approxi8at~ly $200,000).

7. Formula for D:Lstributi.on. After the pe.yn:ent
of the charges described in paragraph 6(a), (0), (c) and
(d), the balance of the proceeds (hereinafter referred to
as "net settlement") paid by the settling defendants shall
be distributed as follows:

each plaintiff, as close as can be paid,
an amount equal'to 8.8% of its purchases,
if any, from the settling defendants that
have been verified under the procedur~s herein

plaintiff, as close as can be paid, an amount
equal to 3.8% of its purchases, if any, from

authorized to conduct e.ny necessary negotiations ,'Ii th
respect to the manner of payment of the proceeds of the
settlement and the executioll) delivery, custody and payment
on the settlement proceeds and promissory notes. Said
committee shall notify the co~sel for plaintiffs of any
and all ~rrangements which are made regarding these particu-
lars and any cOQ~sel for plaintiff may object) whereupon a
meeting of the counsel for plaintiffs shall be convened
in order to determine such matters by majority vote of .
those attending. An objection to any intended action of
the cOll~ittee must be COWL~Q~.icated to all plaintiffs'

such action has been sent. Distribution of the notes shall
be in amounts in substantially the same ratio as distri-

this agreement.
10. In the event that more than Dne plaintiff
shall make written claim to funds paid on account of the
same transaction, payment shall be made by checks and notes
issued in the joint names of such plaintiEKs.
11. By signing this agreement, e~ch signatory
agrees to do that which is reason~bly propar to effectuate
it and to use his best efforts to obtain tbe approval
required from his client to the operative ~rovisions of
