Seal Beach, California July 29, 1977 The Redevelopment Agency of the ,City of Seal Beach met in regular session at 7:45 p.m. with Chairman Laszlo calling the meeting to order with the Salute to the Flag. ROLL CALL Present: Chairman Laszlo Agency Members ,Blackman, Gray, Kredell, Wei,r ,I Absent: None Also present: Mr. Courtemarche, Executive Director-Secretary Mr. Coughlan, Assistant City Attorney Mr. Strausz, Deputy City Attorney APPROVAL OF MINUTES Blackman moved, second by Weir" to approve the minutes ,of the regular meeting of June 27. 1977 and the minutes of the regular adjourned meeting of July 11, 1977 as presented. AYES: NOES: Blackman, Gray, Kredell, Laszlo, Weir None Motion carried AGENCY REORGANIZATION Gray moved, second by Weir, to retain Mr. Laszlo as Chairman of the Redevelopment Agency and Mr. Blackman as Vice-Chairman of the Redevelopment Agency for the upcoming year. AYES: NOES: Blackman, Gray, Kredell, Laszlo, Weir None Motion carried I DISCUSSION'-'REFINANCING - REDEVELOPMENT AGENCY TAX ALLOCATION NOTES The ExecutIve Director reported that Redevelopment Agency tax allocation notes sold in September 1975 were required to be refinanced by September 1978 and stated it would be advisable to refinance the notes into bonds at this time due to current market conditions. Mr. Courtemarche recommended that the Agency authorize refinancIng the notes into bonds at this time and that the Agency retain the firm of Richards, Watson, Dreyfuss & Gershon to serve as the bond counsel for the Agency. Mr. Courtemarche explained that there would be further actions required by the Agency in succeeding meetings to accomplish the refinancing of the notes. Blackman moved, second by Gray, that the Agency direct the Executive Director and financIal consultant, Miller and Schroeder, to proceed with steps necessary to refund the outstanding notes, and to employ the services of Richards, Watson, Dreyfuss & Gershon to act as the city's special legal counsel and bond counsel for the refinancing of said notes. At the request of the Agency the City Attorney explained the fee schedule as proposed'in their letter dated July 25, 1977. AYES: NOES: Blackman, Gray, Kredell, Laszlo, Weir None Motion carried I ORAL COMMUNICATIONS Chairman Laszlo declared oral communications open. Councilman Kredell asked if an opinion had been received from the City Attorney regarding relocation or replacement of cabanas in the trailer park that do not have a building permit. The Executive Director stated that he was in receipt of the letter from the City Attorney regardIng this matter and that the letter would be provided to the Agency members. Lew Bennett, 403 Ocean Avenue, spoke regarding the City Attorney firm as special legal and bond counsel for t~e refinancing of the notes. 7-25:'77 c...". . AYES: NOES: Blackman, Gray, Kredell, Laszlo, Weir None Mot I on ca rr i ed 1- REDEVELOPMENT AGENCY MEETING RECONVENES The Redevelopment Agency, meeting reconvened at 8:05 p.m. with Chairman Laszlo calling the meeting to order for a joInt public hearing with the City Council and deferred the conduct of the meeting to Mayor Blackman. JOINT PUBLIC HEARING - PURCHASE and SALE OF REAL PROPERTY WITHIN THE REDEVELOPMENT PROJECT'AREA Mayor Blackman and Chairman Laszlo declared the joint public hearing between the City Council and the Redevelopment Agency open to consider a proposed agreement between the Redevelopment Agency and Seal Beach Associates for the purchase and sale of real property within the Redevelopment Project Area. The City Clerk certified that 'notices had been published as required by law and that no communications either for or against the matter had been received. I" The City Manager's report dated July 19, 1977 presented an overview of the procedures required by law to accomplish the sale of the 2.4 acres of land for the redevelopment of the Seal Beach Trailer Park and recommended that the City Council and the Redevelopment Agency adopt the appropriate resolutions and approve the agreement with Seal Beach AssocIates. The City Attorney stated that the purpose for the joint public hearing was to give the CIty Council and the Redevelopment Agency an opportunIty to receive public input regarding this matter. The City Attorney stated that four parcels of property were 'included in the proposed sale, that the square footage price was based upon settlement of litigation for parcel "C" obtained from the Los Angeles Department of Water and Power and that the sale price was not less than the fair market value for the property. The City Attorney further stated that the Agency has the authority to sell the property at less than the fair market value if they choose to do:so. The Council and Agency discussed various points of the Purchase and Sale Agreement for clarification. There were no oral or written communications for or against the matter. RESOLUTION NUMBER 2680 - APPROVING AGREEMENT - PURCHASE and SALE OF REAl PROPERTY' ResolutIon Number 2680 was presented to Council by title "A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEAL BEACH APPROVING AN AGREEMENT FOR THE PURCHASE AND SALE OF REAL PROPERTY." By unanimous consent, full reading of Resolution Number 2680 was waived. Weir moved, second by Gray, to approve Resolution Number 2680 as presented. I AYES: NOES: Blackman, Gray, Laszlo, Weir Krede 11 Motion carried RESOLUTION NUMBER 77-7 - APPROVING AGREEMENT - PURCHASE and SALE OF REAl 'PROPERTY Resolution Number 77-7 was presented to the Agency by title "A RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE CITY OF SEAL BEACH APPROVING AN AGREEMENT FOR THE PURCHASE AND SALE OF REAL PROPERTY." Gray moved, seocnd by Weir, to waive further reading and adopt Resolution Number 77-7 as presented.
