SUMMARY OF REQUEST:
It is requested that the City Council adopt Resolution No. 6050 approving a
professional services agreement with RBF Consulting to prepare plans,
specifications, and estimates to widen Seal Beach Boulevard at North Gate Road
(Beverly Manor Road).
BACKGROUND:
The Orange County Transportation Authority (OCTA) is moving forward with the
West County Connector (WCC) Project. This project will widen the 1 -405 freeway
and add carpool lane connectors for the 1 -605 Freeway, 1-405 Freeway, and SR
22 Freeway. The Seal Beach Boulevard Bridge will need to be taken down and
reconstructed as the length of the bridge will not accommodate the new width of
the freeway. The bridge is currently two lanes in both the north and south
directions. Typically when this situation occurs, OCTA has replaced the bridge
with a new bridge that has a similar lane configuration. The City of Seal Beach
has successfully lobbied OCTA to replace the bridge with a new bridge that has
three lanes in each direction matching the OCTA Master Plan of Arterial
Highways. This will be done at no cost to the City of Seal Beach.
OCTA will not however be improving Seal Beach Boulevard north of Old Ranch
Parkway or South of North Gate Road. At the conclusion of the West County
Connectors project the new alignment of Seal Beach Boulevard will not match
the existing layout of the street. This will create a bottleneck situation and could
potentially create unsafe conditions.
Foreseeing the need for improvements staff applied for several OCTA
competitive grants to fund improvements outside of the West County Connectors

project area. The City of Seal Beach has been successful in securing OCTA
competitive grants in the amount of $1,048,690 to fund these improvements.
These competitive grants have a city matching component. The City of Seal
Beach has budgeted Traffic Impact fees to cover this matching component.
The Measure M program was approved by the Voters of Orange County in
November of 1990 (M1) for a period of 20 years (concluding in November of
2010). In November of 2006 the program (M2) was approved for an extension
with new guidelines and grant programs for the next 20 years. The OCTA board
of directors has directed that all grant funding awarded during M1 shall be
awarded by March of 2011.
The West County Connectors project is being funded with Stimulus Funds from
the American Recovery and Reinvestment Act. OCTA requested that the City of
Seal Beach not move forward with improvements to Seal Beach Boulevard until
receipt of grant funds for the West County Connectors project be awarded.
Those funds were awarded in April of 2010.
Seal Beach Boulevard in the northbound direction approaching 1-405 FWY ramp
at North Gate Road (Beverly Manor Road) currently has one left turn lane, two
through lanes and one right turn only lane. Seal Beach Boulevard needs to be
widened in this area to one left turn lane, three through lanes, and one right turn
lane. This widening will primarily lie within Caltrans property. This triggers
meeting all of Caltrans requirements. In 2005 the City of Seal Beach was going
to move forward with improvements to the 1 -405 ramps at North Gate Road and
Old Ranch Parkway. This project was put on hold in anticipation of the West
County Connectors project. The City still has existing permits with Caltrans for
that project which can be updated to the current improvements needed at Seal
Beach Boulevard and North Gate Road.
City staff has met with Caltrans and had dialogue regarding document submittal
that will be required for updating the existing permit. Many changes since 2005
have occurred and the permit with Caltrans will need a review at District 12.
Some items include revising plans, storm water data sheets, revised project
study report, right of way certification and an addendum to the environmental
document. These items will be handled at the staff level.
Due to the urgent nature of awarding construction, staff did not advertise an RFP
for design of these improvements. Staff solicited proposals from the two
engineering firms of TRC Solutions and RBF Consulting. These two firms have a
distinct advantage over all other design firms and is described below.
TRC Solutions is the design engineer of record for the WCC project. TRC is
intimately knowledgeable about the project having been involved in the
discussion between the City of Seal Beach and OCTA. They already have the
project surveyed (with the West County Connector Project) and have done

extensive utility coordination for the area. They have established relationships
with Caltrans on the West County Connectors Project.
RBF Consulting is the design engineer for the City's Ramp project in 2005. They
started with this project in 1999 beginning with project inception to completion of
the bid documents including Caltrans approval for construction. They have a
clear understanding of this project, and was a subconsultant for the WCC project.
They prepared all of the environmental documents for the original project and are
able to update the plans, permitting documents and resubmit to Caltrans for
approval.
Staff has met with Caltrans regarding this project. TRC Solutions and RBF
Consulting are under full recognition of what is required by Caltrans to approve a
revised permit for construction. City Staff anticipates submitting new permitting
documents to Caltrans as soon as possible and meet all of OCTA deadlines.
This Council item covers only improvements approaching Seal Beach Boulevard
and North Gate Road. Improvements are also necessary north of the 1 -405
freeway at Old Ranch Parkway. Those improvements are already designed and
do not require acquisition of any Caltrans permits. The City of Seal Beach has
secured separate grant funds for those improvements and will meet all funding
deadlines associated with those grants.
TRC Solutions and RBF Consulting submitted a proposal to prepare a complete
plan, specification and estimate bid package and satisfy all CEQA and Caltrans
permit requirements. Detailed CEQA information will be presented at the time of
award for construction. TRC Solutions' proposal cost is $286,244. The RBF
Consulting proposal cost is $189,506. Staff carefully evaluated the proposals.
Both firms have the expertise and have demonstrated project delivery on project
of this nature and scale and currently have ongoing projects with Caltrans. In
speaking with Caltrans, Caltrans feels both firms have the background and
expertise in completing the project.
Based upon experience, knowledge of the project and capabilities, staff
recommends awarding the professional services agreement to RBF Consulting in
the amount of $189,506.
City Manager David Carmany has had a professional relationship with Raub,
Bein, Frost & Associates (now RBF Consulting) since 1979.
FINANCIAL IMPACT:
In the 09/10 Budget $2.5 million has been allocated for the Seal Beach
Boulevard Widening Project No. 49750.

On the August 10, 2009 City Council meeting, Council adopted Resolution No.
5905 to entered into a Cooperative Agreement No.0 -9 -0631 with OCTA for the
Seal Beach Boulevard Bridge Widening as part of the WCC Project for
$1,869,017.
On September 14, 2009, City Council awarded a design contract with Kimley-
Horn and Associates to widen Seal Beach Boulevard from Old Ranch Parkway to
St. Cloud for $158,184. This widening will remove the bottleneck after the WCC
Project is completed.
In combining both the OCTA Cooperative Agreement No.0 -9 -0631 of $1,869,017
and Kimely Horn design contract of $158,184 it totals to $2,027,201.
The difference in the budgeted amount of $2,500,000 and total combined cost of
$2,027,201 is $472,799 which remains in the budget.

DESIGN SERVICES IN CONNECTION WITH SEAL BEACH

MANOR ROAD)
THE SEAL BEACH CITY COUNCIL DOES HEREBY RESOLVE:
Section 1. The City Council hereby approves the professional services
agreement ( "Agreement ") between the City of Seal Beach and RBF Consulting
for the Seal Beach Boulevard Widening at North Gate Road in the amount of
$189,506.
Section 2. The Council hereby directs the City Manager to execute the
Agreement.

This Design Professional Services Agreement ( "the Agreement') ") is made as of the 03
day of August, 2010 (the "Effective Date "), by and between RBF Consulting
( "Consultant "), a California corporation, and the City of Seal Beach ( "City "), a California
charter city, (collectively, "the Parties ").
RECITALS
A. City desires certain professional services.
B. Pursuant to the authority provided by its City Charter and Government
Code § 37103, if applicable, City desires to engage Consultant to provide professional
design services in the manner set forth herein and more fully described in Section 1.
C. Consultant represents that the principal members of its firm are qualified
professional licensed engineers and are fully qualified to perform the services
contemplated by this Agreement in a good and professional manner; and it desires to
perform such services as provided herein.
NOW THEREFORE, in consideration of the Parties' performance of the
promises, covenants, and conditions stated herein, the Parties hereto agree as follows.
AGREEMENT
1.0 Scope of Services
1.1. Consultant shall provide those services ( "Services ") set forth in the
attached Exhibit A, which is hereby incorporated by this reference. To the extent that
there is any conflict between Exhibit A and this Agreement, this Agreement shall control.
1.2. Consultant shall perform all services under this Agreement on a timely,
regular basis and in a manner reasonably satisfactory to the City.
1.3. In performing this Agreement, Consultant shall comply with all applicable
provisions of federal, state, and local law.
1.4. As a material inducement to City to enter into this Agreement, Consultant
hereby represents that it has the experience necessary to undertake the services to be
provided. In light of such status and experience, Consultant hereby covenants that it
shall follow the customary professional standards in performing all services.
1.5. By executing this Agreement, Consultant represents that, to the extent
required by the standard of practice, Consultant (a) has investigated and considered the
scope of services to be performed, (b) has carefully considered how the services should
be performed, and (c) understands the facilities, difficulties and restrictions attending
performance of the services under this Agreement.
2.0 Term
The term of this Agreement shall commence as of the Effective Date and shall
continue for 60 days unless previously terminated as provided by this Agreement.

3.0 Consultant's Compensation
City will pay Consultant in accordance with the hourly rates shown on the fee
schedule set forth in Exhibit B for Services but in no event will the City pay more than
$189,506.00. Consultant will not be compensated for any work performed not specified
in the Scope of Services unless the City authorizes such work in advance and in writing.
The City Manager may authorize payment for such work up to a cumulative maximum of
$10,000. Payment for additional work in excess of $10,000 requires prior City Council
authorization. Any additional work authorized by the City pursuant to this Section will be
compensated in accordance with the schedule set forth in Exhibit C.
4.0 Method of Payment
4.1. Consultant shall submit to City monthly invoices for all services rendered
pursuant to this Agreement. Such invoices shall be submitted within 15 days of the end
of the month during which the services were rendered and shall describe in detail the
services rendered during the period, the days worked, number of hours worked, the
hourly rates charged, and the services performed for each day in the period. City will
pay Consultant within 30 days of receiving Consultant's invoice. City will not withhold
any applicable federal or state payroll and other required taxes, or other authorized
deductions from payments made to Consultant.
4.2. Upon 24 -hours notice from City, Consultant shall allow City or City's
agents or representatives to inspect at Consultant's offices during reasonable business
hours all records, invoices, time cards, cost control sheets and other records maintained
by Consultant in connection with this Agreement. City's rights under this Section 4.2
shall survive for two years following the termination of this Agreement.
5.0 Termination
5.1. This Agreement may be terminated by City, without cause, or by
Consultant based on reasonable cause, upon giving the other party written notice
thereof not less than thirty 30 days prior to the date of termination.
5.2. This Agreement may be terminated by City upon 10 days' notice to
Consultant if Consultant fails to provide satisfactory evidence of renewal or replacement
of comprehensive general liability insurance as required by this Agreement at least 20
days before the expiration date of the previous policy.
6.0 Party Representatives
6.1. The City Manager is the City's representative for purposes of this
Agreement.
6.2. Mike Chesney, P.E. is the Consultant's representative for purposes of this
Agreement. It is expressly understood that the experience, knowledge, capability, and
reputation of Mike Chesney, P.E. were a substantial inducement for City to enter into
this Agreement. Therefore, Mike Chesney, P.E. shall be responsible during the term of

this Agreement for directing all activities of Consultant and devoting sufficient time to
personally supervise the services hereunder. Consultant may not change its
representative without the prior written approval of City, which approval shall not be
unreasonably withheld.
7.0 Notices
7.1. All notices permitted or required under this Agreement shall be deemed
made when personally delivered or when mailed 48 hours after deposit in the United
States Mail, first class postage prepaid and addressed to the party at the following
addresses:

7.2. Actual notice shall be deemed adequate notice on the date actual notice
occurred, regardless of the method of service.
8.0 Independent Contractor
8.1. Consultant is an independent contractor and not an employee of the City.
All services provided pursuant to this Agreement shall be performed by Consultant or
under its supervision, and all personnel shall possess the qualifications, permits, and
licenses required by State and local law to perform such Services, including, without
limitation, a City of Seal Beach business license as required by the Seal Beach
Municipal Code. Consultant will determine the means, methods, and details of
performing the services. Consultant shall be solely responsible for the satisfactory work
performance of all personnel engaged in performing the services and compliance with
the customary professional standards.
8.2. Any additional personnel performing services under this Agreement on
behalf of Consultant shall also not be employees of City and shall at all times be under
Consultant's exclusive direction and control. Consultant shall pay all wages, salaries,
and other amounts due such personnel in connection with their performance of services
under this Agreement and as required by law. Consultant shall be responsible for all
reports and obligations respecting such additional personnel, including, but not limited
to: social security taxes, income tax withholding, unemployment insurance, disability
insurance, and workers' compensation insurance.
8.3. Consultant shall indemnify and hold harmless City and its elected officials,
officers and employees, servants, designated volunteers, and * agents serving as

independent contractors in the role of City officials, from any and all liability, damages,
claims, costs and expenses of any nature to the extent arising from Consultant's
personnel practices. City shall have the right to offset against the amount of any fees
due to Consultant under this Agreement any amount due to City from Consultant as a
result of Consultant's failure to promptly pay to City any reimbursement or
indemnification arising under this Section 8.
9.0 Confidentiality
Consultant covenants that all data, documents, discussion, or other information
developed or received by Consultant or provided for performance of this Agreement are
deemed confidential and shall not be disclosed by Consultant without prior written
authorization by City. City shall grant such authorization if applicable law requires
disclosure. All City data shall be returned to City upon the termination of this
Agreement. Consultant's covenant under this section shall survive the termination of
this Agreement.
10.0 Subcontractors
No portion of this Agreement shall be subcontracted without the prior written
approval of City. Consultant is fully responsible to City for the performance of any and
all subcontractors.
11.0 Assignment
Consultant shall not assign or transfer any interest in this Agreement whether by
assignment or novation, without the prior written consent of City. Any purported
assignment without such consent shall be void and without effect.
12.0 Insurance
12.1. Liability Insurance Consultant shall procure and maintain in full force and
effect for the duration of this Agreement insurance against claims for injuries to persons
or damages to property and professional negligence which may arise from or in
connection with the performance of the services hereunder by Consultant, and its
agents, representatives, employees and subconsultants.
12.2. Minimum Scope of Insurance Unless otherwise approved by City,
coverage shall be at least as broad as:
Insurance Services Office Commercial General Liability coverage
(occurrence form CG 0001).
Insurance Services Office form number CA 0001 (Ed. 1/87) covering
Automobile Liability, code 1 (any auto).
Worker's Compensation insurance as required by the State of California
and Employer's Liability Insurance.

Professional Liability insurance. Consultant shall provide to City the
standard form issued by the carrier.

12.3. Minimum Limits of Insurance Consultant shall maintain limits no less
General Liability $2,000,000 per occurrence and in the aggregate for
bodily injury, personal injury and property damage. Commercial General
Liability Insurance or other form with a general aggregate limit shall apply
separately to this Agreement or the general limit shall be twice the
required occurrence limit.
Automobile Liability $1,000,000 per accident for bodily injury and property
damage.
Employer's Liability $1,000,000 per accident and in the aggregate for
bodily injury or disease and Workers' Compensation Insurance in the
amount required by law.
Professional Liability $1,000,000 per claim /aggregate.
12.4. Deductibles and Self- Insured Retentions Consultant shall inform City of
any deductibles or self - insured retentions except with respect to professional liability
insurance.
12.5. Other Insurance Provisions The general liability and automobile liability
policies are to contain, or be endorsed to contain, the following provisions:
12.5.1. City, its officers, officials, employees, designated volunteers and
agents serving as independent contractors in the role of City officials, are to be covered
as additional insureds as respects: liability arising out of activities performed by or on
behalf of Consultant; products and completed operations of Consultant; premises
owned, occupied or used by Consultant; or automobiles owned, leased, hired or
borrowed by Consultant. The coverage shall contain no limitations on the scope of
protection afforded to City, its officers, officials, employees, designated volunteers or
agents serving as independent contractors in the role of City officials which are not also
limitations applicable to the named insured.
12.5.2. For any claims related to this Agreement, Consultant's
insurance coverage shall be primary insurance as respects City, its officers, officials,
employees, designated volunteers and agents serving as independent contractors in the
role of City officials. Any insurance or self- insurance maintained by City, its officers,
officials, employees, designated volunteers or agents serving as independent
contractors in the role of City officials shall be excess of Consultant's insurance and
shall not contribute with it.

12.5.3. Consultant's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to the limits of the
insurer's liability.
12.5.4. Each insurance policy required by this clause shall be endorsed
to state that coverage shall not be canceled or materially modified except after 30 -days
prior written notice by first class mail has been given to City, or 10 -days prior written
notice by express overnight mail if cancellation is due to nonpayment of premiums.
12.5.5 Each insurance policy, except for the professional liability policy,
required by this clause shall expressly waive the insurer's right of subrogation against
City and its elected officials, officers, employees, servants, attorneys, designated
volunteers, and agents serving as independent contractors in the role of City officials.
12.6. Acceptability of Insurers Insurance is to be placed with insurers with a
current A.M. Best's rating of no less than A:VIII unless waived in writing by City's Risk
Manager.
12.7. Verification of Coverage All insurance coverages shall be confirmed by
execution of endorsements on forms approved by City. The endorsements are to be
signed by a person authorized by that insurer to bind coverage on its behalf. All
endorsements are to be received and approved by City before services commence. As
an alternative to City forms, Consultant's insurer may provide complete, certified copies
of all required insurance policies, including endorsements effecting the coverage
required by these specifications.
13.0 Indemnification, Hold Harmless, and Duty to Defend
13.1 Indemnity for Design Professional Services In connection with its design
professional services, Consultant shall defend, hold harmless and indemnify City, and
its elected officials, officers, employees, servants, designated volunteers, and those City
agents serving as independent contractors in the role of City officials (collectively,
"Indemnitees "), with respect to any and all claims, demands, damages, liabilities,
losses, costs or expenses (collectively, "Claims" hereinafter), including but not limited to,
Claims relating to death or injury to any person and injury to any property, to the extent
to which they arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct of Consultant or any of its officers, employees, subcontractors, or agents in
the performance of its professional services under this Agreement, but not to the extent
the result of the negligence or willful misconduct of the City or of other third parties not
under the control or the supervision of Consultant. Consultant's obligation to defend
pursuant to this Section 13.1 shall apply independent of any prior, concurrent or
subsequent misconduct, negligent acts, errors or omissions of Indemnitees. Consultant
shall defend Indemnitees in any action or actions filed in connection with any of said
claims with counsel of City's choice, and shall pay all costs and expenses, including all
attorneys' fees actually incurred in connection with such defense.

13.2 Other Indemnities In connection with all Claims not covered by Section
13.1, Consultant shall defend, hold harmless and indemnify the Indemnitees with
respect to any and all Claims, including but not limited to, Claims relating to death or
injury to any person and injury to any property, which arise out of, pertain to, or relate to
the acts or omissions of Consultant or any of its officers, employees, subcontractors, or
agents in the performance of this Agreement. Consultant shall defend Indemnitees in
any action or actions filed in connection with any such Claims with counsel of City's
choice, and shall pay all costs and expenses, including all attorneys' fees and experts'
costs actually incurred in connection with such defense. Consultant's duty to defend
pursuant to this Section 13.2 shall apply independent of any prior, concurrent or
subsequent misconduct, negligent acts, errors or omissions of Indemnitees. Consultant
shall defend Indemnitees in any action or actions filed in connection with any of said
claims, damages, penalties, obligations, or liabilities with counsel of City's choice and
shall pay all costs and expenses, including attorneys' fees actually incurred in
connection with such defense.
14.0 Conflict of Interest
14.1. Consultant covenants that it presently has no interest and shall not
acquire any interest, direct or indirect, which may be affected by the Services, or which
would conflict in any manner with the performance of the Services. Consultant further
covenants that, in performance of this Agreement, no person having any such interest
shall be employed by it. Furthermore, Consultant shall avoid the appearance of having
any interest, which would conflict in any manner with the performance of the Services.
Consultant shall not accept any employment or representation during the term of this
Agreement which is or may likely make Consultant "financially interested" (as provided
in California Government Code § §1090 and 87100) in any decision made by City on any
matter in connection with which Consultant has been retained.
14.2. Consultant further warrants and maintains that it has not employed or
retained any person or entity, other than a bona fide employee working exclusively for
Consultant, to solicit or obtain this Agreement. Nor has Consultant paid or agreed to
pay any person or entity, other than a bona fide employee working exclusively for
Consultant, any fee, commission, gift, percentage, or any other consideration contingent
upon the execution of this Agreement. Upon any breach or violation of this warranty,
City shall have the right, at its sole and absolute discretion, to terminate this Agreement
without further liability, or to deduct from any sums payable to Consultant hereunder the
full amount or value of any such fee, commission, percentage or gift.
14.3. Consultant warrants and maintains that it has no knowledge that any
officer or employee of City has any interest, whether contractual, noncontractual,
financial, proprietary, or otherwise, in this transaction or in the business of Consultant,
and that if any such interest comes to the knowledge of Consultant at any time during
the term of this Agreement, Consultant shall immediately make a complete, written
disclosure of such interest to City, even if such interest would not be deemed a
prohibited "conflict of interest" under applicable laws as described in this subsection.

15.0 Equal Opportunity
Consultant affirmatively represents that it is an equal opportunity employer.

activities related to initial employment, upgrading, demotion, transfer, recruitment or
recruitment advertising, layoff, or termination.
16.0 Labor Certification
By its signature hereunder, Consultant certifies that it is aware of the provisions
of Section 3700 of the California Labor Code that require every employer to be insured
against liability for Workers' Compensation or to undertake self - insurance in accordance
with the provisions of that Code, and agrees to comply with such provisions before
commencing the performance of the Services.
17.0 Entire Agreement
This Agreement contains the entire Agreement of the parties with respect to the
subject matter hereof, and supersedes all prior negotiations, understandings, or
agreements. This Agreement may only be modified by a writing signed by both parties.
18.0 Severability
The invalidity in whole or in part of any provisions of this Agreement shall not
void or affect the validity of the other provisions of this Agreement.
19.0 Governing Law
This Agreement shall be governed by and construed in accordance with the laws
of the State of California.
20.0 No Third Party Rights
No third party shall be deemed to have any rights hereunder against either Party
as a result of this Agreement.
21.0 Waiver
No waiver of any default shall constitute a waiver of any other default or breach,
whether of the same or other covenant or condition. In no event shall the making by
City of any payment to Consultant constitute or be construed as a waiver by City of any
breach of covenant, or any default which may then exist on the part of Consultant, and
the making of any such payment by City shall in no way impair or prejudice any right or
remedy available to City with regard to such breach or default. No waiver, benefit,
privilege, or service voluntarily given or performed by a Party shall give the other Party
any contractual rights by custom, estoppel, or otherwise.

22.0 Prohibited Interests
Consultant maintains and warrants that it has not employed nor retained any
company or person, other than a bona fide employee working solely for Consultant, to
solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor
has it agreed to pay any company or person, other than a bona fide employee working
solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, City has the right-to rescind this Agreement
without liability. For the term of this Agreement, no member, officer or employee of City,
during the term of his or her service with City, shall have any direct interest in this
Agreement, or obtain any present or anticipated material benefit arising therefrom.
23.0 Attorneys' Fees
If either Party commences an action against the other Party, either legal,
administrative or otherwise, arising out of or in connection with this Agreement, the
prevailing Party in such litigation shall be entitled to have and recover from the losing
Party all of its attorneys' fees and other costs incurred in connection therewith.
24.0 Exhibits
All exhibits referenced in this Agreement are hereby incorporated into the
Agreement as if set forth in full herein. In the event of any material discrepancy
between the terms of any exhibit so incorporated and the terms of this Agreement, the
terms of this Agreement shall control.
25.0 Corporate Authority
The persons executing this Agreement on behalf of the Parties warrant that they
are duly authorized to execute this Agreement on behalf of said Parties and that by their
execution, the Parties are formally bound to the provision of this Agreement.

SOUTHBOUND LOOP OFF -RAMP WIDENING AND INTERSECTION IMPROVEMENTS
DETAILED SCOPE OF WORK
RBF will prepare the scope of services outlined herein, which would result in a stand alone
improvement project that would be environmentally cleared with the City of Seal Beach acting
as the lead Agency under CEQA, processed through Caltrans through the Encroachment
Permit Process and administered during construction by the City of Seal Beach. RBF will
prepare final Plans, Specifications, and Estimate (PSBE) for the 1-405 /Seal Beach Boulevard
Interchange — Southbound Loop Off -Ramp Widening and Intersection Improvements project.
The scope of work includes the following:
• Widening the southbound loop off -ramp from two (2) to three (3) lanes.
• Removing the southbound loop off -ramp to northbound Seal Beach Boulevard free right -
turn raised island.
• Modifying the traffic signal at the southbound loop off - ramp /southbound direction on-
ramp and Seal Beach Boulevard intersection.
• Adding a dedicated northbound right turn lane at the northbound Seal Beach
Boulevard /southbound direct on -ramp intersection.
Task 1.00 Research /Investigation /Base Data Review
RBF will review available data, plans, studies, surreys, utility information, and
information prepared to date for the Project. As -built and record drawings maps
of the freeway, bridge structures, and adjoining roadways will be obtained from
Caltrans, OCTA, and adjacent Cities.
RBF will conduct a reconnaissance of the existing conditions as they relate to the
as -built and existing aerial mapping. Photographs from the field reconnaissance
will be assembled.

Task 2.00 Supplemental Design Survey
RBF will provide supplemental design surveying to facilitate the preparation of
the design documents. Survey shall include locations of centerline monuments
for determination of the roadway right -of -way. This task assumes that sufficient
centerline monuments exist in order for the survey to be completed. If additional
surveys are required to complete the survey due to a lack of viable existing
monumentation, City and RBF shall review the status of the survey to determine
whether additional fee authorization to complete the survey is appropriate. This
scope specifically excludes the re- establishment of any lost or destroyed
monuments identified prior to the start of construction.

Supplemental design survey will include horizontal and vertical locations of
curbs, flowlines, walkways, grade breaks, centerlines, above ground utility
appurtenances, manholes, major signs, trees with trunk diameters larger than 6
inches, power poles, culverts, headwalls, catch basins and cross gutters.
The basis of horizontal control shall be North American Datum 1983 as published
by the County of Orange unless otherwise requested.
The basis of vertical control shall be North America Vertical Datum of 1988 as
published by the County of Orange unless otherwise requested.
Traffic control shall be provided in accordance with the W.A.T.C.H. Manual for
City street surveys for any lane or shoulder closures that will be required to
collect supplemental survey data along the arterials.
All supplemental topography shall be electronically field data collected and
detailed on a hardcopy back up and field notes.
RBF shall data process all topography in Microstation. Linestyles will be per

No title reports are assumed to be required for this scope of work and are not

4.1 Meetings
RBF will meet with the City of Seal Beach (CITY) to validate the scope and
format of the Addendum document and existing IS /MND document review

4.2 Review of Existing Environmental Documents
RBF will review existing environmental documents including:
1) IS /MND for the Seal Beach Boulevard /1-405 Overcrossing Widening
Project Approved on October 25, 1999
2) Addendum to the IS /MND for the Interstate 405 /Seal Beach
Boulevard improvement Project dated June 29, 2002 (SCH No.
99071096).
3) Re- evaluation /Addendum for the State Route 22/West Orange
County Connection FEIS /EIR (dated January 2010).
Based on our initial review of these documents and our understanding of the
Project we have assumed that an Addendum to the existing approved MND
will satisfy CEQA requirements. RBF will utilize applicable existing
environmental analysis in support of the Addendum document.
4.3 Technical Studies
RBF will prepare the following Technical Studies as support for the CEQA
Addendum:
1) Biological Resources Study. CONSULTANT will perform a site visit
in order to update existing biological resources data. CONSULTANT
will prepare a Letter -Report outlining the findings of the record
search and site visit.
2) Air Quality Update. RBF will prepare a Letter -Report on air quality
plan conformity.
4.4 Prepare Draft Addendum to IS /MND Document
RBF will prepare a draft Addendum to the approved IS /MND pursuant to the
format agreed upon by the CITY and revise the draft MND Addendum for
approval by the CITY.

Task 5.00 Project Change Order Option Assessment
Immediately upon authorization to proceed, RBF will initiate coordination
activities with Caltrans, OCTA and the City to explore an alternative project
delivery approach. The West County Connector project will include
reconstruction of the 1-405 Seal Beach Boulevard Bridge, northbound 1 -405 ramp
improvements and widening improvements to Seal Beach Boulevard to the east
of the southbound 1-405 ramp intersection. The West County Connector project,

which was environmentally cleared in an EIS /EIR, does not include the proposed

feasibility of preparing an addendum to the West County Parkway EIS /EIR for the
relatively minor improvements that would be constructed as part of southbound 1-
405 ramp intersection project that would allow the construction to be
administered as a contract change order to the West County Connector project.
The OCTA funding allocated for the local Seal Beach Boulevard interchange
improvements could be used to finance the additional construction costs that
would be incurred by the West County Connector project.
RBF will work with the City of Seal Beach to determine which design and
construction process is in the best interest of the City and develop final PS &E in
accordance with City direction.

Note that the professional fees established for the various types of plans are
based on the following:
• All plan types for all phases will be prepared in Caltrans State Highway plan

not be submitted as a part of the roadway improvements plan set. The
roadway erosion control plan will be a part of the bid specifications and will

prepared in accordance with the current Caltrans criteria and proposed roadway
improvements. The hydrology will be used to review the street flow and catch
basin hydraulics to ensure that the street flooded width and flood protection goals
are obtained. Deficiencies will be identified and recommendations will be
provided to eliminate potential flood hazards. Analysis of the regional watershed
or master plan of drainage (if any) is not included in this scope.

RBF will prepare a Storm Water Data Report (SWDR) to document the storm

quality issues are appropriately addressed.

previously approved ADL report and prepare new analysis and
recommendations.

the final plans, associates studies, and structures designs utilizing the current

up -to -date construction management cost data to account for current cost
increases and material cost trends.

Task 13.00 Plan Check Revisions /Approvals /Caltrans Encroachment Permit
Processing
RBF shall process the completed plans for the purpose of securing appropriate
approvals from Caltrans and the City as required.
RBF will receive written comments from all participating agencies and review with
Client. RBF will draft a response to all agency comments at one time, and will
then meet collectively with all participating agencies to resolve outstanding
issues relative to agency comments. RBF will then prepare final dispositions for
each review comment for submittal to the Agencies. RBF will make revisions to
PS &E documents following plan check for second plan check submittal and
provide final revised quantity take -offs and cost estimates. When revisions have
been made, RBF will obtain signatures and provide the requested number of
stamped plans to the City.
RBF shall process the encroachment permit and the encroachment permit
application with the State of California as it pertains to the improvements within
State of California Right -of -Way. All encroachment permit fees will be paid by
the City.

by City /OCTA at a scale of V=50' with 2' contours in electronic format
utilizing existing aerial topographic information. City will provide all aerial
topographic files and the associated digital terrain model (DTM) files.
2. All regulatory and agency permits and reference materials to be included in
the standard bidding phase /contract documents.
3. All permit fees and costs for all Title Reports, if applicable.
4. Existing adjacent design plans, profiles, and utility alignments prepared by
other consultants will be provided to RBF in electronic format.
5. All right -of -way appraisal and acquisition services will be provided by the City,
if applicable.
6. City will be responsible for the development of all utility relocation
agreements, and /or utility easement acquisition documents, negotiations with
the utility companies for cost responsibility and processing the utility
relocation agreements for signature approval by the utility company and City.
RBF will be responsible for coordinating technical design issues with the
utility company, reviewing utility relocation agreements to provide input and
comment from a technical design standpoint, preparing legal descriptions and
exhibits for new or revised utility easements, and assisting in schedule
management between City and utility company as it relates to the overall
design schedule.
7. City will provide the necessary access to the site and exploration locations to
perform field investigation.
8. City will prepare all bid documents, bid forms, and bid contracts for bidding
purposes by the contractor.

Scope Items /Tasks Specifically Excluded:
1. Right -of -way boundary monumentation and completion of a Record of Survey
for final monumentation of the new right -of -way will be performed by the City.
2. No retaining walls or earth retaining structures are assumed as a part of this
scope of work.
3. It is assumed that no Resource Agency permits (i.e., 404, 1601, etc.) will be
required unless specifically requested as executed per the optional tasks and
work efforts described within this scope of work. Currently, no fees for
procuring these types of permits have been included in this scope of work.
4. A Noise Report/Analysis and sound walls are not required for this project.
5. Structural BMP facilities are not required for the project.
6. A Traffic Management Plan (TMP) is not required for this project and is
covered under the West County Connector TMP requirements. It is
anticipated that this project will be closely coordinated with the construction
phasing of the West County Connector project.
7. Phase II hazardous waste assessments are not included in this scope of
work.
8. No dry utility design is assumed as a part of this scope of work. Dry utility
companies will perform design work with their own forces in preparing final
utility relocation plans. In addition, it has been assumed that the utility
companies will be responsible for preparation of legal descriptions and
exhibits for any interim or permanent utility relocations requiring temporary or
permanent easements.
