SUBJECT: AWARD PROFESSIONAL SERVICES AGREEMENT —
ON CALL NATURAL GAS ENGINE REPAIR
SUMMARY OF REQUEST:
The proposed City Council action will execute an on -call professional services agreement to
retain Stewart & Stevenson, Inc. to perform on -call services for the repair and rebuilding of
the City's natural gas engines, making the findings that the selection of the contractor is
exempt from bidding in accordance with Section 1010 of the City Charter and Sections
3.20.025 and 3.20.045 of the City's Municipal Code which provides for
purchasing/contracting when utilizing a sole source vendor and when it would be in the
best interest of the City to dispense with standard bidding practices. The recommended
contractor is the only factory certified representative in the area and it is in the best
interest of the City to contract with this vendor to insure compatibility with the City's
existing equipment and repairs.
BACKGROUND:
The Public Works Department utilizes a system of specialized natural gas combustion
engines at its water, sewer and storm drain pump stations including Beverly Manor Water
Station, Bolsa Chica Water Station, Station 35 Sewer Pump Station and West End Pump
Station. Periodically, these engines need specialized repair beyond routine maintenance
and rebuilding as recommended by the manufacturer. The current contract for these
services has expired and the purpose of this contract is to continue to retain the firm of
Stewart and Stevenson, Inc. as an on -call contractor to repair natural gas engines at the
City's water, sewer and storm drain pump stations.
Stewart and Stevenson is a highly qualified firm who is the only factory certified
representative for Waukesha engines and components on the west coast. Their firm has
been repairing and modifying natural gas engines for the City of Seal Beach for a number
of years. It is felt that they are the only qualified firm that can undertake this assignment
and perform satisfactorily. Given that the proposed contract is with the only factory
certified representative for Waukesha engines, the Council has the authority to make the
findings that the contract for services is exempt from bidding a "sole source" contract, in
accordance with Section 1010 of the City Charter and Sections 3.20.025 and 3.20.045 of
the City's Municipal Code.

At the May 9, 2005 meeting, City Council previously awarded this contract. However,
the contract was recommended to be modified to require emergency response by the
contractor if required by the City.
FISCAL IMPACT:
There is no General Fund fiscal impact associated with this action. Any costs associated
with the agreement would be incorporated with various water, sewer, and storm drain
maintenance projects in the annual budget or with the Capital Improvement Program.
RECOMMENDATION:
It is recommended that the City Council execute an on -call professional services agreement
to retain Stewart & Stevenson, Inc. to perform on -call services for the repair and rebuilding
of the City's natural gas engines, making the findings that the selection of the contractor is

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEAL
BEACH APPROVING THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF SEAL BEACH AND STEWART AND
STEVENSON SERVICES, INC. FOR ON -CALL MECHANICAL AND
ENGINE REPAIR SERVICES
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SEAL BEACH DOES
HEREBY RESOLVE, DECLARE, DETERMINE AND ORDER AS FOLLOWS:
SECTION 1. The City requires the services of a factory- certified contractor to provide on-
call mechanical and engine repair services to Waukesha gas engines at the
City's water, sewer and storm drain pump stations.
SECTION 2. The City has the authority under the City Charter and the Municipal Code to
award contracts for professional services, and for purchases that can only be
obtained from one vendor, without competitive bidding.
SECTION 3. The City hereby finds that Stewart and Stevenson Services, Inc. is the only
factory - certified representative for Waukesha engines and components on the
West Coast.
SECTION 4. The City Council hereby approves the Contract Services Agreement between
the City of Seal Beach and Stewart and Stevenson Services Inc. for on -call
mechanical and engine repair services.
SECTION 5. The Council hereby directs the City Manager to execute the Professional
Services Agreement with Stewart and Stevenson Services, Inc.

this day of 2005 by the following vote:
