This Design Professional Services Agreement ( "the Agreement ") is made as of the 13
day of September, 2010 (the "Effective Date "), by and between AKM Consulting
Engineers, Inc. ( "Consultant "), and the City of Seal Beach ( "City "), a California charter
city, (collectively , "the Parties ").

RECITALS
A. City desires certain professional services.
B. Pursuant to the authority provided by its City Charter and Government
Code § 37103, if applicable, City desires to engage Consultant to provide Design
Professional Services in the manner set forth herein and more fully described in Section
1.
C. Consultant represents that the principal members of its firm are qualified
professional engineers and are fully qualified to perform the services contemplated by
this Agreement in a good and professional manner; and it desires to perform such
services as provided herein.
NOW THEREFORE, in consideration of the Parties' performance of the
promises, covenants, and conditions stated herein, the Parties hereto agree as follows.
AGREEMENT
1.0 Scope of Services
1.1. Consultant shall provide those services ( "Services ") set forth in the
attached Exhibit A, which is hereby incorporated by this reference. To the extent that
there is any conflict between Exhibit A and this Agreement, this Agreement shall control.
1.2. Consultant shall perform all services under this Agreement on a timely,
regular basis and in a manner reasonably satisfactory to the City.
1.3. In performing this Agreement, Consultant shall comply with all applicable
provisions of federal, state, and local law.
1.4. As a material inducement to City to enter into this Agreement, Consultant
hereby represents that it has the experience necessary to undertake the services to be
provided. In light of such status and experience, Consultant hereby covenants that it
shall follow the customary professional standards in performing all services.
1.5. By executing this Agreement, Consultant represents that, to the extent
required by the standard of practice, Consultant (a) has investigated and considered the
scope of services to be performed, (b) has carefully considered how the services should
be performed, and (c) understands the facilities, difficulties and restrictions attending
performance of the services under this Agreement.
2.0 Term
The term of this Agreement shall commence as of the Effective Date and shall
continue for 125 days unless previously terminated as provided by this Agreement.

3.0 Consultant's Compensation
City will pay Consultant in accordance with the hourly rates shown on the fee
schedule set forth in Exhibit B for Services but in no event will the City pay more than
$50,100. Consultant will not be compensated for any work performed not specified in
the Scope of Services unless the City authorizes such work in advance and in writing.
The City Manager may authorize payment for such work up to a cumulative maximum of
$10,000. Payment for additional work in excess of $10,000 requires prior City Council
authorization. Any additional work authorized by the City pursuant to this Section will be
compensated in accordance with the schedule set forth in Exhibit B.
4.0 Method of Payment
4.1. Consultant shall submit to City monthly invoices for all services rendered
pursuant to this Agreement. Such invoices shall be submitted within 15 days of the end
of the month during which the services were rendered and shall describe in detail the
services rendered during the period, the days worked, number of hours worked, the
hourly rates charged, and the services performed for each clay in the period. City will
pay Consultant within 30 days of receiving Consultants invoice. City will not withhold
any applicable federal or state payroll and other required taxes, or other authorized
deductions from payments made to Consultant.
4.2. Upon 24 -hours notice from City, Consultant shall allow City or City's
agents or representatives to inspect at Consultant's offices during reasonable business
hours all records, invoices, time cards, cost control sheets and other records maintained
by Consultant in connection with this Agreement. City's rights under this Section 4.2
shall survive for two years following the termination of this Agreement.
5.0 Termination
5.1. This Agreement may be terminated by City, without cause, or by
Consultant based on reasonable cause, upon giving the other party written notice
thereof not less than thirty 30 days prior to the date of termination.
5.2. This Agreement may be terminated by City upon 10 days' notice to
Consultant if Consultant fails to provide satisfactory evidence of renewal or replacement
of comprehensive general liability insurance as required by this Agreement at least 20
days before the expiration date of the previous policy.
6.0 Party Representatives
6.1. The City Manager is the City's representative for purposes of this
Agreement.
6.2. Zeki Kayiran is the Consultant's representative for purposes of this
Agreement. It is expressly understood that the experience, knowledge, capability, and
reputation of Zeki Kayiran were a substantial inducement for City to enter into this
Agreement. Therefore, Zeki Kayiran shall be responsible during the term of this

Agreement for directing all activities of Consultant and devoting sufficient time to
personally supervise the services hereunder. Consultant may not change its
representative without the prior written approval of City, which approval shall not be
unreasonably withheld.
7.0 Notices
7.1. All notices permitted or required under this Agreement shall be deemed
made when personally delivered or when mailed 48 hours after deposit in the United
States Mail, first class postage prepaid and addressed to the party at the following

7.2. Actual notice shall be deemed adequate notice on the date actual notice
occurred, regardless of the method of service.
8.0 Independent Contractor
8.1. Consultant is an independent contractor and not an employee of the City.
All services provided pursuant to this Agreement shall be performed by Consultant or
under its supervision, and all personnel shall possess the qualifications, permits, and
licenses required by State and local law to perform such Services, including, without
limitation, a City of Seal Beach business license as required by the Seal Beach
Municipal Code. Consultant will determine the means, methods, and details of
performing the services. Consultant shall be solely responsible for the satisfactory work
performance of all personnel engaged in performing the services and compliance with
the customary professional standards.
8.2. Any additional personnel performing services under this Agreement on
behalf of Consultant shall also not be employees of City and shall at all times be under
Consultant's exclusive direction and control. Consultant shall pay all wages, salaries,
and other amounts due such personnel in connection with their performance of services
under this Agreement and as required by law. Consultant shall be responsible for all
reports and obligations respecting such additional personnel, including, but not limited
to: social security taxes, income tax withholding, unemployment insurance, disability
insurance, and workers' compensation insurance.

8.3. Consultant shall indemnify and hold harmless City and its elected officials,
officers and employees, servants, designated volunteers, and agents serving as
independent contractors in the role of City officials, from any and all liability, damages,
claims, costs and expenses of any nature to the extent arising from Consultant's
personnel practices. City shall have the right to offset against the amount of any fees
due to Consultant under this Agreement any amount due to City from Consultant as a
result of Consultant's failure to promptly pay to City any reimbursement or
indemnification arising under this Section 8.
9.0 Confidentiality
Consultant covenants that all data, documents, discussion, or other information
developed or received by Consultant or provided for performance of this Agreement are
deemed confidential and shall not be disclosed by Consultant without prior written
authorization by City. City shall grant such authorization if applicable law requires
disclosure. All City data shall be returned to City upon the termination of this
Agreement. Consultant's covenant under this section shall survive the termination of
this Agreement.
10.0 Subcontractors
No portion of this Agreement shall be subcontracted without the prior written
approval of City. Consultant is fully responsible to City for the performance of any and
all subcontractors.
11.0 Assignment
Consultant shall not assign or transfer any interest in this Agreement whether by
assignment or novation, without the prior written consent of City. Any purported
assignment without such consent shall be void and without effect.
12.0 Insurance
12.1. Liability Insurance. Consultant shall procure and maintain in full force and
effect for the duration of this Agreement insurance against claims for injuries to persons
or damages to property and professional negligence which may arise from or in
connection with the performance of the services hereunder by Consultant, and its
agents, representatives, employees and subconsultants.
12.2. Minimum Scope of Insurance. Unless otherwise approved by City,
coverage shall be at least as broad as:
Insurance Services Office Commercial General Liability coverage
(occurrence form CG 0001).
Insurance Services Office form number CA 0001 (Ed. 1/87) covering
Automobile Liability, code 1 (any auto).

than:
Worker's Compensation insurance as required by the State of California
and Employer's Liability Insurance.
Professional Liability insurance. Consultant shall provide to City the
standard form issued by the carrier.
12.3. Minimum Limits of Insurance. Consultant shall maintain limits no less
General Liability: $2,000,000 per occurrence and in the aggregate for
bodily injury, personal injury and property damage. Commercial General
Liability Insurance or other form with a general aggregate limit shall apply
separately to this Agreement or the general limit shall be twice the
required occurrence limit.
Automobile Liability: $1,000,000 per accident for bodily injury and property
damage.
Employer's Liability: $1,000,000 per accident and in the aggregate for
bodily injury or disease and Workers' Compensation Insurance in the
amount required by law.
Professional Liability: $1,000,000 per claim /aggregate.
12.4. Deductibles and Self- Insured Retentions. Consultant shall inform City of
any deductibles or self- insured retentions except with respect to professional liability
insurance.
12.5. Other Insurance Provisions. The general liability and automobile liability
policies are to contain, or be endorsed to contain, the following provisions:
12.5.1. City, its officers, officials, employees, designated volunteers and
agents serving as independent contractors in the role of City officials, are to be covered
as additional insureds as respects: liability arising out of activities performed by or on
behalf of Consultant; products and completed operations of Consultant; premises
owned, occupied or used by Consultant; or automobiles owned, leased, hired or
borrowed by Consultant. The coverage shall contain no limitations on the scope of
protection afforded to City, its officers, officials, employees, designated volunteers or
agents serving as independent contractors in the role of City officials which are not also
limitations applicable to the named insured.
12.5.2. For any claims related to this Agreement, Consultant's
insurance coverage shall be primary insurance as respects City, its officers, officials,
employees, designated volunteers and agents serving as independent contractors in the
role of City officials. Any insurance or self- insurance maintained by City, its officers,
officials, employees, designated volunteers or agents serving as independent
contractors in the role of City officials shall be excess of Consultant's insurance and
shall not contribute with it.

12.5.3. Consultant's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to the limits of the
insurer's liability.
12.5.4. Each insurance policy required by this clause shall be endorsed
to state that coverage shall not be canceled or materially modified except after 30 -days
prior written notice by first class mail has been given to City, or 10 -days prior written
notice by express overnight mail if cancellation is due to nonpayment of premiums.
12.5.5 Each insurance policy, except for the professional liability policy,
required by this clause shall expressly waive the insurer's right of subrogation against
City and its elected officials, officers, employees, servants, attorneys, designated
volunteers, and agents serving as independent contractors in the role of City officials.
12.6. Acceptability of Insurers. Insurance is to be placed with insurers with a
current A.M. Best's rating of no less than A:Vlfl unless waived in writing by City's Risk
Manager.
12.7. Verification of Coverage. All insurance coverages shall be confirmed by
execution of endorsements on forms approved by City. The endorsements are to be
signed by a person authorized by that insurer to bind coverage on its behalf. All
endorsements are to be received and approved by City before services commence. As
an alternative to City forms, Consultant's insurer may provide complete, certified copies
of all required insurance policies, including endorsements effecting the coverage
required by these specifications.
13.0 Indemnification, Hold Harmless, and Duty to Defend
13.1 Indemnity for Design Professional Services. In connection with its design
professional services, Consultant shall defend, hold harmless and indemnify City, and
its elected officials, officers, employees, servants, designated volunteers, and those City
agents serving as independent contractors in the role of City officials (collectively,
"Indemnitees "), with respect to any and all claims, demands, damages, liabilities,
losses, costs or expenses (collectively, "Claims" hereinafter), including but not limited to,
Claims relating to death or injury to any person and injury to any property, to the extent
to which they arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct of Consultant or any of its officers, employees, subcontractors, or agents in
the performance of its professional services under this Agreement, but not to the extent
the result of the negligence or willful misconduct of the City or of other third parties not
under the control or the supervision of Consultant. Consultant's obligation to defend
pursuant to this Section 13.1 shall apply independent of any prior, concurrent or
subsequent misconduct, negligent acts, errors or omissions of Indemnitees. Consultant
shall defend Indemnitees in any action or actions filed in connection with any of said
claims with counsel of City's choice, and shall pay all costs and expenses, including all
attorneys' fees actually incurred in connection with such defense.

13.2 Other Indemnities. In connection with all Claims not covered by Section
13.1, Consultant shall defend, hold harmless and indemnify the Indemnitees with
respect to any and all Claims, including but not limited to, Claims relating to death or
injury to any person and injury to any property, which arise out of, pertain to, or relate to
the acts or omissions of Consultant or any of its officers, employees, subcontractors, or
agents in the performance of this Agreement. Consultant shall defend Indemnitees in
any action or actions filed in connection with any such Claims with counsel of City's
choice, and shall pay all costs and expenses, including all attorneys' fees and experts'
costs actually incurred in connection with such defense. Consultant's duty to defend
pursuant to this Section 13.2 shall apply independent of any prior, concurrent or
subsequent misconduct, negligent acts, errors or omissions of Indemnitees. Consultant
shall defend Indemnitees in any action or actions filed in connection with any of said
claims, damages, penalties, obligations, or liabilities with counsel of City's choice and
shall pay all costs and expenses, including attorneys' fees actually incurred in
connection with such defense.
14.0 Conflict of Interest
14.1. Consultant covenants that it presently has no interest and shall not
acquire any interest, direct or indirect, which may be affected by the Services, or which
would conflict in any manner with the performance of the Services. Consultant further
covenants that, in performance of this Agreement, no person having any such interest
shall be employed by it. Furthermore, Consultant shall avoid the appearance of having
any interest, which would conflict in any manner with the performance of the Services.
Consultant shall not accept any employment or representation during the term of this
Agreement which is or may likely make Consultant "financially interested" (as provided
in California Government Code § §1090 and 87100) in any decision made by City on any
matter in connection with which Consultant has been retained.
14.2. Consultant further warrants and maintains that it has not employed or
retained any person or entity, other than a bona fide employee working exclusively for
Consultant, to solicit or obtain this Agreement. Nor has Consultant paid or agreed to
pay any person or entity, other than a bona fide employee working exclusively for
Consultant, any fee, commission, gift, percentage, or any other consideration contingent
upon the execution of this Agreement. Upon any breach or violation of this warranty,
City shall have the right, at its sole and absolute discretion, to terminate this Agreement
without further liability, or to deduct from any sums payable to Consultant hereunder the
full amount or value of any such fee, commission, percentage or gift.
14.3. Consultant warrants and maintains that it has no knowledge that any
officer or employee of City has any interest, whether contractual, noncontractual,
financial, proprietary, or otherwise, in this transaction or in the business of Consultant,
and that if any such interest comes to the knowledge of Consultant at any time during
the term of this Agreement, Consultant shall immediately make a complete, written
disclosure of such interest to City, even if such interest would not be deemed a
prohibited "conflict of interest" under applicable laws as described in this subsection.

15.0 Equal Opportunity
Consultant affirmatively represents that it is an equal opportunity employer.
Consultant shall not discriminate against any subcontractor, employee, or applicant for
employment because of race, religion, color, national origin, handicap, ancestry, sex,
sexual orientation, or age. Such non - discrimination includes, but is not limited to, all
activities related to initial employment, upgrading, demotion, transfer, recruitment or
recruitment advertising, layoff, or termination.
16.0 Labor Certification
By its signature hereunder, Consultant certifies that it is aware of the provisions
of Section 3700 of the California Labor Code that require every employer to be insured
against liability for Workers' Compensation or to undertake self- insurance in accordance
with the provisions of that Code, and agrees to comply with such provisions before
commencing the performance of the Services.
17.0 Entire Agreement
This Agreement contains the entire Agreement of the parties with respect to the
subject matter hereof, and supersedes all prior negotiations, understandings, or
agreements. This Agreement may only be modified by a writing signed by both parties.
18.0 Severability
The invalidity in whole or in part of any provisions of this Agreement shall not
void or affect the validity of the other provisions of this Agreement.
19.0 Governing Law
This Agreement shall be governed by and construed in accordance with the laws
of the State of California.
20.0 No Third Party Rights
No third party shall be deemed to have any rights hereunder against either Party
as a result of this Agreement.
21.0 Waiver
No waiver of any default shall constitute a waiver of any other default or breach,
whether of the same or other covenant or condition. In no event shall the making by
City of any payment to Consultant constitute or be construed as a waiver by City of any
breach of covenant, or any default which may then exist on the part of Consultant, and
the making of any such payment by City shall in no way impair or prejudice any right or
remedy available to City with regard to such breach or default. No waiver, benefit,
privilege, or service voluntarily given or performed by a Party shall give the other Party
any contractual rights by custom, estoppel, or otherwise.

22.0 Prohibited Interests
Consultant maintains and warrants that it has not employed nor retained any
company or person, other than a bona fide employee working solely for Consultant, to
solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor
has it agreed to pay any company or person, other than a bona fide employee working
solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, City has the right to rescind this Agreement
without liability. For the term of this Agreement, no member, officer or employee of City,
during the term of his or her service with City, shall have any direct interest in this
Agreement, or obtain any present or anticipated material benefit arising therefrom.
23.0 Attorneys' Fees
If either Party commences an action against the other Party, either legal,
administrative or otherwise, arising out of or in connection with this Agreement, the
prevailing Party in such litigation shall be entitled to have and recover from the losing
Party all of its attorneys' fees and other costs incurred in connection therewith.
24.0 Exhibits
All exhibits referenced in this Agreement are hereby incorporated into the
Agreement as if set forth in full herein. In the event of any material discrepancy
between the terms of any exhibit so incorporated and the terms of this Agreement, the
terms of this Agreement shall control.
25.0 Corporate Authority
The persons executing this Agreement on behalf of the Parties warrant that they
are duly authorized to execute this Agreement on behalf of said Parties and that by their
execution, the Parties are formally bound to the provision of this Agreement.

AKM Consulting Engineers is pleased to submit this proposal to provide engineering services for Orange
County Flood Control 12 -inch Watermain. This proposal has been prepared in response to your e-mail
request for proposal dated July 20, 2010, and Addendum No. 1, via e-mail, dated August 10, 2010.
Based upon our review of the scope of work, field reviews of the alignments, discussions with the City staff,
review of available related material, our experience with similar work, and our understanding of the project, we
have assembled a project team with extensive experience and expertise in transmission pipeline projects.
The Project Team will be under the overall direction of Mr. John Loague, P.E., Mr. Zeki Kayiran, P.E. will be
responsible for QAIQC. The AKM Team includes two subconsultants: ESA for CEQA Compliance, and
Harvest Engineering for Surveying.
AKM has completed similar services for many agencies in the past, and has completed previous assignments
for the City and County at the Los Alamitos Pump Station, on Adolfo Lopez Drive, and In Westminster Avenue,
and therefore has Intimate knowledge of the area and work to be completed. Additionally, the project team
members have been responsible for the successful completion of numerous pipeline design assignments, and
will be committed to this project to its completion to ensure a quality product is provided to the City, which is
delivered within budget and on schedule.

Computer Applications
The achievement of superior engineering services is assisted by the continued implementation of advanced

METHODOLOGY
AKM utilizes a project management approach that focuses on completing technically outstanding projects on
time, and within budget. Our methodology is described below.
A. Prolect Management
The engineering organization and the Project Teams proposed by AKM are structured to respond to the
technical and managerial requirements of the project by assigning very senior, highly qualified personnel.
They will function in a simple organization with clear lines of delegated authority and responsibility.
Our Project Manager will be the principal point of contact with the City of Seal Beach, and will have full
technical and administrative responsibility for the project. The team assembled for the project Includes all
of the major disciplines required to expeditiously complete the assignments.
B. Project Management Plan
Preparation of our Management Plan will be one of the first tasks undertaken for the project. The
Management Plan will define project roles and responsibilities, communicate management philosophy,
and establish project procedures and policies. Specifically, our plan will include:
• Project Policies and Procedures consistent with those of the City. These procedures will cover
document control, lines of communications with the City, sign -off procedures, document formats, and
billing instructions.
• Project Performance Plan to identify specific work scopes on a task -by -task basis, assign schedules
and budgets to each of the tasks establishing the base for subsequent control.
• Management Information System using AKM's computer -based Management Information System and
its database arranged such that reports can be generated in a format consistent with the City's
requirements.
C. Quality Control Plan
A key element In the successful completion of any project is the implementation of a quality
assurance /quality control program. Success is achieved through the efforts of qualified professionals
effectively employing their skills and following a deliberate program of quality assurance to monitor and
verify that the quality control plan is followed. For each project, AKM utilizes a project quality control plan
that includes the following items:
• Review of project deliverables, and definition of procedures and required standards.

To effectively manage the entire team's work and ensure that all activities are coordinated, AKM will
prepare and issue a project procedure protocol to all team personnel. The project procedures will cover
communications, documentation, project files and other project specific procedures.
• Work Plan -- AKM will develop a detailed work plan identifying all tasks, activities, reports and other
documents to be produced, the required work -hours and the start and completion dates for each.
■ Budget — Based on the work plan, a detailed budget will be developed covering labor and other
expenses for each task group or work breakdown component. The budget will be time - phased to
provide the base for financial control.
• Schedule -- The schedule will be a time - phased critical path network showing the interdependencies
between various activities and designating project performance milestones.
D. Prolect Schedules
The schedule for the project is developed to provide a reasonable performance period in line with the
client's schedule. The schedule will be updated monthly, or more frequently if needed, and reviewed at
progress meetings so that the City and AKM are aware of and can respond to critical items. In effect, they
will become the master project control tools.
E. Progress Reporting
AKM recognizes the Client's need for comprehensive, up -to -date information on project status. Monthly
reports will be prepared in a format to be agreed upon with the City and will contain the following, as a
minimum.
Contract Fact Sheet — Summarizing key contract data and status.
Progress Narrative — Describing the key accomplishment during the reporting period, accompanied
by charts and diagrams.

with extensive experience in the planning, design and construction of transmission mains. They bring not only
an appreciation for overall design perspective, but also valuable operations and maintenance expertise. The

Prolect Manager
Mr. John Loague, P.E., a Principal with AKM, will serve as Project Manager. He has over 26 years of
increased responsible experience in the planning, design, and construction of water facilities. He has the
requisite knowledge and experience and demonstrated ability for completing challenging work with demanding
schedules and budgets. The Project Manager is the key to the success of this project and is the individual
directly responsible for the work.
Mr. Loague will coordinate and direct the activities of the professional staff, and attend the review and
coordination meetings with Citses project staff. He will serve as the key technical liaison with the City. Mr.
Loague would be actively and continuously involved to the day -to -day work effort for this project. By virtue of
his broad experience in the water sector and conveyance projects in particular, Mr. Loague Is well qualified to
oversee this project, to coordinate the work of technical specialists and to present technical issues to
interested and affected parties as may be required.
Quality Control Director
Mr. Zekl Kaylran, P.E. is proposed to serve as QA/QC Manager responsible for quality assurance for the
project. Mr. Kaylran is a Principal with AKM and has over 39 years of increased responsible experience in the
planning, design, and construction of similar water transfer and flood control facilities. He will monitor
methods and procedures of project Implementation.
His responsibilities will include exploring innovative technical approaches from the beginning of the project and
reviewing the work at key milestones to ensure that the work product meets the high standards for technical
excellence.

EXPERIENCE
• Tom Barnes is the Director of ESA's Southern California Water Group, focused on providing
environmental planning and management services for water and wastewater utilities in the Southern
California region. Tom has more than 18 years experience in NEPA/CEQA analysis, Phase I and 11 site
assessments, hazardous waste site remediation, asbestos management, stormwater management, and
health and safety management. He has extensive experience in project management, document
preparation and production, permit review and facilitation, data analysis, and field work. His responsibilities
have included maintaining close communication with clients, agencies, and sub - contractors to facilitate
timely completion of work products.
• Long Beach Water Department Desalination Intake System Alternatives Analysis and Permitting.
Project Manager. Prepared an environmental site screening assessment of several alternative intake
locations for a proposed desalination Intake system within Junipero Beach. ESA provided an
environmental compliance plan that was incorporated into the successful Proposition 50 funding
application for the project. Mr. Barnes conducted the environmental analysis and prepared summary
conclusions identifying the environmentally superior locations. Mr. Barnes provided permitting assistance
and successfully obtained coastal development permit from the California Coastal Commission, waste
discharge requirements from the RWQCB, and a Section 10 Nation -Wide Permit from the USACE for
preliminary geotechnical explorations 500 feet off shore.
■ Orange County Sanitation District. Newport Trunk Sewer Main. Project Manager. OCSD proposed
to construct a new force -main sewer to replace the existing Newport Trunk Sewer and force mains from
the Bitter Point Pump Station in Newport Beach to OCSD's Treatment Plant No. 2, located in the City of
Huntington Beach. ESA assessed numerous pipeline alignment alternatives and prepared the SEIR
supplementing the 1999 Strategic Plan Program EIR. Three alignment alternatives traversed a marsh
area developed by the US Corps of Engineers. Another three alignment alternatives followed the Pacific
Coast Highway. The SEIR summarized the environmentally superior alternative based on the comparison
of each alternative's potential effects. ESA prepared a jurisdictional delineation report that was used to
obtain a Coastal Development Permit and Streambed Alteration Agreement.

• Orange County Water District (OCWD) Santa Ana River Water Rights Application Program EiR.
Deputy Project Manager. The environmental assessment was requested by the State Water Resources
Control Board to support OCWD's water rights application. The EIR compiled described existing
operations and assessed potential impacts from existing and proposed projects to capture Santa Ana
River water to recharge the Orange County Groundwater Basin. Issues include construction impacts of
new recharge basins, assessing river flow trends, cumulative appropriations, the protection of sensitive
species within the river and wetland areas, Prado Dam operations as managed by the Army Corps of
Engineers, and coordination with upstream water Districts In San Bernardino County.
■ Orange County Sanitation District (OCSD) 20 -year Strategic Plan Draft Program EIR. The OCSD
provides wastewater services for more than 2.2 million people in northern Orange County and is permitted
to discharge a blend of primary and secondary effluent out a five- mile -long ocean outfall. The OCSD
Strategic Plan identified appropriate effluent treatment levels and capital improvements necessary to
achieve these levels. The Draft EIR analyzed the proposed new treatment systems, the effects of the new
discharge permit limitations on the marine environment, collection system improvements required to meet
projected flows to the year 2020, necessary permits for air emissions and construction, and biosolids
management programs. Mr. Barnes was the Deputy Project Manager for this project.
■ Orange County Sanitation District Full Secondary Treatment SEIR. Mr. Barnes was the Project
Manager for the construction of a new Effluent Pump Station Annex providing back -up discharge pumping
capacity. The SEIR also assessed the .District's Collection System Odor and Corrosion Control Program.
The SEIR supplements the 1999 Strategic Plan Program EIR.
• Los Angeles County Sanitation Districts (LACSD), Lancaster Water Reclamation Plant 2020
Facilities Plan Program EIR. Lancaster, CA. Project Manager. Tom prepared the EIR and provided site
screening for up to 7,000 acres of land to be converted for agricultural uses. He assessed long -term
agricultural effects to groundwater and conducted Mohave ground squirrel protocol surveys in coordination
with CDFG. He evaluated compensation requirements for effects to Mariposa Illy in coordination with
CDFG and BLM. The facility discharges to Piute Ponds on the Edwards Air Force Base in the Antelope
Valley. The EIR evaluated impacts of water discharge modifications to the Piute Ponds.

Mr. Manny Ramos is responsible for the coordination and execution of field surveys. Being a Project Surveyor
in the State of California, Manny has over 17 years of extensive experience in ALTA mapping, Construction
Staking, Reservoir site construction, Gravity Pipeline Construction, Force Main line construction, Storm Drain
Channels, Bridge Surveys to Caltrans specifications in Metric Units, Geodetic Surveys, Topographic Surveys,
Aerial Topographic Surveys, Boundary Surveys, Cadastral Surveys, Complex structure control, project
management, As -Built Surveys, Precise Levels, Project grading for hillside development, Environmental
Surveys, Settlement Surveys, and other miscellaneous surveys for project development.
ACCOMPLISHMENTS
• Director of Surveys in charge of Surveying operations, Marketing, administration, Contract negotiations,
Construction Management with the Inland Empire region
• Survey Manager of Surveys in charge of field operations relative to an on call surveying services
agreement with the City of Upland.
■ Survey Coordinator in charge of field operations relative to an on going Capital improvement project for
the City of Anaheim's underground utility district which consisted of miles of topographic survey's
throughout the City.
• Served as a Broad Member for the Joint Apprentice Committee of International Union of Land Surveyors.

■ Developer of procedures and practices manuals for California Based surveying firms.
REPRESENTATIVE PROJECTS
• On -Call Services for the City of Irvine — Mr. Ramos was the Director of surveys and onsite field survey
operations manager for the On -Call Services contract between The City of Irvine and The Engineering and
Surveying firm known as DMc Engineering, from the years of 1992 to 1999. Mr. Ramos was the key
individual in all topographic surveys and aerial mapping projects within the City of Irvine during this period.
• California State Highways Bridge Improvement Project - Costa Mesa - Mr. Ramos was the onsite
field survey coordinator & Party Chief relative to the redesign and reconstruction of the Bristol / 405
overpass. This project required Caltrans oversight, with all survey notes, plats, cross sections, and
boundary/ right of Way tasks compiled in metric and imperial units.
■ Camp Pendleton Levy Realignment Project — Oceanside - Mr. Ramos was the surveyor in responsible
charge of all field surveys and office coordination for This project. This was a fast track project that
required an immediate mobilization of multiple field crews and office personal to head off the up and
coming rainy season that was threatening the projects success.

• Utility Expansion Yard Improvement Project for the Newport Beach - Mr. Ramos was the Surveyor
responsible for the staking of all new Improvements within the 3.2 million dollar Improvement project. The
project surveyor was required to deal with multiple trades needing surveying services on a tight schedule.
Mr. Ramos made sure all the individual contractors were provided service in an efficient and timely
manner.
• The Talega Housing Project for the Santa Margarita Water District - Mr. Ramos was the Project
Surveyor responsible for the construction staking of over 12 miles of sewer, water and storm drain lines
placed for the premier south county community. This multi - million dollar project provided service to over
4000 new homes and was completed two months ahead of schedule. This remarkable time savings, was
due to the project teams working together under an extremely tight schedules and simply Just getting the
job done right the first time. Mr. Ramos provided a clear attack of pro- active protocols to expedite all
surveying requests and field operations to the benefit of the projects success.

SECTION 4 Project Understanding
BACKGROUND
The Hellman Water Transmission Main Is an 18 -inch cement mortar -fined and coated steel pipeline that runs
from Westminster Avenue to Pacific Coast Highway, through an area of undeveloped land, adjacent to the
San Gabriel River (see Figure 1).
In 2007, the Orange County Flood Control District began a project to replace its Los Alamitos Storm Water
Pumping Station. The location chosen by the County for its new pumping plant conflicted with the location of
the CHO 18 -inch watermain, and because of prior rights, the County requested that the City relocate its
watermain.
To facilitate the County's construction schedule, the 18 -inch waterline was removed In the area of the pump
station construction, and a fire hydrant was installed on the severed ends of the pipe at the north and the
south ends of the pump station (see Figure 2). The fire hydrants allowed the City the ability to connect an
emergency highline should It become necessary to re-establish flow through the pipe due to a failure of the
pipeline facilities In Seal Beach Boulevard. It also provided the City with a means to serve construction water
to the County, and provides a point which can be used to drain and flush the lines.
Because the Hellman Transmission Main provides a valuable redundancy to the City's water system which
supplies Old Town, it is important that it be reconnected. As it will no longer be possible to rejoin the existing
pipe north of the pump station, ft is proposed that a new 12 -inch watermain be constructed in the Los Alamitos
Flood Control Basin Access Road to Adolfo Lopez Drive, where it would be connected to an existing 10 -inch
ACP waterline (see Figure 3). The existing 10 -inch waterline in Adolfo Lopez Drive connects to a 12 -inch line
which was constructed through the Pacific Gateway Business Center that ultimately joins the City's 18 -inch
watermain in Westminster Avenue at Apollo Drive. Therefore, once constructed, the new 12 -inch waterline
will provide a redundant pipeline facility to the dual 12 -inch watermains located in Seal Beach Boulevard that
supply the Old Town area.
Watermain Alignment in the Flood Control Basin Access Road
The County is currently In the process of constructing a new 6 -inch polyethylene gas line in the access road
which the 12 -inch watermain is to be installed. This facility is located approximately 10 feet from the southerly
property line of the road. The County is also proposing to construct a 2 -inch sewage forcemain to Adolfo
Lopez Drive in the same road alignment. The location of the new waterline In the access road wilt need to be
selected so that both the sewer and gas lines are accommodated, and so that the City can adequately
maintain their pipeline in the future without impact to the County's facilities. Figure 3 shows a potential
location for the watermain In the access road. It is south of the gas pipe, 6 feet from the property line. The
area of the road north of the gas pipe would be reserved for the County's future sewer forcemain.
it will be important to field verify the location of the County's gas line using the locator wire buried with the pipe.
Many curves in the access road are tight, and the pipes' alignment varies from that shown on the construction
drawings. Once the as -built location of the gas line is determined, the exact alignment in the access road for
the new watermain will be determined.

Pumn Station Water Service Connection
The Los Alamitos Flood Control Pump Station will receive water service from the new 12 -inch waterline. The
water service is required to supply the building's sprinkler system, the natural gas engine heat exchangers,
toilet and sink, and to provide wash -down water for maintenance purposes. To accommodate the water
service, a new tee (12" x 8 ") with a valve and blind flange will be included in the design of the watermain
project for future connection by the County. It is assumed that the metering facility and backflow prevention
devices will be constructed by the County and are not part of the 12 -inch watermain scope of work.
Adolfo Lopez Drive Connection
At Adolfo Lopez Drive, it Is proposed that the new watermain be connected to the City's existing 10 -inch AC
facility just east of an existing valve near the end of the cul -de -sac. This will mean that the new 12 -inch
watermain will parallel an existing 8 -inch PVC pipe which serves the Herron Point Development for a short
distance. Joining the existing 8 -inch pipe is not recommended as it would restrict the overall capacity of the
new 12 -inch line. The proposed 12 -inch waterline point of connection in Adolfo Lopez Drive Is shown in Figure
4.
Capping of the 18 -inch Main in Westminster Avenue
It will be necessary to abandon the existing 18 -inch watermain In the north Basin Access Road by capping the
pipe at a location somewhere in Westminster Avenue. The first alternative would be to cut the existing 18 -inch
steel watermain west of the last hydrant on Westminster Avenue (about 600 feet west of Apollo Drive). This
hydrant (in addition to fire protection) could then be used as an emergency connection point with the City of
Long Beach system (see Figure 5).
The second alternative would be to cap the 18 -inch line just downstream of the existing valve located in the
basin road entrance from Westminster Avenue. This spot could then be used as the location for a new
emergency €ntertie facility with the City of Long Beach.
The work in Westminster Avenue will most likely require an encroachment permit from the City of Long Beach
because the traffic control set -up for construction will extend into the City's- limits. Although obtaining this
permit Is not included as part of our project scope, AKM will include provisions in the Contract Documents for
the 12 -inch watermain which requires the Contractor to obtain this permit.
Los Alamitos Pumn Station Construction Schedule
The County has indicated that construction at the Los Alamitos Pump Station is expected to continue for about
another year. The County has also suggested that it may be difficult to allow the waterline to be constructed
prior to pump station work being completed, as it would impact their Contractor's operations. AKM guarantees
that we will hold our proposal price should a delay in construction of the waterline be created by the County.

Project Understanding

SCOPE OF WORK
The City of Seal Beach has developed a detailed scope of work for the project, which is acknowledged in its
entirety, and included as part of our proposal. In this section, we will therefore not repeat the RFP scope
elements, but will provide our approach and enhancements to each task.
TASK 1 — PROJECT INITIATION AND PROGRESS MEETING
(
A project kick -off meeting will be conducted to introduce project team members, establish lines of
communication, obtain project information, and discuss project issues. It Is initially envisioned that the
following will be reviewed:
✓ Proposed 12 -inch watermain alignment in the access road.
✓ Provisions for County water service at the pump station.
✓ Alignment of 12 -inch watermain through City property at the end of the Adolfo Lopez cul -de -sac. Pipe
location will be chosen so that the parcel remains useable for future development (at one time the
Animal Shelter was proposed to be relocated to this area).
✓ Connection to the existing 10 -inch AC watermain in Adolfo Lopez Drive; configuration of vaiving; and
identification of required water service shutdowns to accommodate the tie -in.

✓ Capping of the existing 18 -inch watermain in Westminster Avenue (downstream of the existing fire
hydrant; or downstream of an existing valve In the Westminster Avenue entrance to the Basin Access
Road; or other location). Removal, or abandonment in place, of the dead 18 -inch watermain, and
provisions, if any, to accommodate a future emergency connection with the City of Long Beach.
✓ Environmental documentation, including preparation of a categorical exemption, and the Coastal
Development Permit.
✓ Coordination with County
✓ Schedule for completing the work.
Minutes summarizing all meeting discussions will be prepared by AKM, and distributed to all meeting
participants.
O Task IA — Progress Meetings
Progress meetings will be held with the City to review the work schedule and project issues. Meetings will
be conducted as requested by the City, however it is envisioned that a meeting will be held immediately
after the preliminary plans are developed to discuss potential challenges, resolve conflicts, and gain
consensus for the overall direction of the project. Once approved, the preliminary plans will be used for
completion of the project's environmental documents.

Additional meetings will occur at the time of each milestone submittals to discuss and finalize all remaining
project issues.
Minutes will be prepared by AKM for each progress meeting which is conducted and distributed to each
meeting participant.
TASK 2 -- UTILITY COORDINATION
AKM will perform a complete utility investigation to identify the location of existing facilities in the area of work.
The effort will involve contacting Underground Service Alert to obtain a list of utility companies with facilities in
the project vicinity. Letters will then be sent to each agency requesting as -built information on their
underground structures. if the utility drawings do not show a definitive location for a facility, AKM will request
that the utility company mark it in the field so that it may be appropriately plotted on a base map.
After all utility information has been obtained and plotted, AKM will conduct field reviews (consisting of a
survey of surface improvements) to verify the accuracy of the utility mapping. Discrepancies discovered in the
field will be brought to the attention of the utility company and resolved.
By virtue of our work on previous projects in Adolfo Lopez Drive and Westminster Avenue, AKM already
maintains an extensive record of existing utilities In the area of work. We will not however rely on these
previous efforts without fully verifying the information through current records.
Although drawings exist for the County's 6 -inch gas line in the Basin Access Road, it appears that due to
limitations in the bending radius of the polyethylene pipe being used, a consistent alignment was not
maintained in the road. Therefore, AKM will request that the County field mark this facility, and AKM will
survey the markings for inclusion on the utility base mapping.
O Task 2A — County Coordination
AKM will coordinate the waterline design work with the County to ensure that conflicts are eliminated, and
provisions for future facilities are provided. Based upon conversations with County personnel, a new 2-
inch sewer forcemain from the Los Alamitos Pump Station to the sewer facilities in Adolfo Lopez Drive
may also be constructed in the Basin Access Road. it is also understood that the County will now be
taking water from the City for its pump station operation, which will require a turnout from the proposed 12-
inch watermain. The location and configuration of this turnout will be coordinated with the County and the
City. It is assumed, for the purpose of this proposal, that the metering facility and backflow prevention
device for the water service will be designed and constructed by the County, and are not part of AKM's
proposal.
AKM will process plans through the County at each submittal stage until final approval is achieved.

Project Understanding
TASK 3 -- SURVEY
AKM has on file, topographic mapping of the Los Alamitos Flood Control Basin and Adolfo Lopez Drive, which
is approximately 8 years old. AKM will supplement this mapping with ground surveys to identify all surface
features, establish existing grades, dip existing drainage culverts, locate the 6 -inch gas line (currently under
construction), and map the current alignment of the Basin Access Road.
Ground surveys will be based upon NAD83 Datum, and will be prepared by Harvest Engineering, under the
direction of Manny Ramos, as a subconsultant to AKM Consulting Engineers.
TASK 4 -- DESIGN DRAWINGS
AKM will prepare plan and profile drawings and details for the construction of the 12 -inch watermain. Plan and
profile drawings will be created at a horizontal scale of 1 " =20 feet, and a vertical scale of 1 " =2 feet. Details will
be generated for all connection points and all construction elements not addressed by a City standard, and will
be drawn at a scale of 1/2' = 1'-0" or larger. It is initially estimated that the following drawings will be produced.

2. Sheet index, Construction Notes, Benchmark
3. -9. 12 -1nch Watermain Plan and Profile
10. Connection Details at Adolfo Lopez Drive, and at the Los Alamitos Pump Station, Capping Details
at Westminster Avenue
11. Miscellaneous Sections and Details
Design drawings will be submitted at the preliminay, 70 %, 90 %, 100 %, and final design levels. Drawings will
be created on City Standard Title Block on 24" x 36" size sheets. Final approved drawings will be plotted on
mylar, and will be signed and sealed by a registered professional engineer in the State of California.
Electronic files of the final drawings, in AutoCAD format, will also be furnished to the City.
TASK 5 -- TECHNICAL SPECIFICATIONS
Special provisions delineating the project related issues and the technical requirements will be prepared in CSI
1994 numbering format. The Special Provisions will describe special design and coordination features of the
project, as well as provide requirements for materials, equipment, installation, and workmanship. A bid
schedule will also be prepared which will be broken out into sufficiently detailed tasks to assist in evaluating
the bids and preparing progress payments. City furnished contract and insurance documents, as well as a
reduced set of drawings, will be included to complete the specification package.
Specifications will be submitted at the 90% and 100% review levels to the City for comment. Final
specifications will be signed and sealed by a registered professional engineer in the State of California, and
will be submitted to the City as a hard copy in a loose -leaf binder, and on CD in Microsoft Word format.

TASKS 6 — COST ESTIMATES
Detailed construction cost estimates will be developed for each plan submittal to the City. The estimates will
incorporate price quotes from equipment vendors, and will reflect the most recent trends in construction
pricing.
TASK 7 — ENVIRONMENTAL PERMITTING
Our environmental services for the project consists of four (4) tasks, as described below. Based upon the
nature of the work and length of the pipeline, we believe the project qualifies for categorical exemption under
the CEQA process. Our proposal is therefore based upon this assumption. Environmental permitting will be
completed by ESA as a subconsultant to AKM, under the direction of Mr. Tom Barnes.
O Task 1— Biological Site Visit
A biological field survey of the project site will be conducted to identify biological resources, including the
potential for special- status plant and animal species to utilize the project pipeline corridor. A biological
survey report will be prepared describing the methods and results of the survey along with maps of the
site. The assessment will explain If the proposed project is likely to jeopardize the existence of species
proposed for listing or result in the destruction or adverse modification of any sensitive habitat. The survey
report will be submitted to the Orange County Department of Public Works for review. Comments will be
addressed and a final report submitted.
O Task 2 — Cultural Search
A document search of past cultural surveys performed along the project pipeline corridor will be
conducted. We will document if the proposed project is likely to impact the existence of historic structures
or archaeological resources within the project pipeline corridor. Based on previously conducted site
surveys, a summary report will be submitted to the Orange County Department of Public Works describing
the results of the research. Comments will be addressed and a final report will be submitted.
O Task 3 — CEQA Categorical Exemption
For the purposes of this proposal, we assume that the project will be eligible for a statutory exemption
under Public Resources Code Section 21080.21. We will prepare a Notice of Exemption for the City,
which will complete the City's CEQA compliance obligations.
O Task 4 — Apply for Coastal Permit
A Coastal Development Permit (CDP) will be required from the California Coastal Commission (CCC). We
will prepare an application for the CDP for submittal to the CCC based on project information, as well as
the biological and cultural reports. As required, the application will include a detailed project description
and analysis of potential environmental effects of the project. We will submit the application to the City and
OCDPW for review. We will incorporate comments and submit the application to the CCC. We have

provided for 3 meetings with CCC to discuss the project. We have budgeted for one iteration of the
application incorporating CCC comments on the first submittal.
TASK 8 — BID SUPPORT AND CONSTRUCTION SUPPORT
AKM will provide bid and construction phase support as follows:
1. Bidding Phase
A. Respond to Questions During Bidding
This task will involve responding to Contractor questions during the bid. It is understood that the
City will receive all the questions and issue the responses in order to properly control the flow of
information.
B. Attend Pre -Bid Conference
The Project Manager will attend this meeting to respond to Contractor questions.
C. Prepare Addenda
If needed, the plans and specifications will be revised to address any bidding period issues and
addenda will be prepared.

2. Construction Phase
A. Attend Pre - Construction and Conduct Field Visits
The Project Manager will attend the pre - construction meeting. The Project Manager will also be
available to provide 2 field visits to inspect work, respond to questions, and resolve issues.
B. Respond to Requests for Information and Requests for Change Order
AKM will provide responses to request for information and change order proposals submitted by
the Contractor. Clarification drawings will be prepared and distributed, as required.
C. Shop Drawing Review
The shop drawings will be received by the City and transmitted to AKM for review. Two reviews of
each shop drawing have been included in the scope of work.
AKM will maintain a complete log of the shop drawing review process. Shop drawing reviews will
be completed within 2 weeks of receipt. It is currently anticipated that shop drawings will be
required for: pipe, valves, fittings, A.C., pavement, imported material, and concrete mix design.

GRANT OF EASEMENT
SPACE ABOVE THIS LINE FOR RECORDER'S USE
THE CITY OF SEAL BEACH, a California Municipal Corporation, and Charter
City hereinafter designated "Grantor or City" does, for a valuable consideration, the
receipt of which is hereby acknowledged, grant and convey on this the day of
20 , THIS GRANT OF EASEMENT, hereinafter designated "Easement",
being a non - exclusive easement as described in Exhibit "A" and Exhibit "B" attached
hereto and made a part of the description, to the ORANGE COUNTY FLOOD
CONTROL DISTRICT, a body corporate and politic, hereinafter designated as "Grantee
or District", subject to the terms and conditions set forth below, for the specific purpose
of permitting Grantee the right to take access over and across that portion of Grantor's
property as described in Exhibit "A" and Exhibit "B" (the Easement Area).
Grantor herein reserves the right to grant to others an easement or easements over,
upon or on the surface of the above described easement.
By acceptance of the Easement created hereby, Grantee covenants and agrees with
Grantor as follows:
1. Reservation of Rights: Maintenance. Repair, Replacement. and Relocation
of Certain Facilities Within Easement Area. Grantor hereby reserves and
retains all other property rights in and to the Easement Area, including
without limitation, the rights to (a) use the Easement Area for any purpose
whatsoever, so long as such use does not unreasonably interfere with
Grantee's rights hereunder (it being expressly understood that the use of
the surface of the Easement Area for vehicular traffic, pedestrian traffic,
landscaping, parking, signage, maintenance and repair of facilities
installed in and on Easement Area shall be deemed not to unreasonably
interfere with Grantee's rights hereunder) and (b) locate or relocate
electric, gas, water, and sewer lines and other utilities in the Easement
Area, so long as such improvements do not unreasonably interfere with
Grantee's permitted use of the Easement Area.

Grantor, its successors and assigns and persons occupying or lawfully
present on the Easement Area shall not be liable for damage, if any which
may be caused by normal and reasonable use of, or vehicular or pedestrian
traffic over, the Easement Area by Grantee.
2. Restricted Access due to Emergency. Grantee agrees that access to the
Easement Area may be restricted by Grantor in the case of an emergency
requiring the maintenance, replacement, repair and/or removal of the
above noted facilities. Grantor will endeavor to minimize the time
required to eliminate the emergency and the time required for restricted
access.
3. . Other Easements and Uses of Easement Area. Grantee acknowledges that
the Easement Area contains other easements for use and access and that
Grantor may, at Grantor's discretion, create or eliminate such other
easements as Grantor deems appropriate. Grantor agrees other easements
or uses granted or allowed by Grantor on or within the Easement Area will
not be allowed to unreasonably interfere with Grantee's right to take
access over and across the Easement Area.
4. Maintenance of Surface Improvements Within Easement Area Grantee
agrees that it will provide 50% of the cost of the maintenance and repair of
surface facilities within the Easement Area, including asphalt concrete
pavement, base rock, dirt and slope maintenance, fencing, irrigation, and
landscaping and other items that may be installed from time to time.
Grantor agrees to exercise and to require others using the Easement Area
to exercise due care to not damage any of the surface facilities within the
Easement Area.
5. Removal of Existing Water Line. Grantee agrees to remove, at no cost to
Grantor, the existing City of Seal Beach water line within the County of
Orange Los Alamitos Retarding Basin ( "Retarding Basin") which was
originally installed under Orange County Permit No. 09768.
6. Grant of Access and Water Line Easement. Grantee agrees to grant to the
City of Seal Beach ("City") a 30 foot wide access and water line casement
( "City Easement)" for access and construction of water lines in, over on,
under, upon, along, across, and through the Retarding Basin (AP# 095-

and along the full length of the south side service road as described in
Exhibit "C" and shown in Exhibit "D ". The City Easement will provide
access and will allow the City to construct a new water line tie from the
City's existing water line at the southwest corner of the Retarding Basin to
the City's existing water line in Adolfo Lopez Drive. Damages to
District's property resulting from City's use of the City Easement shall be

repaired by City to the satisfaction of District at City's cost. Access to the
City Easement will be taken from the westerly end of Adolfo Lopez Drive,
the City of Seal Beach Corporation Yard Property, and the Hellman
Property adjacent to the Los Alamitos Retarding Basin.
7. Prohibition Against Liens. Grantee shall not permit any mechanics',
materialmen's or other liens to be filed against Grantor's property or any
part thereof for work or materials furnished Grantee in connection with the
Easement, and Grantee agrees to indemnify, defend and hold Grantor
harmless from and against the same.
8. Indemnification. To the extent permitted by applicable law, Grantee shall
indemnify, defend and hold harmless Grantor from and against any and all
claims, demands, losses, damages, costs and expenses (including but not
limited to court costs, penalties and reasonable attorneys' fees), judgments,
liabilities and causes of action of any nature whatsoever resulting from or
relating to the use or occupancy of the Easement Area by Grantee or arising
in any manner out of the acts or omissions of Grantee or its agents or
employees or any other persons acting under Grantee's direction or control in
connection with the Easement or with the use or occupancy of the Easement
Area The indemnity obligations noted herein shall survive any termination
of the Easement.
9. No Representations or Warranties. Subject to Encumbrances. Grantee
agrees that it is accepting the Easement without any warranty or
representation regarding the Easement or the Easement Area, and subject
to all valid and existing licenses, leases, grants, exceptions, encumbrances,
title, defects, matters of record, reservations and conditions affecting
Grantor's property and/or affecting access thereto.
10. Condemnation. Grantee shall not claim or declare any fee interest in and
to the Easement Area, and in the event of eminent domain proceedings or
settlement pursuant thereto, Grantee shall make no claim against the award
or compensation accruing out of or resulting from such event, save and
except any payment made to Grantee for damage to the surface facilities or
with respect to removing or relocating the same.
11. Attorneys' Fees. If either party brings an action at law or in equity to
enforce or interpret this agreement, the prevailing party in such action shall
be entitled to recover reasonable attorneys' fees and court costs for all stages
of litigation, including, but not limited to, appellate proceedings, in addition
to any other remedy granted.
12. Successors and Assigns. The terms "Grantor" and "Grantee ", wherever
used in this instrument, are intended in each instance to include the

successors and assigns of Grantor as the owner of the Easement Area, and
Grantee as the owner of the surface facilities; provided however, that any
liability or obligation of Grantor as to future events shall terminate upon
the transfer of ownership of the Easement Area.
13. Miscellaneous. This agreement shall be governed by and construed in
accordance with the laws of the State of California. This agreement shall
not be construed strictly for or against either Grantor or Grantee.
By its acceptance of this instrument, Grantee certifies to Grantor that it is authorized
to and hereby accepts and agrees to the same, and that its covenants and agreements herein
above stated constitute legal and binding obligations of Grantee and are enforceable against
Grantee in accordance with their terms.

This Amendment No. 1 dated March 12, 2012, amends that certain agreement
( "Agreement ") between the City of Seal Beach, a California charter city ( "City ") and AKM
Consulting Engineers, Inc. ( "Consultant ") dated September 13, 2010.

RECITALS
WHEREAS, City and Consultant entered into the Agreement on September 13,
2010 under which Consultant has provided professional services in connection with the
design of the 12 -inch Hellman Water Transmission main Relocation Project ( "Project);
and
WHEREAS, due to shortage of funding, the City has requested that Consultant
modify the Project; and
WHEREAS, the parties wish to amend the Agreement to increase Consultant
compensation by $39,900 to compensate Consultant for such additional services
required in connection with modifying the Project.
NOW, THEREFORE and in consideration of the foregoing and of the mutual
covenants and promises herein set forth, the parties agree to amend the Agreement as
follows:
Section 1. Section 1.0 (Scope of Services) of the Agreement is hereby amended to
read as follows:
"1.0 Scope of Services
1.1. Consultant shall provide those services ( "Services ") set forth in the attached
Exhibit A. To the extent that there is any conflict between Exhibit A and this
Agreement, this Agreement shall control.
1.2. Consultant shall provide those additional services ( "March 2012 Additional
Services ") set forth in the attached Exhibit B. To the extent that there is any
conflict between Exhibit B and this Agreement, as amended, this Agreement
shall control.
1.3. Consultant shall perform all services under this Agreement, as amended, on a
timely, regular basis and in a manner reasonably satisfactory to the City.
1.4. In performing this Agreement, as amended, Consultant must comply with all
applicable provisions of federal, state, and local law.
1.5. Consultant will not be compensated for any work performed not specified in
Exhibits A -B unless the City authorizes such work in advance and in writing. The
City Manager may authorize payment for such work up to a cumulative maximum
of $10,000. Payment for additional work in excess of $10,000 requires prior City
Council authorization.
1.6. As a material inducement to City to enter into this Agreement, Consultant hereby
represents that it has the experience necessary to undertake the services to be
provided. In Tight of such status and experience, Consultant hereby covenants

that it shall follow the customary professional standards in performing all
services.
1.7. By executing this Agreement, Consultant represents that, to the extent required
by the standard of practice, Consultant (a) has investigated and considered the
scope of services to be performed, (b) has carefully considered how the services
should be performed, and (c) understands the facilities, difficulties and
restrictions attending performance of the services under this Agreement."
Section 2. Section 2.0 (Term) of the Agreement is hereby amended to read as follows:
2.0 Term
The term of this Agreement shall commence as of the Effective Date and shall
continue until February 1, 2013 unless previously terminated as provided by this
Agreement.
Section 3. Section 3.0 (Compensation) of the Agreement is hereby amended to read as
follows:
"3.0 Consultant's Compensation
3.1 City will pay Consultant in accordance with the fee schedule set forth in Exhibit
A for services. In no event will the City pay more than:
• $50,100 for the services identified in Exhibit A
• $39,900 for the additional services identified in Exhibit B
3.2 Any additional work authorized by the City pursuant to Section 1.5 will be
compensated in accordance with the rate schedule set forth in Exhibit A, Appendix
A."
Section 4. All other terms and provisions of the Agreement, as previously amended, shall
have full force and effect.
Section 5. The Council hereby authorizes the City Manager to execute on behalf of
the City Amendment No. 1 to the certain agreement dated September 13, 2010
between the City and Consultant as to the Project.
Section 6. The Council hereby directs the City Clerk to attach Amendment No. 1 and
Exhibit "B" to the Agreement.

Subject: Proposal to Provide Permitting and Engineering Support Services During Construction
for the 12 -Inch Hellman Waterline Relocation Project
Dear Mr. Spitz:
Pursuant to your request, AKM Consulting Engineers is pleased to submit this proposal to provide permitting
and engineering support services during construction, for the 12 -inch Hellman Waterline Relocation Project.
Our proposed scope of services is as follows.
1. PERMIT SUPPORT
AKM will submit and process the construction drawings through the County of Orange Public Property
Permits Division, for the purpose of obtaining an encroachment permit for the construction of the
proposed waterline. AKM will respond to comments and make all plan revisions necessary to gain project
approval by the County.
2. SHOP DRAWING REVIEW
AKM will review and process Contractor shop drawing submittals for conformance with the contract
documents.
3. RFI RESPONSE
AKM will respond to any Contractor questions which may arise during construction. Work will include
plan revisions, as necessary.
4. FIELD VISITS
AKM will conduct field visits and /or attend construction meetings as requested by the City.

5. AS -BUILT DRAWINGS
AKM will prepare as -built drawings of the constructed project. Changes will be made electronically, with

To complete the above described scope of services, we estimate a total budget of $39,900 will be required.
