AMENDMENT NO. 3 TO AGREEMENT
FOR PROFESSIONAL SERVICES BETWEEN
THE CITY OF SEAL BEACH AND DUDEK
This Amendment 3 dated April 11, 2011, amends that certain agreement for
professional services ( "Agreement ") between the City of Seal Beach, a California
charter city ( "City ") and Dudek ( "Consultant ") dated December 17, 2009.
RECITALS
WHEREAS, City and Consultant entered into the Agreement on December 17,
2009; and
WHEREAS, the parties wish to amend the Agreement to increase the maximum
amount the City will pay Consultant for its services.
NOW, THEREFORE and in consideration of the foregoing and of the mutual
covenants and promises herein set forth, the parties agree to amend the
Agreement as follows:
1. Paragraph 2.0 of the Agreement is hereby amended to read as follows:
"2.0 Consultant's Compensation. City will pay Consultant for all
services provided to the satisfaction of the City in accordance with
the hourly rates listed in the fee schedule set forth in Exhibit B. Any
additional work authorized by the City Manager pursuant to Section
1.4 will be compensated in accordance with the hourly rates listed
in Exhibit B. In no event will the City pay more than $274,930 to
Consultant without a further amendment to this Agreement."
2. All other terms and provisions of the Agreement shall have full force and
effect.

This Amendment No. 2 dated May 10, 2010, amends that certain agreement for
professional services ( "Agreement ") between the City of Seal Beach, a California
charter city ( "City ") and Dudek ( "Consultant ") dated December 17, 2009.
RECITALS
WHEREAS, City and Consultant entered into the Agreement on December 17,
2009; and
WHEREAS, the Agreement was amended by Amendment No. 1 on March 22,
2010 to increase the maximum amount is obligated to pay Consultant for
its services to $180,000; and
WHEREAS, the parties wish to amend the Agreement to increase the maximum
amount the City is obligated to pay Consultant for its services to $255,000.
NOW, THEREFORE and in consideration of the foregoing and of the mutual
covenants and promises herein set forth, the parties agree to amend the
Agreement as follows:
1. Paragraph 2.0 of the Agreement is hereby amended to read as follows:
"2.0 Consultant's Compensation. City will pay Consultant for all -
services provided to the satisfaction of the City in accordance with
the hourly rates listed in the fee schedule set forth in Exhibit B. Any
additional work authorized by the City Manager pursuant to Section
1.4 will be compensated in accordance with the hourly rates listed
in Exhibit B. In no event will the City pay more than $255,000 to
Consultant without a further amendment to this Agreement."

This Professional Service Agreement ( "the Agreement ") is made as of December 17,
070o9 2010 (the "Effective Date "), by and between Dudek ( "Consultant "), a
Environmental Consultant, and the City of Seal Beach ( "City "), a California charter city,
(collectively, "the Parties ")

RECITALS
A. City desires certain professional services.
' B. Consultant represents that it is qualified and able to provide City with such
services.
NOW THEREFORE, in consideration of the Parties' performance of the
promises, covenants, and conditions stated herein, the Parties hereto agree as follows.
AGREEMENT
1.0 Scope of Services
1.1. Consultant must provide those services ( "Services ") set forth in the
attached Exhibit A, which is hereby incorporated by this reference. To the extent that
there is any conflict between Exhibit A and this Agreement, this Agreement must
control.
1.2. Consultant must perform all Services under this Agreement in accordance
with the standard of care generally exercised by like professionals under similar
circumstances and in a manner reasonably satisfactory to Authority.
1.3. In performing this Agreement, Consultant must comply with all applicable
provisions of federal, state, and local law.
1.4. Consultant will not be compensated for any work performed not specified
in the Scope of Services unless the City authorizes such work in advance and in writing.
The City Manager may authorize payment for such work up to a cumulative maximum of
$25,000. Payment for additional work in excess of $25,000 requires prior City Council
authorization.
2.0 Consultant's Compensation
City will pay Consultant for all services provided to the satisfaction of the City in
accordance with the hourly rates listed in the fee schedule set forth in Exhibit B for
Services but in no event will the City pay more than $100,000.00. Any additional work
authorized by the City pursuant to Section 1.4 will be compensated in accordance with
the rate schedule set forth in Exhibit B.
3.0 Method of Payment
3.1. Consultant must submit to City monthly invoices for all services rendered
pursuant to his Agreement. Such invoices must be submitted within 15 days of the end
of the month during which the services were rendered and must describe in detail the
services rendered during the period, the days worked, number of hours worked, the
hourly rates charged, and the services performed for each day in the period. City will
pay Consultant within 30 days of receiving Consultant's invoice. City will not withhold

3.2. Upon 24 hours notice from City, Consultant must allow City or City's
agents or representatives to inspect at Consultant's offices during reasonable business
hours all records, invoices, time cards, cost control sheets and other records maintained
by Consultant in connection with this Agreement. City's rights under this Section 4.2
shall survive for years following the termination of this Agreement.
4.0 Termination
4.1. This Agreement may be terminated by City, without cause, or by
Consultant based on reasonable cause, upon giving the other party written notice
thereof not less than thirty 30 days prior to the date of termination.
4.2. This Agreement may be terminated by City upon 10 days' notice to
Consultant if Consultant fails to provide satisfactory evidence of renewal or replacement
of comprehensive general liability insurance as required by this Agreement at least 20
days before the expiration date of the previous policy.
5.0 Party Representatives
5.1. The City Manager is the City's representative for purposes of this
Agreement.
5.2. Peter T. Quinlan is the Consultant's primary representative for purposes of
this Agreement.
6.0 Notices
6.1. All notices permitted or required under this Agreement shall be deemed
made when personally delivered or when mailed 48 hours after deposit in the U.S. Mail,
first class postage prepaid and addressed to the party at the following addresses:

6.2. Actual notice shall be deemed adequate notice on the date actual notice
occurred, regardless of the method of service.
7.0 Independent contractor
7.1. Consultant is an independent contractor and not an employee of the City.
All services provided pursuant to this Agreement shall be performed by Consultant or
under its supervision. Consultant will determine the means, methods, and details of
performing the services. Any additional personnel performing services under this
Agreement on behalf of Consultant shall also not be employees of City and shall at all
times be under Consultant's exclusive direction and control. Consultant shall pay all
wages, salaries, and other amounts due such personnel in connection with their
performance of services under this Agreement and as required by law. Consultant shall
be responsible for all reports and obligations respecting such additional personnel,
including, but not limited to: social security taxes, income tax withholding,
unemployment insurance, disability insurance, and workers' compensation insurance.
7.2. Consultant shall indemnify and hold harmless City and its elected officials,
officers and employees, servants, designated volunteers, and agents serving as
independent contractors in the role of city officials, from any and all liability, damages,
claims, costs and expenses of any nature to the extent arising from Consultant's
personnel practices. City shall have the right to offset against the amount of any fees
due to Consultant under this Agreement any amount due to City from Consultant as a
result of Consultant's failure to promptly pay to City any reimbursement or
indemnification arising under this Section.
8.0 Subcontractors
No portion of this Agreement shall be subcontracted without the prior written
approval of the City. Consultant is fully responsible to City for the performance of any
and all subcontractors.
9.0 Assignment
Consultant shall not assign or transfer any interest in this Agreement whether by
assignment or novation, without the prior written consent of City. Any purported
assignment without such consent shall be void and without effect.
10.0 Insurance
10.1. Consultant must not commence work under this Agreement until it has
provided evidence satisfactory to the City that Consultant has secured all insurance
required under this Section. Consultant shall furnish City with original certificates of
insurance and endorsements effecting coverage required by this Agreement on forms
satisfactory to the City. The certificates and endorsements for each insurance policy ,
shall be signed by a person authorized by that insurer to bind coverage on its behalf,

10.2. Consultant shall, at its expense, procure and maintain for the duration of
the Agreement, insurance against claims for injuries to persons or damages to property
that may arise from or in connection with the performance of this Agreement. Insurance
is to be placed with insurers with a current A.M. Best's rating no Tess than A:VIII,
licensed to do business in California, and satisfactory to the City. Coverage shall be at
least as broad as the latest version of the following: (1) General Liability: Insurance
Services Office Commercial General Liability coverage (occurrence form CG 0001); (2)
Automobile Liability: Insurance Services Office Business Auto Coverage form number
CA 0001, code 1 (any auto); and (3) Professional Liability. Consultant shall maintain
limits no less than: (1) General Liability: $2,000,000 per occurrence for bodily injury,
personal -injury and property damage and if Commercial General Liability Insurance or
other form with a general aggregate limit is used, either the general aggregate limit shall
apply separately to this Agreement/location or the general aggregate limit shall be twice
the required occurrence limit; (2) Automobile Liability: $1,000,000 per accident for bodily
injury and property damage; and (3) Professional Liability: $1,000,000 per
claim/aggregate.
10.3. The insurance policies shall contain the following provisions, or Consultant
shall provide endorsements on forms supplied or approved by the City to state: (1)
coverage shall not be suspended, voided, reduced or canceled except after 30 days
prior written notice by certified mail, return receipt requested, has been given to the City;
(2) any failure to comply with reporting or other provisions of the policies, including
breaches of warranties, shall not affect coverage provided to the City, its directors,
officials, officers, (3) coverage shall be primary insurance as respects the City, its
directors, officials, officers, employees, agents and volunteers, or if excess, shall stand
in an unbroken chain of coverage excess of the Consultant's scheduled underlying
coverage and that any insurance or self - insurance maintained by the City, its directors,
officials, officers, employees, agents and volunteers shall be excess of the Consultant's
insurance and shall not be called upon to contribute with it; (4) for general- liability
insurance, that the City, its directors, officials, officers, employees, agents and
volunteers shall be covered as additional insureds with respect to the services or
operations performed by or on behalf of the Consultant, including materials, parts or
equipment furnished in connection with such work; and (5) for automobile liability, that
the City, its directors, officials, officers, employees, agents and volunteers shall be
covered as additional insureds with respect to the ownership, operation, maintenance,
use, loading or unloading of any auto owned, leased, hired or borrowed by the
Consultant or for which the Consultant is responsible.
10.4. All insurance required by this Section shall contain standard separation of
insureds provisions and shall not contain any special limitations on the scope of
protection afforded to the City, its directors, officials, officers, employees, agents, and
volunteers.

10.5. Any deductibles or self - insured retentions shall be declared to and
approved by the City. Consultant guarantees that, at the option of the City, either: (1)
the insurer shall reduce or eliminate such deductibles or self - insured retentions as
respects the City, its directors, officials, officers, employees, agents, and volunteers; or
(2) the Consultant shall procure a bond guaranteeing payment of losses and related
investigation costs, claims and administrative and defense expenses.
11.0 Indemnification, Hold Harmless, and Duty to Defend
Consultant shall indemnify, and hold the City, its officials, officers, employees,
volunteers and agents serving as independent contractors in the role of city officials
(collectively "Indemnities ") free and harmless from any and all claims, demands, causes
of action, costs, expenses, liability, loss, damage or injury, in law or equity, to prope '
or persons, including wrongful death, in any manner arising out of or incident to an acts
or omissions of Consultant, its employees, or its agents in connection with the
performance of this Agreement, including without limitation the payment of all
consequential damages and attorneys fees and other related costs and expenses,
except for such loss or damage arising from the sole negligence or willful misconduct of
the City. With respect to any and all such aforesaid suits, actions, or other legal
proceedings of every kind that may be brought or instituted against Indemnitees,
Consultant shall defend Indemnitees, at Consultant's own cost, expense, and risk, and
shall pay and satisfy any judgment, award, or decree that may be rendered against
Indemnitees. Consultant shall reimburse City and its directors, officials, officers,
employees, agents and /or volunteers, for any and all legal expenses and costs incurred
by each of them in connection therewith or in enforcing the indemnity herein provided.
Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if any,
received by Consultant, the City, its directors, officials, officers, employees, agents or
volunteers. All duties of Consultant under this Section shall survive termination of this
Agreement.
12.0 Equal Opportunity
Consultant affirmatively represents that it is an equal opportunity employer.
Consultant must not discriminate against any subcontractor, employee, or applicant for
employment because of race, religion, color, national origin, handicap, ancestry, sex,
sexual orientation, or age. Such non - discrimination includes, but is not be limited to, all
activities related to initial employment, upgrading, demotion, transfer, recruitment or
recruitment advertising, layoff, or termination.
13.0 Labor Certification
By its signature hereunder, Consultant certifies that it is aware of the provisions
of Section 3700 of the California Labor Code that require every employer to be insured
against liability for Worker's Compensation or to undertake self - insurance in accordance
with the provisions of that Code, and agrees to comply with such provisions before
commencing the performance of the Services.

14.0 Entire Agreement
This Agreement contains the entire agreement of the parties with respect to the
subject matter hereof, and supersedes all prior negotiations, understandings, or
agreements. This Agreement may only be modified by a writing signed by both parties.
15.0 Severability
The invalidity in whole or in part of any provisions of this Agreement shall not
void or affect the validity of the other provisions of this Agreement.
16.0 Governing Law
This Agreement shall be governed by and construed in accordance with the laws
of the State of California.
17.0 No Third Party- Rights
No third party shall be deemed to have any rights hereunder against either party
as a result of this Agreement.
18.0 Waiver
No waiver of any default shall constitute a waiver of any other default or breach,
whether of the same or other covenant or condition. No waiver, benefit, privilege, or
service voluntarily given or performed by a party shall give the other party any
contractual rights by custom, estoppel, or otherwise.
19.0 Prohibited Interests
Consultant maintains and warrants that it has not employed nor retained any
company or person, other than a bona fide employee working solely for Consultant, to
solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor
has it agreed to pay any company or person, other than a bona fide employee working
solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, City has the right to rescind this Agreement
without liability. For the term of this Agreement, no member, officer or employee of City,
during the term of his or her service with City, shall have any direct interest in this
Agreement, or obtain any present or anticipated material benefit arising therefrom.
20.0 Attorneys' Fees
If either party commences an action against the other party, either legal,
administrative or otherwise, arising out of or in connection with this Agreement, the
prevailing party in such litigation shall be entitled to have and recover from the losing
party all of its attorney's fees and other costs incurred in connection with such action.

21.0 Exhibits
All exhibits referenced in this Agreement are hereby incorporated into the
Agreement as if set forth in full herein. In the event of any material discrepancy
between the terms of any exhibit so incorporated and the terms of this Agreement, the
terms of this Agreement shall control.
22.0 Corporate Authority
The persons executing this Agreement on behalf of the Parties warrant that they
are duly authorized to execute this Agreement on behalf of said Parties and that by their
execution, the Parties are formally bound to the provision of this Agreement.

SCOPE OF SERVICES:
The following scope of services provided, but not limited to the City of Seal
Beach:
1. Investigating and remediating hydrocarbon and related chemical
contamination of soil, soil vapor, and groundwater associated with
releases from USTs and petroleum processing facilities.
2. Prepare and review monitoring reports for soil, soil vapor, and
groundwater contamination at gas stations, manufacturing facilities, and
multiple PRP superfund sites.
3. Evaluate potential health risks due to vapor intrusion into buildings using
the DTSC - modified Johnson - Ettinger model at numerous sites and have
relationships with independent toxicologists that can subcontract to
Dudek.
4. Obtaining UST closures for City owned facilities.
5. Investigated benzene and MTBE migration from gas station properties
along sewer backflll and infiltration into the sewer lines.
6. Evaluated potential exposure to adjacent residences from vapor migration
through sewer laterals, vents and manholes.

• Groundwater Remediation, Naval Air Station (NAS), North Island, California. Served
as project engineer for a free-phase hydrocarbon remediation pilot study at the
NAS in North Island. The purpose of this study was to evaluate the effectiveness of
various recovery systems on the free-phase JP-5 and Diesel Fuel Marine
contamination. Project work included the design, installation, and evaluation of the
various recovery systems at two test sites.
• Vadose Zone Remediation, Commerce, California. Served as project engineer for a
petroleum hydrocarbon remediation using soil vapor extraction at a former liff truck
manufacturing facility located in Commerce. Underlying contamination extended
through varying lithology that included silty clay. The site received a "No Further
Action" letter from the Regional Water Quality Control Board, Los Angeles Region.

• Baldwin Park Operable Unit/San Gabriel Valley Superfund Engineering Cost
Analyses, California. Performed engineering cost analyses and evaluations for the
Baldwin Park Operable Unit/San Gabriel Valley Superfund Steering Committee.
Various treatment technologies for perchlorate, NDMA and 1,4-dioxane were
evaluated. Technologies were evaluated for both cost effectiveness and
applicability for use to treat water used as a public water supply. Feasibility studies
evaluated treatment plant locations, well field design, pipeline alignments, right-of-
way requirements, and the requirements of the various public entities involved or

technologies for perchlorate, NDMA and 1,4-dioxane were evaluated. Feasibility
studies evaluated treatment plant locations, well field design, pipeline alignments,

• Engineering Evaluation/Cost Analysis, George AFB, California. Prepared Engineering
Evaluation/Cost Analysis Plan for the remediation of a medical waste disposal area
located at George AFB in California.

oversight and technical support for the preparation of Phase I ESAs for Chula Vista

Dudek negotiated with DTSC to limit the PEA investigation area to the area of new

• Methane Testing, Proposed School Sites, Poway Unified School District, California.
Conducted methane testing on proposed high school and elementary school sites
within the 4S Ranch master planned community.
• North Chollas Burn Site Remediation, City of San Diego, California. Served as project
engineer for the remediation of 200,000 tons of lead contaminated material at a
former burn ash site immediately adjacent to an existing elementary school. The
project required random sampling within known areas of contamination for the
purpose of waste characterization, preparation of remedial documentation, on-site
support during the remediation phase,and development of site specific storm water
management solutions that were installed as the grading operation progressed.
Lead contamination in the soil and general sediment control were accomplished by
using engineered structures, typical BMPs and construction personnel education
program.
• SDG&E Silvergate Transmission Substation Project EIR, California Public Utilities
Commission, City of San Diego, California. Prepared Hazardous Material, Water
Quality and Geology portions of the ElR. The project consists of replacing the
existing Main Street Substation with a new 230/69 kV Substation (Silvergate) in
downtown City of San Diego and undergrouding of a 138 kV circuit. Portions of the
project are located in areas with potential subsurface contamination and upstream
of impaired water bodies.
• SDG&E Otay Mesa Power Purchase Agreement Transmission Line Project EIR,
California Public Utilities Commission (CPUC), San Diego County, California.
Prepared Hazardous Material, Water Quality and Geology portions of the EIR, which
evaluates a linear 28-mile new overhead and underground 230 kV circuit as well as
over 35 alternatives consisting of over 500 miles (230 miles of PEA system alternatives,
120 miles of design variations and 160 miles of transmission system variations
developed by the EIR project team) of routing and design options within a large
geographic area covering San Diego County. Evaluated proponents and
submittals regarding potential hazardous materials within the project site as related
to the mitigation measures presented in the EIR. The Elf received the Association of
Environmental Professionals (AEP) 2005 award for "Outstanding Environmental
Analysis."
• Phase I and II ESAs, City of Fontana, California. Provided oversight and technical
support on four Phase I and II ESAs on current or former commercial or light industrial
sites for the City of Fontana.
• Former Agricultural Land Phase I/II, Encinitas, California. Served as project manager
for a Phase I and II environmental investigation for a 12 acre site in Encinitas. Site
was a former flower growing facility with several structures present including a paint
storage area. Soil analyses included pesticides/herbicide, VOCs, and TPH. Key
areas investigated include greenhouse areas, outdoor row crop areas, boiler/AST
locations, former UST locations and the paint storage area. Redevelopment of the
site as single family residential was approved by the City of Encinitas.

• Former Agricultural Land Phase I/II, Oceanside, California. Served as project
manager for a Phase I and II environmental investigation for an approximately 20
acre former agricultural site in Oceanside. The Phase II work included sampling for
pesticides and other compounds associated with the former land use. The rezoning
and development of the property as residential was approved by the Oceanside
Planning Commission.
• Former Agricultural Land Phase I/II, Oceanside, California. Served as project
manager for a Phase I and Phase II investigation of a 5 acre agricultural property on
the north edge of the San Luis Rey River. Development of the property as multi-
family residential was approved by the Oceanside Panning Commission.
• Former Agricultural Land Phase II, Carlsbad, California. Served as project manager
for a Phase II investigation of a former agricultural property in Carlsbad.
• NACCO Phase I/II, South Plainfield, New Jersey. Performed Phase I and Phase II
Environmental Investigations for a lift truck manufacturing/service facility in South
Plainfield. Contaminants included metals and petroleum hydrocarbons.
• San Diego Unified Port District Phase II, Chula Vista, California. Conducted Phase I
and Phase II Environmental Investigations for the San Diego Unified Port District's
Shangri La Site. The site was contaminated with various metals resulting from marine
manufacturing operations.
Hydrology/Water Quality
• Groundwater/Surface Water Analyses, Vista Unified School District, Vista, California.
Provided oversight and technical support for a groundwater/surface water study at
the Guajome Park Academy. After groundwater surfaced on school property,
water flow rates and groundwater elevations were monitored. Water quality was
evaluated through chemical analyses to determine if it posed a hazard to workers
or students and to assess its suitability as an additional irrigation water source.
• Rainbow Valley Basin Groundwater Management Plan, California. Served as project
manager for the development of a draft groundwater management plan for the
Rainbow Valley Basin. The groundwater management plan addressed both surface
water and groundwater quality issues as they relate to the CalFed program and

recently published Total Maximum Daily Loading goals for Rainbow Creek.
Monitoring programs identified in the plan included both nutrient and sediment
loading of surface waters and general groundwater quality monitoring. The
groundwater management plan also identified educational programs for the local
agricultural and residential community to improve water quality.
• San Diego Unified Port District Soil Remediation, San Diego, California. Served as
project engineer for the remediation of approximately 4,000 tons of petroleum

contaminated site. The contamination was diesel fuel and #2 fuel oil released from
an underground storage tank adjacent to San Diego Bay. The site was extensively
sampled to allow segregation of contaminated material requiring remediation,
using an immunoassay screening methodology.
• Spill, Prevention, Control and Countermeasure Plans, Imperial Beach, California.
Implemented structural modifications in accordance with Spill, Prevention, Control
and Countermeasure (SPCC) plan for Naval Auxiliary Landing Facility (NALF), San
Clemente Island, and Navy Outlying Field (NOLF), Imperial Beach. Work included
hazardous materials storage facilities, bulk petroleum storage and transfer facilities.
Regulatory Compliance
• RCRA Part B Permit Application, Naval Air Station (NAS), North Island, California.
Project manager for reapplication of RCRA Part B Permit for a 1 mgd industrial waste
treatment plant, a 0.250 mgd oil recovery plant, hazardous waste storage and
transfer facility, and a PCB storage facility at the NAS in North Island.
• Aboveground Storage Tank Compliance, various sites, California. Evaluated
regulatory compliance of aboveground petroleum storage tanks, made
recommendations and preliminary design drawings for modifications that would
bring the tanks into compliance at various Naval installations throughout California.
• Office of Statewide Health Planning and Development (OSHPD) Hospital Permitting,
USC University Medical Center, San Diego, California. Prepared Office of Statewide
Health Planning and Development (OSHPD) permits for structural alterations, USC
University Medical Center, California.
Landfill
• West Miramar Class III Landfill, Miramar, California. Served as project engineer for
the design of a RCRA Subtitle 'D' lined module at the West Miramar Class III landfill.
Work included a seven module layout and fill sequencing plan, excavation and fill
plans, leachate collection and recovery system, earthwork quantities, and project
module life calculations.
• Miramar Landfill, Miramar, California. Prepared preliminary layout for landfill gas
extraction system for use in conjunction with a proposed cogeneration facility at
Miramar Landfill.
• Coachella Landfill, Coachella, California. Served as project manager for an
environmental investigation and land use plan of a landfill site in the City of
Coachella.

California. Prepared layout for a landfill gas extraction system at the Palomar

Performed gas well sampling and surface monitoring for an off-site gas migration
study at the Palomar Airport Landfill in Carlsbad.
• Viejas Burn Site, Viejas Indian Tribe, California. Served as project engineer for the
closure of an unclassified landfill/burn site for the Viejas Indian Tribe in California.
Work included site characterization through final closure.
• Hualapai Landfill Closure, Arizona. Prepared Liner Design and Closure
Documentation for the Hualapai Landfill in Arizona.
• Indian Health Services Landfill Support, Department of Indian Health Services, various
sites, California. Performed landfill characterization for over a dozen sites on Tribal
lands for Department of Indian Health Services.
