UNEMPLOYMENT SERVICES A. The following are the Unemployment Services ECG shall provide to Client: 1. CLAIMS PROCESSING. ECG shall process unemployment claims filed by Client's former employees. 2. HEARING REPRESENTATION. ECG shall prepare and represent Client at Unemployment Administrative Hearings. 3. BOARD APPEALS. ECG, where beneficial to client, will petition the Unemployment Insurance Appeals Board to review unfavorable hearing decisions. ECG will prepare and represent Client before the Appeals Board. 4. REVIEW OF BENEFIT CHARGES. ECG will audit and review all Client's Benefit Charge Statements, DE428R, when issued to Client by Employment Development Department. 5. EDUCATION/TRAINING. ECG personnel shall provide training at Client's place of business to explain the various aspects of the unemployment claims, hearings and appeals process, and to consult with Client on personnel practices and documentation procedures as they relate to unemployment insurance matters. B. In order for ECG to provide the above Services, Client shall: 1. Provide, for all claims and on a timely basis, all pertinent employment records and relevant background information on claimant(s). 2. Provide, immediately upon receipt, all claims and other relevant communications from Employment Development Department. 3. Cooperate with ECG as necessary to enable ECG to be effective in representing Client before state and /or administrative agency(s). 11. OPTIONAL SERVICES. The following Services are optional and will be charged at ECG's standard hourly rate. Please see "Fees" below. A. Department of Labor Standards Enforcement (DLSE) 1. Consult with management on issues pertaining to state labor laws. 2. Investigate and process labor claims and provide advice regarding resolution. 3. Confer with DLSE regarding the issues presented. 1 . _ , EMPLOYERS CONSULTING GROUP • 4. Attend conferences and hearings before the deputy labor commissioner. B. Equal Employment Opportunity Commission (EEOC) and Department of Fair Employment and Housing (DFEH) 1. Consult with management regarding discriminatory practices as outlined by both the state and federal agency. 2. Investigate and assist in resolution of complaints of discrimination as requested by management. 3. Conduct on -site investigations of reported incidents of sexual harassment and make recommendations to management for resolution. 4. Investigate and prepare written responses to charges of discrimination or sexual harassment as filed with the EEOC and /or the DFEH. 5. Provide written documentation and reports of all investigations. C. Personnel Policies 1. Provide telephone consulting in the following areas: disciplinary actions, wage and hour laws, documentation, unemployment insurance eligibility, separation issues, other concems of the employer - employee relationship. (No charge if Client contracts for 'Unemployment Services" in Section I.) 2. Consult with management regarding personnel policies, practices and procedures. 3. Review current employee manual and make recommendations for updates. 4. Draft handbooks, personnel manuals and policies as requested. III. CONFIDENTIALITY In connection with confidential information given by Client to ECG during the course of performing Services to Client: A. Client consents that ECG may use the confidential information during the course of this agreement in connection with the Services provided. B. Client consents that all such confidential information may be provided to state or federal agency(s) as applicable in connection with services provided. IV. Fees f9 The fee for Unemployment Services shall be $ , O ® per quarter. ECG shall bill Client quarterly per its normal billing practices. ECG's invoice is due within 15 days of receipt. A 1.5% service charge will be added to all past due accounts. Should ECG deem it necessary to use the services of an attorney or collection agency to collect unpaid fees, client shall be responsible for reimbursement to ECG for all costs incurred. 2 i 1s ®' EMPLOYERS CONSULTING GROUP Consulting Fees for those items outlined in section II (other than Al, BI, Cl and C2 which are included in the quarterly fee) will be charged at an hourly rate of $150.00 plus out pocket expenses. ECG shall bill Client at the end of each month for optional services performed during that month. V. Term The term of this Agreement shall be one year, commencing /D /2"45 Unless cancelled by written notice from either party, this Agreement shall continue from year to year until terminated. After the initial term, with 30 days written notice from either party, this Agreement may be terminated at the end of any calendar quarter. The activities and services described in section 11 of this agreement shall only commence at the request of the employer. The activities and services described in section 1 of this agreement shall commence upon the signing of this agreement. VI. Limitation of Liability ECG's maximum liability relating to services rendered under this Agreement shall be limited to the fees paid to ECG for that portion of its services giving rise to the liability. In no event shall ECG be liable for consequential, special, incidental or punitive loss, damage or expense. VII. Goveming Law This Agreement shall be govemed by the laws of the State of Califomia and shall apply to Client and its successors.
