S7296-0001 \1240536v2.doc 1 RECITALS 1. CITY is the owner of a municipal parking lot located in the 100 Block of 8th Street, Seal Beach, known as the 8th Street Municipal Parking Lot (hereinafter "Lot"). 2. CITY has allowed the CHURCH to use a portion of the Lot for parking purposes on Sunday mornings for at least the last 15 years. 3. Sunday mornings are traditionally a day and time during which the Lot has less usage for public parking. 4. In 2006, CITY and CHURCH entered into an agreement ("2006 Agreement") regarding the use of the Lot. 5. The 2006 Agreement expired on June 30, 2014. 6. CITY and CHURCH intend to reinstate a License agreement, under generally similar terms and conditions as the 2006 Agreement. AGREEMENT NOW, THEREFORE, the parties hereto mutually agree as follows: Section 1. CITY hereby grants to CHURCH a license to use a portion of the Lot for church parking purposes between the hours of 8:00 a.m. - 1:00 p.m. on each and every Sunday during the term of this Agreement, subject to the limitations contained herein. CHURCH may not charge for parking in the Lot, and may not prohibit parking by City staff or members of the public in available spaces. Section 2. CHURCH shall pay to CITY an annual license fee due and payable on or before July 1 of each year of this Agreement. The annual fee for Fiscal Year 2019-2020 shall be $2,242.60. On July 1 of each subsequent year of this Agreement, the City shall increase the license fee in an amount equal to 3% (three percent). Section 3. In addition to paying the License fee, CHURCH may purchase up to 10 (ten) Guest Parking Permits from the CITY at the CITY's standard fee. The drivers of vehicles displaying such permits shall comply with all applicable rules and regulations governing Guest Parking Permits and may park in the Lot on Saturdays and Sundays only. CITY may mark the Guest Parking Permits for Saturday and Sunday use only. Section 4. The initial term of this Agreement shall commence on July 1, 2019 and terminate on June 30, 2024, unless terminated earlier as provided herein. Section 5. This agreement may be terminated by the CITY or the CHURCH effective upon 60 days written notice if CITY parking needs, governmental restrictions or S7296-0001 \1240536v2.doc 2 requirements for the Lot or CHURCH uses are changed. Any annual fee paid by CHURCH prior to such termination shall be refunded on a pro rata basis. Section 6. CHURCH shall ensure that CHURCH users do not park their vehicles adjacent to the retaining wall at the north end of the Lot or in any of the parking spaces designated for Orange County Fire Authority personnel. Section 7. CHURCH shall not assign or transfer any of the entitlements conferred by this Agreement, or make any structural or design changes to the Lot. Section 8. CHURCH shall defend, indemnify, and hold CITY harmless from any and all claims, demands, causes of action, costs, expenses, liability, loss, damage or injury, in law or equity, to property or persons, including wrongful death, in any manner arising out of or incident to any acts or omissions of CHURCH arising from this Agreement or CHURCH's use of the Lot, except for such loss or damage arising from the sole negligence or willful misconduct of CITY. All duties of CHURCH under this Section shall survive termination of this Agreement. Section 9. Any disputes which may arise between CITY and CHURCH during the term of this Agreement shall be resolved, if possible, through informal meetings between the two parties. If either party is forced to bring litigation to enforce its rights under this Agreement, the prevailing party shall be entitled to recover its reasonable fees and costs of suit. Section 10. Neither this Agreement, nor any parking privileges conferred by this Agreement, shall affect in any way CHURCH's obligations to meet any CITY current or future parking requirements or regulations. Section 11. This Agreement represents the entire integrated agreement between the parties regarding this partial parking License for Sunday use of the Lot. No other discussion, promise, amendment, or practice shall be enforceable against either party unless memorialized in a written amendment to this Agreement. CITY has allowed the CHURCH to use the Lot for parking purposes for at least the last 15 years. 3. In 2006, CITY and CHURCH entered into an agreement ("2006 Agreement") regarding the use of the Lot. 4. The 2006 Agreement expired on June 30, 2010. 5. CITY and CHURCH want to renew the agreement, under the same terms and conditions as the 2006 Agreement. AGREEMENT NOW, THEREFORE, the parties hereto mutually agree as follows Section 1. CITY hereby grants to CHURCH a license to use the Lot for parking purposes between the hours of 8:00 a.m. -1:00 p.m. on each and every Sunday during the term of this Agreement, subject to the limitations contained herein. Section 2. CHURCH shall pay to CITY an annual license fee due and payable on or before July 1 of each year of this Agreement. The annual fee for fiscal year 2010-11 shall be $1,849.50. On July 1 of each subsequent year of this Agreement, the City shall increase the license fee in an amount equal to the twelve month percentage change in the May CPI as computed by the US Dept of Labor, Bureau of Labor Statistics -All Urban Consumers, Series Id: CUURA421SAO, Not Seasonally Adjusted, for the Los Angeles -Riverside - Orange County, CA area, for All items, using the Base Period, 1982-84=100. Section 3. In addition to paying the license fee, CHURCH shall purchase 10 guest parking permits from the CITY at the CITY's standard fee. The drivers of vehicles displaying such permits shall comply with all applicable rules and regulations governing guest parking permits and may park in the Lot on Saturdays and Sundays. Section 4. The initial term of this Agreement shall commence on July 1, 2010 and terminate on June 30, 2011. Section 5. The City Manager may extend the term of this agreement for three one-year periods. In no event shall the term of this agreement extend beyond June 30, 2014. S7296-000 1 \1 240536v2.doc 2 Section 6. This agreement may be terminated by the CITY or the CHURCH effective upon 60 days written notice if CITY parking requirements for the Lot or CHURCH uses are changed. Section 7. Neither the CHURCH nor its attendees shall park their vehicles adjacent to the retaining wall at the north end of the Lot or in any of the parking spaces designated for Orange County Fire Authority personnel. Section 8. CHURCH shall not assign or transfer any of the entitlements conferred by this Agreement, or make any structural or design changes to the Lot. Section 9. WHEREAS, CITY is the owner of a municipal parking lot, located in the 100 block of Eighth Street within the boundaries of the City of Seal Beach. WHEREAS, CHURCH desires to use this lot as a location for parking of vehicles owned by CHURCH attendees. NOW, THEREFORE, the parties hereto mutually agree as follows: Section 1. CITY does hereby grant to CHURCH use of the parking property (lot) located in the 100 block of Eighth Street. This parking lot is to be used by attendees of the CHURCH for the purpose of parking their private vehicles during formal CHURCH services on each and every succeeding Sunday of each and every succeeding week during the term of this agreement. Section 2. The initial term of this agreement shall commence on July 1, 2006 and terminate on June 30, 2007. Section 3. The City Manager or his designated representative may extend the terms of this agreement for three one-year periods upon mutual agreement between the CITY and the CHURCH. In any event the term of this agreement shall not extend beyond June 30, 2010. Section 4. This agreement may be terminated by the CITY and/or the CHURCH effective upon sixty (60) days written notice if the parking requirements for the Eighth Street Municipal parking lot or for the CHURCH required parking under the City Municipal Code or General Plan provisions are changed for altered. Section 5. For each year of the agreement, the CHURCH shall pay to the CITY the current City fees for ten (10) guest permits for use by Church -designated visitors on a Monday through Sunday basis. The permits may also be used in the Eighth Street Municipal parking lot only on Saturday and Sunday of each week. Section 6. The CHURCH shall pay to the CITY an annual rent fee due and payable by July 1" of each year of this agreement for parking as defined in Section 7 and 8 of this agreement. Starting July 1, 2006 the annual fee shall be $1,733.80. On July 1 of each following year of this agreement, the rent fee is subject to an annual rate adjustment based on the twelve month percentage change in the May CPI as computed by the US Dept of Labor, Bureau of Labor Statistics- All Urban Consumers, Series Id: CUURA421SA0, Not Seasonally Adjusted, for the Los Angeles -Riverside -Orange County, CA area, for All items, using the Base Period, 1982-84=100. Section 7. However, CITY shall not indemnify CHURCH nor will CITY assume responsibility for providing additional parking capacity if, on occasion, this parking lot cannot accommodate thirty-seven (37) vehicles utilized by CHURCH attendees during the designated time and day of this agreement. Section 11. This agreement supersedes the July 1, 2005 -June 30, 2006 parking agreement between CITY and CHURCH. Section 12. Any disputes, which may arise between CITY and CHURCH during the term of this agreement, shall be resolved via informal meetings between the two parties. Section 13. During the term of this agreement, CHURCH attendees may park their vehicles in the Eighth Street Municipal parking lot with the understanding that existing parking ordinances will not be enforced during the designated time and day of this agreement. CHURCH members shall be allowed to park their vehicles at only the municipal parking lot located in the 100 block of Eighth Street, from 8:00 a.m., until 1:00 p.m., and only on Sunday of each week. Section 6. CHURCH members shall not park their vehicles adjacent to the retaining wall at the north end of the parking lot nor shall they occupy any of the parking spaces reserved exclusively for Orange County Fire Authority personnel. This parking lot is to be used by members of the CHURCH for the purpose of parking their private vehicles during formal CHURCH services on each and every succeeding Sunday of each and every succeeding week during the term of this agreement. Section 2. The term of this agreement shall commence on July 1, 2003 and terminate on June 30, 2004. Section 3. The CHURCH shall pay to the CITY, $1538.00 (Fifteen Hundred and Thirty -Eight Dollars), per this one-year period as rent for the use of the property described herein. Section 4. CHURCH members shall be allowed to park their vehicles at only the municipal parking lot located in the 100 block of Eighth Street, from 8:00 a.m., until 1:00 p.m., and only on Sunday of each week. In addition, CITY will continue to allow CHURCH to use ten (10) "temporary parking passes; for occasional use by CHURCH - designated visitors on a Monday through Sunday basis. Section 5. CHURCH members shall not park their vehicles adjacent to the retaining wall at the north end of the parking lot nor shall they occupy any of the parking spaces reserved exclusively for Orange County Fire Authority personnel. VI CITY anticipates that this parking lot will provide sufficient parking capacity for a minimum of thirty-seven (37) vehicles belonging to CHURCH parishioners. However, CITY shall not indemnify CHURCH nor will CITY assume responsibility for providing additional parking capacity if, on occasion, this parking lot cannot accommodate all thirty-seven vehicles owned by CHURCH parishioners during the designated time and day of this agreement. VII This agreement abrogates and supersedes any informal agreement or parking arrangement between the CITY and the CHURCH which may have been in effect prior to January 1, 1995. VIII Any disputes which may arise between CITY and CHURCH during the term of this agreement shall be resolved via informal meetings between the two parties. Ix During the term of this agreement, both CITY and CHURCH agree that no vehicle "stickers" or "decals," or "parishioner identification" will be required for access to the Eighth Street parking lot. CHURCH parishioners may park their vehicles in the 100 block of the Eighth Street parking lot with the understanding that existing municipal parking ordinances simply will not be enforced during the designated time and day of this agreement.
