(909) 860 -8271 Fax (909) 860 -8364 Email: www.mtsiinc.com CUSTOMER: City of Seal Beach 211 Eighth Street Seal Beach, CA 90740 EFFECTIVE DATE: October 15, 2001 FOR GOOD CONSIDERATION, THE PARTIES HERETO AGREE AS FOLLOWS: MTSI shall provide consulting services to the Customer and MTSI shall maintain and support Customer's IT infrastructure throughout the duration of the term of this Agreement, in accordance with the work schedule attached hereto as Exhibit A. MTSI and Customer further agree as follows: 1. MTSI's Services. MTSI shall act as Customer's System Administrator and shall provide the following services: a. Assist in the installation and configuration of new and existing network equipment (i.e., routers, switches, servers and workstations). b. Evaluate network infrastructure and recommend improvements. c. Assist in the information systems connectivity for Customer's five remote locations: City Hall, Police Station, Lifeguard Station, Maintenance Yard at the Police Station and Maintenance Yard at Ocean and First Street. d. Assist in upgrading and fine - tuning the network infrastructure. e. Assist in maintaining the stability and reliability of the computer network. MTSI CONSULTING SERVICES AGREEMENT Page 1 of 7 • f. Assist Customer in the installation of Customer - purchased software and upgrades. g. Provide PC software technical support for Customer's users, both present and future users. h. Trouble shoot PC and network server. i. Provide professional input and recommendations to Customer. j. Evaluate Internet Services and make recommendations as to in -house web hosting and electronic mail. 2. Term; Termination. The term of this Agreement shall be from October 15, 2001 to and including November 15, 2002. Either party may terminate the Agreement at any time prior to November 15, 2002 by providing to the other party written notice 30 days prior to the effective date of termination. 3. Customer's Responsibilities. This is a joint project agreement and Customer agrees to make key Customer staff members available and provide access to Customer's technical and development environment on a timely basis. 4. Compensation. Customer shall pay MTSI a monthly fee of $8,000.00 for all services rendered for a maximum of 24 hours on -site each week. Customer shall pay MTSI $90.00 per hour for each additional hour in excess of 24 on -site hours per week. Customer shall pay MTSI $125.00 per hour for weekend, holiday or extended services (time spent on -site in excess of 12 hours on a single weekday). For weekend or holiday services, Customer shall pay for a minimum of four hours. 5. MTSI's Availability for Technical Support. MTSI shall maintain a telephone and modem support line, or DSL Internet connection, or T1 connection to the Internet during normal business hours (7AM to 6 PM Pacific Standard Time) that permits Customer to contact MTSI for technical assistance. 6. MTSI's Anti - Hacking Covenant. MTSI covenants that under no circumstances will it or any of its employees attempt in any manner whatsoever to electronically repossess, disable, or otherwise tamper with any of Customer's hardware or software, or to improperly or unnecessarily access or "hack" Customer's network or any of the data stored thereon. MTSI also covenants that it will maintain all reasonable security controls over remote communications access information in order to prevent access to Customer's system by third parties. 7. Expenses. Customer shall pay, within 15 days of receipt of a written invoice, MTSI's customary and ordinary expenses incurred in providing the services set MTSI CONSULTING SERVICES AGREEMENT Page 2 of 7 • • • forth herein. MTSI shall seek Customer's prior written approval prior to incurring any expense. In no event shall Customer reimburse MTSI for expenses or costs incurred in connection with travel (including travel time), living expenses or other extraordinary expenses. 8. Confidentiality. Employees of MTSI in the course of their duties under this Agreement may have access to financial, accounting, statistical, patron records, and other data maintained with Customer's computer systems. MTSI covenants that all data, documents, discussions, or other information developed or received by MTSI or provided or exposed in the course of the performance of this Agreement are confidential and shall not be disclosed by MTSI without written authorization by Customer. All Customer data shall be returned to Customer upon the termination of this Agreement. MTSI's covenant under this section shall survive the termination of this Agreement. 9. Insurance. MTSI shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, a policy or policies of Comprehensive General Liability Insurance, with limits of One Million ($1,000,000) Dollars for each occurrence and in the aggregate, combined single limit, against any personal injury, death, loss or damage resulting from the wrongful or negligent acts of MTSI, its officers, employees, agents and independent contractors. If such insurance contains a general aggregate limit, such limit shall apply separately to this Agreement. MTSI shall at all times during the terms of this Agreement also carry, maintain, and keep in full force and effect a policy or policies of Commercial Automobile Liability Insurance with a combined single limit of One Million ($1,000,000) Dollars per occurrence which will cover the drivers and automobiles used to perform services pursuant to this Agreement. Such insurance shall include coverage for owned, non - owned, and hired automobiles. MTSI agrees to maintain in full force and effect at all times during the performance of work under this Agreement workers' compensation insurance as required by law. The policy or policies required herein shall be issued by an insurer admitted in the State of California with a rating of at least B +, VII in the latest edition of Best's Insurance Guide. MTSI agrees that if it does not keep the aforesaid insurance in full force and effect Customer may either immediately terminate this Agreement for default by MTSI, or, if insurance is available at a reasonable cost, Customer may take out the necessary insurance and pay, at MTSI's expense, the premium thereon. MTSI CONSULTING SERVICES AGREEMENT Page 3 of 7 • • 0 At all times during the term of this Agreement, MTSI shall maintain on file with the City Clerk a certificate or certificates of insurance on the form set forth in Exhibit B, attached hereto and incorporated herein by this reference, showing that the aforesaid policies are in effect in the required amounts, the additional insureds are named therein, and the policies cannot be canceled, reduced or otherwise modified except on thirty (30) days written notice by the insurance carrier to the Customer. The certificate shall also specifically state that the coverage contained in those policies affords insurance in compliance with the terms and conditions as set forth in this Agreement. MTSI shall, prior to commencement of work under this Agreement, file with the City Clerk such certificate or certificates. The policies required by this Agreement except workers compensation coverage shall contain an endorsement naming the Customer as an additional insured. The policies required under this Agreement shall contain an endorsement providing that the policies cannot be canceled, or coverage reduced, except on thirty (30) days prior written notice to the Customer. MTSI agrees that it will not cancel, reduce, or otherwise modify said insurance coverage. The insurance provided by MTSI shall be primary to any coverage available to Customer. The insurance policies required by this Agreement shall include provisions for waiver of subrogation. Any deductibles or self - insured retentions shall be declared to and are subject to Customer's approval. At the option of Customer, either the insurer shall reduce or eliminate the deductibles or self - insured retentions as respects Customer, or MTSI shall procure a bond guaranteeing payment of losses and expenses. Nothing contained herein shall be construed as limiting in any way MTSI's obligations of indemnification under Paragraph 10 or the extent to which MTSI may be held responsible for payment of damages to persons or property resulting from its operations, including operations and work performed or materials supplied by or on behalf of MTSI, any subcontractors, or by anyone directly or indirectly employed by any of them. 10. Indemnification. MTSI agrees to indemnify Customer, its officers, employees, agents, and volunteers against, and will hold and save them and each of them harmless from any and all actions, claims, damages to persons or property, penalties, obligations or liabilities that may be asserted or claimed by any person, firm, entity, corporation, political subdivision or other organization arising out of the acts, errors or omissions of MTSI, its agents, employees, subcontractors, or invitees arising out of MTSI's performance under this Agreement. MTSI shall defend any action or actions filed in connection with any of said claims, damages, penalties, obligations or liabilities and will pay all costs and expenses, including attorneys' fees and costs of litigation incurred in MTSI CONSULTING SERVICES AGREEMENT Page 4 of 7 • • connection herewith. MTSI will promptly pay any judgment rendered against Customer, its officers, employees, agents, and volunteers for any such claims, damages, penalties, obligations or liabilities. In the event Customer, its officers, employees, agents, or volunteers are made a party to any action or proceeding filed or prosecuted against MTSI for such damages or other claims arising out of or in connection with the acts of MTSI hereunder, MTSI agrees to pay Customer, its officers, employees, agents, and volunteers any and all costs and expenses incurred by them in such action or proceeding, including but not limited to, actual attorneys' fees and costs of litigation. 11. Independent Contractor. MTSI shall be an independent contractor and shall not for any purposes whatsoever be an agent or employee of Customer. MTSI shall have no power to incur any debt or obligation for Customer and shall indemnify and hold harmless Customer and its officers and employees for any claims, damages, or expenses, including attorney's fees and court costs, arising out of debts or obligations incurred by MTSI under this Agreement. MTSI shall not at any time or in any manner represent that it is or any of its employees, agents, or subcontractors are in any manner agents or employees of Customer, or that its activities outside the scope of any project hereunder are in any manner endorsed, sponsored, or approved by Customer. 12. Staffin . Customer and MTSI each reserve the right to change the MTSI employees assigned to Customer upon 10 days notice. 13. Anti - Discrimination Clause. MTSI shall not discriminate in the hiring or use of any employees or subcontractors on the basis of race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, sex, age or sexual orientation and shall in all respects comply with applicable nondiscrimination provisions of federal, state and local law. 14. Attorney's Fees. If any legal or equitable action or proceeding is commenced to interpret or enforce the terms of, or obligations arising out of, this Agreement, or to recover damages for the breach thereof, the party prevailing in any such action or proceeding shall be entitled to recover from the non - prevailing party all attorneys' fees, costs and expenses incurred by the prevailing party. 15. Notices. Any notice, request, demand, or other communication required or permitted hereunder shall be deemed to be properly given when deposited in the United States mail, first class postage prepaid, or when deposited with a public telegraph company for transmittal, charges prepaid, addressed to the other party at the address provided on Page 1 of this Agreement, or to such other person or address as either party may from time to time provide to the other party. 16. Assignment. Neither MTSI nor Customer shall assign this Agreement without the prior written consent of the other party and any purported assignment lacking such written consent shall be null and void. Failure or inability of either party to enforce any right hereunder shall not waive any rights with respect to any other or future rights or occurrences. 18. Time is of the Essence. Time is of the essence, and MTSI shall provide its services in a timely fashion. 19. Governing Law; Venue. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California as it applies to a contract made and performed in such state, regardless of the place of execution or performance. Any action brought by either party hereunder may only be brought in any state court in California. 20. Entire Agreement; Modification. This Agreement is the complete and exclusive statement of the agreement between MTSI and Customer and supercedes all prior and contemporaneous negotiations, discussions, proposals and understandings, oral, written or implied, including those involving any agent of either party, relating to the subject matter herein. No representations or statements made by either party or either party's agents not expressly stated herein are binding on either party. The terms of this Agreement may only be modified, expanded or added to by a written agreement executed by the parties. No oral communication between the parties or their agents before or after execution of this Agreement shall be binding upon either party unless the parties expressly agree in writing to the terms of such communication. In lieu of a Monday, Tuesday or Thursday (or in the event City Hall is closed on a Monday, Tuesday or Thursday), Customer may request such personnel to work on -site on a Wednesday or Friday by providing 72 -hour advance notice. Customer may request that MTSI personnel work on -site additional hours in excess of 24 hours in a week by providing 72 -hour advance notice. Customer shall pay MTSI $90.00 per hour for each such additional hour. Customer shall pay MTSI $125.00 per hour for weekend, holiday or extended services (time spent on -site in excess of 12 hours on a single weekday). For weekend or holiday services, Customer shall pay for a minimum of four hours. MTSI will respond to all service requests from the City of Seal Beach within 4 hours. MTSI and Customer further agree as follows: 1. MTSI's Services. MTSI shall provide those services set forth in the attached "NETWORK SECURITY SERVICES PROPOSAL FOR City of Seal Beach" dated December 18, 2001 (hereinafter "PROPOSAL ") attached hereto as Attachment A and incorporated herein by this reference. In the event of any inconsistency between this Agreement and the PROPOSAL, the terms and provisions of the Agreement shall control. In addition, paragraphs 11 (Warranty Disclaimers) and 12 (Damage Limitations) of the PROPOSAL shall have no force and effect. 2. Term; Termination. The term of this Agreement shall be from October 15, 2001 to and including November 15, 2002. Either party may terminate the Agreement at any time prior to November 15, 2002 by providing to the other party written notice 30 days prior to the effective date of termination. 3, Compensation. EXECUTIVE SUMMARY: The City of Seal Beach ( "Customer") is seeking Consulting services from MTSI, Inc. to "Secure their Network infrastructure and to Connect" (Collectively known as the "Project ") the following locations: 1. The City Hall of Seal Beach 2. Seal Beach Police Department ( "SBPD ") 3. City Yard 4. Beach Maintenance 5. Lifeguard Station The Project includes: 1. Re- configure the infrastructure in the following Domains : • City Of Seal Beach ( "COSB ") Domain comprising of the City Hall, the City Yard, Beach Maintenance and Lifeguard Station • SBPD Domain comprising of the Seal Beach Police Department 2. Secure both Domains. 3. Connecting all remote location by creating VPN Tunnels over the existing Adelphia Cable connection. MTSI, Inc. is pleased to present our services proposal for the project. This proposal represents our offer to create a partnership with the Customer. MTSI, Inc. plans to execute the Project as follows: 1.1. SETTING AND SECURING THE NETWORK AT COSB DOMAIN: 1. Deploying the VPN Tunnels for the following locations: • City Hall • City Yard • Life Guard Station 2. Reconfiguring the perimeter router. 3. Setting up and configuring the Firewall and creating DMZ. 4. Deploying the VPN Client access for the Beach Maintenance location. 5. Setting up the Router and Switch at the Lifeguard station location. 6. Setting up the Switch at the City Yard location. 1.2. SETTING AND SECURING THE NETWORK AT SBPD DOMAIN: 1. Reconfiguring the perimeter router. 2. Setting up and configuring the Firewall. 3. Setting the switches and creating DMZ. 4. CITY HALL LOCATION: 1. Reconfigure the existing Cisco 1600 Router. 2. Setup and configure two Cisco Pix 515 UR Firewall in Failover mode. 3. Create a DMZ to separate the Mail Server and Web Server from the other Servers. 4. Connect the Mail Server and Web Server to the Firewall via the Netgear Switch. 5. Connect the remaining 4 Servers and the 45 Workstations to the existing Bay Network Switch and route it through the Cisco Pix 515 UR Firewalls. 6. Create VPN tunnels on the existing Adelphia Cable connection for a secured connection between City Hall and other locations 2.1.2. LIFEGUARD STATION LOCATION: 1. Set up a Cisco 1720 R Router at the Lifeguard Station 2. Install a Netgear Switch. 3. Connect the 8 Workstations through the Netgear Switch and the Router. 4. Create VPN tunnels on the existing Adelphia Cable connection for a secured connection between Lifeguard Station and other locations 2.1.3. BEACH MAINTENANCE LOCATION: 1. Deploy CISCO VPN Client Software on the workstation to allow access to the network in the COSB Domain via the VPN. 2.1.4. CITY YARD LOCATION: 1. Set up a Cisco 1720 R Router at the Lifeguard Station 2. Install a Netgear Switch. 3. Connect the 8 Workstations through the Netgear Switch and the Router. 4. Create VPN tunnel on the existing Adelphia Cable connection for a secured connection between Lifeguard Station and other locations 2.2. RECONFIGURING AND SECURING THE SBPD DOMAIN: 1. Reconfigure the existing Cisco 1600 Router. 2. Set up the Cisco Pix 515 UR Firewalls in Fail over mode and connect it to the existing Cisco 1600 Router. 3. Create a DMZ to separate the Mail Server from the Other Servers. 4. Install a Cisco Catalyst 2948G -L3 Switch with 48 Ports. 5. Install a Cisco Catalyst 3548 Switch and cascade it to the Cisco Catalyst 2948G -L3 switch via fiber optic. 6. CURRENT CONFIGURATION: The highlights of the information as provided by the Customer are as follows: 1. The locations are currently connected using Radio LAN network. 2. Adelphia Cable provides the Internet access. 3. There are approximately 40 users at the COSB Domain and approximately 50 Users at the SBPD Domain. 4. The SBPD Domain is connected to the following Domains: • Orange County Sheriff Office ( "OSCO ") • West -Comm • West Covina Services Group ( "WCSG ") 5. The Customer network is potentially vulnerable and wide open to the outside world. Refer to Appendix A for the current Network Diagram. 4. KEY TASKS The Key tasks will include the following: 4.1. SETTING AND SECURING THE NETWORK AT COSB DOMAIN: 1. Reconfiguring the perimeter router. 2. Setting up and configuring the Firewall and creating multiple DMZ. 3. Deploying the VPN access for the Beach Maintenance location. 4. Setting up the Router and Switch at the Lifeguard station location. 5. Setting up the Switch at the City Yard location. 6. Creating VPN tunnels on the Adelphia Network. 4.2. SETTING AND SECURING THE NETWORK AT SBPD DOMAIN: 1. Reconfiguring the perimeter router. 2. Setting up and configuring the Firewall. 3. Setting the switches and creating multiple DMZ. 4. Creating multiple VLAN and which separates the WCSG Domain, OCSO Domain and West -Comm Domain from the SBPD network. 5. Setting up a Firewall between multiple VLANs to protect the SBPD Domain. 6. Creating VPN tunnels on the Adelphia Network. 5. PROPOSED NETWORK MTSI, Inc solution is based on protecting the investment the City has already made in the equipment by reusing the existing hardware in the proposed new Network. Refer to Appendix C for the logical diagram of the Proposed Network. MTSI, Inc. proposes to connect the City Hall, the Lifeguard Station, the City Yard and the SBPD via Aldephia Cable connection. A Firewall in Failover mode will be deployed at both these Domains that will prevent unauthorized users from accessing the network. Moreover, these Firewalls will be configured for DMZ to allow increased levels of protection for different services and levels of access. Currently, we propose to put the Mail Server under the DMZ thus providing an additional level of security for the Emails. MTSI, Inc.'s solution proposes to create multiple Virtual LAN (VLAN) at the SBPD Domains. These VLAN will separate the OSCO Domain, the WCSG Domain and the West -Comm Domain from the SBPD Domain. A Firewall solution between West -Comm and the SBPD is proposed to bolster up the security. The same Firewall can be configured to secure the SBPD Domain from the WCSG Domain. Our solution, considering the growth pattern of Page 5 of 12 • • Network Security Proposal For City of Seal Beach © Managing Technology Solutions International Inc. the SBPD, suggests an intermediate level switch and cascading another switch to connect additional users. This solution is 50% cheaper than installing an enterprise level switch. MTSI, Inc. proposes to connect the two Cisco Switches through a Fiber Optic cable. The use of a Fiber Optic cable connection will ensure a steady bandwidth of 100 Mbps and will prevent bottlenecks on the network unlike conventional twisted pair cables. As there is one workstation at the Beach Maintenance; MTSI, Inc solution proposes to set up VPN Clients to connect it to the COSB Domain. MTSI, Inc. proposal does not only ensure that the COSB and the SPBD Domains are secure. It also ensures that the users of both domains get a steady bandwidth. Refer to Appendix E for complete Solution Details. 6. KEY DELIVERABLES: The deliverables are as follows: 1. Network Diagram of the COSB Domain and the SBPD Domain. 2. Configuring the COSB Domains and the SBPD Domain. 3. 8 hours of training for the Administrator to manage the Network at the SBPD Domain including assistance with maintenance procedures. 4. 8 hours of training for the Administrator to manage the Network at the COSB Domain including assistance with maintenance procedures. 7. ASSUMPTION: This proposal is based on the following assumptions: 1. The Customer will be responsible for testing end user desktop computers and servers. 2. MTSI Inc would like the Customer to note that the complete benefits of the network updates are not going to be realized until the server upgrades are completed. However, the server upgrades are not included in scope of this proposal. MTSI, Inc, at the Customers request, will be glad to present an additional proposal for these upgrades. 3.
